CONSTITUTION

AMERICAN

ORIENTAL

SOCIETY;

ADOPTED APRIL 7, 1843.

ARTICLEI.
This Society shall be called the AMERICANORIENTALSOCIETY.

ARTICLEII.
The objects contemplatedby this Society shall be: 1. The cultivation
of learningin the Asiatic, African, and PolynesianLanguages. 2. The
publicationof Memoirs,Translations,Vocabularies,and otherworksrelating to the Asiatic, African, and Polynesian languages. 3. The collection of a Library.
ARTICLEIII.
To become a memberof the Society, a candidate must be proposed
by the Directors, and must receive the votes of three-fourthsof the
memberspresentat a meeting.
ARTICLEIV.

Foreigners
by the Directors. The votes of three-fourthsof the members present,
at an annual or stated meeting, shall be necessaryto their election.
Foreigners,however,having a permanentresidencein the United States,
shall be eligible as members.
ARTICLEV.
The Governmentof the Society shall consist of a President,threeVice
Presidents,a Corresponding
Secretary,a RecordingSecretary,a Treasurer,
a Librarian,and five Directors,who shall be annuallyelected, and such
elections shall be made at the annualmeeting.
ARTICLEVI.
The PresidentandVice Presidentsshall performthe customaryduties
of such officers,and shall be ex o.fciomembersof the Boardof Directors.

ARTICLEVII.
The Secretaries and Librarianshall performtheir duties underthe
superintendenceof the Boardof Directors.
ARTICLEVIII.
It shall be the duty of the Boardof Directorsto regulate the financial
concernsof the Society, to superintendits publications,to carryinto
effect the resolutionsand ordersof the Society, andto exercise a general
superintendenceover its affairs. Three Directorsat any regularmeeting shall be a quorumfor doing business.
ARTICLEIX.
The annualmeeting of the Society shall be held in Boston,duringthe
last week in May, at such time and place as shall be determinedby the
Directors.

The election of officersand membersshall be in all cases by ballot.

BY-LAWS.
I. The CorrespondingSecretaryshall conductthe correspondenceof
the Society; and it shall be his duty to keep, in a book providedfor the
purpose,a copy of his letters.
II. The Recording Secretaryshall keep a recordof the proceedings
in a book providedfor the purpose,and shall notifythe meetings in such
manneras the Presidentor the Boardof Directorsshall direct.
III. The Treasurershall have charge of the fundsof the Society; and
his investments,deposits,and payments, shall be madeunderthe superintendenceof the Boardof Directors. At the annual meeting he shall
reportthe state of the finances,with a brief summaryof the receipts and
paymentsof the previousyear.
IV. The Librarianshall keep a catalogueof all books belonging to
the Society, and shall be governedin the dischargeof his duties by such
rules as the Directorsshall prescribe.

V. All Manuscriptsdeposited by authorsfor publication,or for other
purposes,shall be at the disposalof the Boardof Directors.
VI. The admissionfee shall be Five Dollars, and the annual assessment Two Dollars; but on the paymentat one time of Fifty Dollars,a
membershall be exemptedfromboth of these assessments.
VII. Stated meetingsof the Society shall be held on the firstWednesday of January, July, and October; the place and hourof the meeting
to be determinedby the Directors. The Directors may call special
meetings.
VIII. Six membersshall forma quorumfor transactingbusiness, and
THREE,to adjourn.

IX. The Society shall appointsome memberto pronouncea discourse


at the annualmeeting.
