Article I. Name

Constitution

Section 1. The name of this organization shall be March Socit, French for the Marketing Society. The
choice of a French name is to honor the roots of the D La Salle founder, St. John Baptist D La Salle.
Section 2. The rationale of this organization is to put emphasis on skills and topics not being given stress
in a classroom setting, like advertising activities bordering on, but not limited to media buying, print layouting and spacing.
Article II. Object
Section 1. The object of March Socit shall be the following:

1. To promote camaraderie among De La Salle University Dasmarinas students;


2. To imbibe the value of faith, commitment and dedication to God, country, family, organization
and self;
3. To instill the value of education attained in both formal and informal channels of learning;
4. To assist its members on their academic journey;
5. To manage the preparation, production and distribution of the Marche, the official news magazine
of the Marketing Department, College of Business Administration, De La Salle University
Dasmarinas, Cavite.
That they may become productive, significant and valuable individuals worthy to be called La Sallians.
Article III. Membership
Section 1. Members Qualification
Any bona fide student of the De La Salle University Dasmarinas with an average of equal or not less
than 1.50, with an interest in institutionalizing ethical and productive business practices in the country;
that upon undergoing an orientation, completing one (1) semester of probationary status, and paying the
membership fee provided by the Bylaws, is qualified and may enjoy the benefits prepared for the
members.
Section 2. Recruitment of Candidates
Membership to the organization is purely by invitation. Any existing member of the organization may
invite another student in the College of Business Administration. Screening of the candidates shall be
the responsibility of the Vice Grand Torche Internal.

Section 3. Suspension and/or Removal of a Member


The Executive Board may suspend a member for cause after hearing by a two-thirds vote of the
members of the Executive Board and may reinstate a member by a three-fourths vote of the members of
the Executive Board.
Possible causes for suspension of membership:
1. Failure to meet the minimum grade percentage average (GPA) of 1.50; this is to allow the
member to recover his/her GPA;
2. Gross disregard of the policies set by the incumbent officers of the organization;
3. Gross disregard of the school policies and procedures;
4. Reported cheating, plagiarizing, public display of affection (as defined by the university),
5. Gross disrespect to both teaching and non-teaching faculty;
6. Gross disrespect to elders and support service staff i.e. security guards, janitors and the like;
and,
7. Gross disregard of the socially acceptable behavior, whether or not committed inside the campus.

Possible causes for removal from the organization:

1. Violation of the law and standards of morality; and,


2. Removal from the roster of students, which cause(s) is (are) determined by the school authorities.

Article IV. Divisions and Round Tables


Section 1. Divisions and Round Tables of the organization may be organized and supported as provided in
the Bylaws.
Article V. Meetings
Section 1. Meetings shall be held as provided for in the Bylaws:

1. Monthly Regular Meeting, shall be called upon every last Wednesday, or the day which the
university identified as the university break, and shall be scheduled 1:00 pm to 3:00 pm, or the
time which the university identified as the university break. Regular meetings shall compose of
seventy-five (75) percent of the members, officers included shall constitute a quorum. In the
absence of a quorum, agreements reached during the said meeting shall be null and void.

2. Special and/or Emergency Meetings shall be held when called upon by the Grand Torche.

3. All meetings shall be presided by the Grand Torche, in the absence of the Grand Torche; the Vice
Grand Torche Internal and the Vice Grand Torche External shall carry on with the meeting,
respectively representing their areas of accountability.

Article VI. The Council of Torch


Composition, Scope and Responsibilities
Section 1. (a) The Council of Torch shall be recognized as the official executive board or set of officers for
the organization, duly elected by the members. They shall delegate to the several committees, which
they identified and created during their term of office, the authority to plan and carryout programs and
activities within assigned fields of responsibility and in accord with general Council policy. (b) The
Council shall determine all policies of the organization, and its decisions shall be binding upon the
organization, except as provided in Sec.4(c) of this Article.
Section 2. The Council of Torch shall be chosen as specified in the Bylaws of the organization.
Section 3. Seventy-five voting members of the organization shall constitute a quorum.
Section 4. (a)The organization by a vote at a membership meeting may refer any matter to the Council
with recommendations and may require the Council to report on such matter at any specified session of
the organization. (b) Any question of policy may, by a majority vote of the Council, be submitted to the
organization to be voted upon either at a membership meeting or by written mail duly signed by the
member, as the Council may determine. (c) Any action of the Council may be set aside by a majority
vote by mail in which one fourth of the members of the organization have voted. Such vote by written
mail shall be held upon petition of one percent of the personal members as certified by the Grand Torche
of the Association.
Section 5. The Council shall report on its activities not later than the next meeting of the Council. The
Council shall act for the organization in the administration of established policies and programs. The
Council shall be the body which manages within this context the affairs of the organization, but shall
delegate management of the day-to-day operation to the organizations appointed committee members
and shall make recommendations to Roster of Advisers with respect to matters of policy.
Section 4. A majority, which is fifty (50) percent plus one (1) shall constitute a quorum of the Executive
Board.

Article VII. The Roster of Advisers


Composition, Scope and Responsibilities
Section 1. The Roster of Advisers consists of the (faculty adviser) conseiller facult, (student adviser)
conseiller tudiant, four (4) selected students from each academic year level, and past Grand Torche.
The Roster of Advisers shall serve the Council as:

1. An arbitrator or mediator during disagreement between the Grand Torche and the two (2) Vice
Grand Torche;
2. A mediator during irreconcilable cases between the Council of Torch and the members;
3. A transitory Council in case of vacancy of the top three (3) position; and,
4. The overall gatekeeper of the organizations values.

Section 2. The Roster of Adviser shall take over in case of vacancy in the Council, due to any of the
following reasons:

1. Election, when an existing Council member declares candidacy to a position, the resultant
vacancy shall be carried over by the Roster of Adviser by appointing from the Roster a
replacement who will serve the organization until the election of the incoming Council shall be
declared official.
2. The vacancy is caused by any of the reasons in Article III, Section 3 of the Bylaws, until the
election of the incoming Council shall be declared official.

Article VIII. Officers and Committees


Section 1. Only regular members shall have the right to hold office. The officers of the organization
shall be:

Section 2. In case of vacancy, Article VII, Section 2 of this Constitution shall take effect.
Sec. 3. Duties of Officers.

1. Grand Torche, the elected president of the organization who will be responsible in managing
the affairs of the organizations ensuring that all its actions are toward the achievement of
the organizations objective. The Grand Torche is responsible for the promotion of the
organizations values and acts as a role model to the all of the organizations stakeholders.
He or she represent the organization in all its undertaking and accountable to all of the
organizations actions. He or she renders the final decisions and carries on with the
agreements made.

2. Vice Torche Intrieur, the elected vice president for internal affairs. The Vice Torche
Intrieur is responsible for the recruitment, membership welfare, which includes academic
performance, extra-curricular participation, community, social and spiritual relationships. He
or she undertakes programs that promote the personal and professional well-being of the
members.

3. Vice Torche Extrieur, the elected vice president for external affairs. The Vice Torce
Extrieur is responsible for the external activities of the organization that promotes the
organizations objectives and values. He or she is responsible for the acceptable public
opinion on- and positive public acceptance over the organization.

4. Secrtaire gnral, the elected secretary general is responsible for ensuring that all
activities, issues, meetings are properly addressed and documented. He or she acts as the
communication center of the organization. No official business shall take place without his
or her knowledge and proper authorization.

5. Associ Secrtaire, the elected assistant secretary is responsible for keeping the
membership requirements and listing all incoming and existing members of the
organization. He or she takes responsibility in the absence of the Secretaire general.
6. Financier, the elected finance officer, responsible for the management of the organizations
funds. He or she acts a gatekeeper of the organizations fund, activities include: collection,
disbursement, accounting of the cash flow, and bank account management. He or she,
together with the Grand Torche, are the authorized signatories to all bank transactions.
7. Vrificateur Gnral, the elected auditor of the organization. He or she is responsible for the
check and balance of all activities and fund flow. He or she is responsible for reporting,
confirming, and validating accuracy of funds flow and implemented activities.

8. Public Relations Officer, the elected public relations officer of the organization is responsible
for managing the internal and external communications of the organization. He or she is
responsible for disseminating the information coming from the council to the members. He
or she is also responsible for keeping in order the bulletin board of the organization.
9. Coordinator for Outreach Activities, the elected coordinator for outreach activities is the one
responsible for planning CSR or outreach projects of the organization.
10. Editor-in-Chief. The appointed Editor-in-Chief is the publications editorial leader, having final
responsibility for all magazine operations and policies. He or she is held accountable for
delegating tasks to staff members.
Section 4. Appointments. The Council of Torch shall appoint all other officers and all committees of the
organization not otherwise provided for. Only regular members of the organization shall be appointed to
committees.
Section 5. Terms of Office
The Council of Torch and all appointed positions shall serve one school year, including summer, until the
adjournment of the meeting at which their successors
are officially inducted to their respective positions, in the case of failure to hold a formal induction, the
Roster of Adviser shall carry on with the induction, at which time, the incoming Council of Torch shall
officially take their respective positions.
Article IX. Funds
Section 1. All organizational funds earned for the one school year shall be turned over to the care of the
incoming Council of Torch which shall form initial funding or cash-on-hand of the incoming Council of
Torch.
Section 2. All regular members shall pay the annual fee of P150, which fees shall be used for the
intended projects of the organization.
Article X. Affiliated Organizations and Chapters
Section 1. The Council may by vote affiliate with the Philippine Junior Marketing Association and other
professional organizations for purpose of enhancement and learning opportunities. Moreover, the
organization may, on its own initiative, choose to seek professional mentoring from industry practitioners
or companies who are willing to be of service.
Section 2. The Council may by virtue of its affiliation join national competitions for purpose of
enhancement and learning opportunities.

Article XI. Amendments and Editorial Changes


Section 1. All proposals for amending the Constitution shall originate in the Council. A proposed
amendment or new bylaw shall become effective when it shall have been approved by a majority of the
members of the Council present and voting at a meeting of the Council, followed by ratification by the
members of the organization either by a vote by mail of a majority of the members of the organization
voting, or by a majority vote of the members present and voting at a membership meeting of the
organization. The Council, on approving a proposed amendment, shall specify whether a vote for
ratification shall be taken at a membership meeting of the organization or by mail, and if a mail vote is
ordered, the Council shall fix the time for the beginning and closing of the balloting. If a vote at a
membership meeting is ordered, at least one months written notice shall be given to the organization of
the text of the proposed amendment or new bylaw.
Section 2. The Council, upon recommendation of the Constitution and Bylaws Committee or the
Committee on Organization, may make such editorial changes in these bylaws as do not change their
substance and meaning. Those changes shall take effect upon such action immediately.

Article XII. Amendments

followed by ratification by the members of the organization either by a vote by mail of a majority of the

second time, shall specify whether a vote on ratification shall be taken at a membership meeting of the
organization or by mail, and if a mail vote is ordered, the Council shall fix the time for the beginning and
closing of the balloting. If a vote at a membership meeting is ordered, at least one months written notice
shall be given to the organization of the text of the proposed amendment.
