FOREST PARK MEDICAL CENTER Texas Workforce Commission Attn: Layoft/WARN 101 E 15th St, Rm 404T Austin, TX 78778-0001 Email: warnlette October 30, 2015 ‘To Whom It May Concern: 1 am contacting you on behalf of FPMC Services, LLC, the Professional Employer Organization (the PEO”) for Forest Park Medical Center, LLC (the “Hospital”). The PEO employs all employees of the Hospital and pays such Hospital employees with funds it receives from the Hospital. I am writing to notify you that, due to unforeseeable business circumstances, the Hospital anticipates ceasing operations and closing today, Friday, October 30, 2015, at its location at 11990 N. Central Expressway, Dallas, TX 75243 and all employees who work at the Hospital will be terminated. The planned shutdown is expected to be permanent, and will affect the entire Hospital. The Hospital has a loan agreement with Callidus Capital Corporation (the “Lender”), whereby the Lender has provided funding to the Hospital on a regular basis, On October 29, 2015, without providing any advance notice, the Lender unexpectedly refused to provide the expected funding to the Hospital and has, advised the Hospital that it does not intend to provide the Hospital with any additional funding at this time, Without this funding, the Hospital is unable to provide the money to the PEO to fund payroll for Hospital's employees, pay employee benefit premiums, or to pay critical vendors. Consequently, the Hospital has no other option than to shut down its operations and for the PEO to terminate all Hospital employees today. Because of the unforesceable business circumstances surrounding the refusal of the Lender to provide the expected fimding, we were not able to provide Hospital employees with the required sixty (60) day notice under the Worker Adjustment and Retraining Notification (WARN) Act. A list containing the job titles and the number of affected employees in each job classification is attached hereto as Exhibit A. No bumping rights will be available. Notice has been provided directly to all employees who work at the Hospital, as there are no known unions representing affected employees.
