FORMS OF BUSINESS OF PARTERSHIP

An organization is a framework or backbone by which the work of a business,
managerial or otherwise is performed that it provides the required channels , points of
margin ,and flow of management direction and control . The right form of business
organization that best suit the needs of the business must be given consideration. The
proponents had evaluated and analyzed the pros and cons of each type of business
organization, among these were sole proprietorship and corporation.
The proponent decided to adapt a partnership form of ownership with two
general partners whose liability extended up to bind personal property. they bind
themselves to contribute money, property or industry to a common fund with the
intension of diving the profits among themselves
Here are the following reasons for adapting the partnership form of ownership.
1. Term of existence
A partnership may establish for any period of time stipulated by the partners.
2. Manner of creation

A partnership is created by mere agreement of the parties. Partnership is easier

in information compared to the corporate form since the contract of partnership may be
made orally or in writing because SEC does not strictly regulate partnership.
3. Combined judgment and managerial skills
Partner's consult each other about proposed action and decisions or action may
result the deficiencies of one partner may correct by presence of another partner.
4. Definite legal status
A partnership duly formed under the law is a juridical person to which the law
grants a juridical person; a partnership may acquire posses property of all kinds, as well
as incur obligation and bring civil or criminal actions in conformity with laws, and
regulation of its organization.
