The delegation of these powers shall exercised, keeping in mind the "Concept,
Intent, Purpose and terms,?f delegation and Canons' of Financial Propriety.
The exercise of the powers ~Iegated shall always be subject to observance of
intent policies, rules regulations, availability, of provisions in the budJet and
further subject to the general supervision of the Chairman-cum-Managing
Director of HPSEB Ltd. and the ultimate control of the Board.
Such delegations as might have been given exclusively to an individual Executive
or Executives to satisfy any statutory' requirement or to cover any specifIC
situation, will, however, continue to operate as per the terms of such specified
, delegation.
The delegations of powers may not have cov~red some of the activities in the
function of an Executive. If, such activity requires delegations, the Concerned
Executive through his Head of .Department may forward the proposal with
adequate justification for processing the case for approval of the Chairman-cum
Managing Director of HPSEB Ltd.

3.08 Revised Delegation of Financial Powers to various offices in HPSEB Ltd.

The item was discussed in the 3rd meeting of Board of Directors,
HPSEB Ltd. held on 17.09.2010 and the following decision was taken:

"The proposal fOr Delegation of Financial Powers to various officers 'of the HPSEB
.Ltd. was perused. The Pr. Secretary (MPP & Power) and Pr. Secy. (Finance)
pointed out that the document on delegation of powers should be framed ,and
finalized in consonance with the procurement 'policy of the Company. The ,
procurements need to be made from standardized sources so as to ensure proper
qualityan.d competitive rates. The Company should make procurement centers at
circle levels and they should be ' delegated adequate' powers. Further, the
procurement policy should contain centralized and locally procured items with .a
view only for fixing rates for State as a whole and procurement action is to be t.:.1ken
by the concerned procuremttnt centres in respect of centrali2;ed items and locally
procured items by the appropriatefiel~ authorities through adequate delegation c:
financial powers.', Reserve stock limits be redefined and fixed in respect of
divisional as well zonal level stores.
The Board decided that the delegation of powers alongwith procurement policy be
accordingly drafted and placed before the B.O.D. for consideration and ~PFG'la!.
However, it was approved that till the above exercise is completed, the existing
financial and administrative powers of the erstwhile HPSEB may be exercised by
the Directors as well as all officers of the Company."

CONCEPT, Th'TEl'.'T, PURPOSE AND TERMS OF DELEGATION
Tbe Delegation of Powen bas been drawn up keeping in view tbe following:
J. These delegation of powers are based on the concept and understanding of decentralised' execution of works and centralized policy makiug.
2. The delegation shall effectively address the impediments in day to day working of the offices ofHPSEB Ltd and orient it towards achieving results envisaged for operational efficiency.
3. Tne delegation shall result in effective utilization of the existing infrastructure.
4. The officers exercising the power under this delagation shall be fully accoutnbale for the decision made by him.
S. The delegate shall not split the work/activity to cover the cost within his delegated power
6. In case of extreme emergency 'II'beD approval/sanctiooJdeeisions of the higher autbority is not a'-silable, the next lower authority msy exercise the power after recording tbe facts of urgency aDd

7. The Powers delegated to CE, SE and below shall be exercised after the purchase of material or issuance oftender etc is approved by the commttees at Zonal, Circle and Divisional levels. These committees
shall be comprising of concerned Head of office, SE(Works)/AO, Accounts Officer/AAO/Supdt Accounts.
8. In case certains issues are proving impediments in exercising the powers so delegated, the matter shall be immediately reported to ne)..i higher authority for reviewal of the power by the competent Authority.
9. The fmancial powers shall always be exercised with due observance of canons of financial propriety, which are enumerated hereunder.
10. The entire process of all projects costing above Rs 3.00 Crs till award shall be executed by Contract Cell in the Corporate Office w.r.t operation wing, and by Chief Engineer (Gen) /Chief Engineer (ES)
and Chief Enginee (Project ~ for theri respective projects.
II. The d::legates are not authorized to either sub-delegate their powers or to withdraw powers delegated to lower authority except with the specific approval of CMDlBoard ofDirectors as this case may be.
Any clarification or interpretation of any delegation would be given by Company Secretary with the concurrence of concerned Director and approval of CMD.

CANONSOFflNANCIALPROPRffiTY
(i) E>..-penditure should not prima facie be more than essentially and necessanly required.
(ii) Every employee should consider the Public Money as if his own money and shall make the expenditure judiciously.
(iii) No aulliority should exercise powers of sanctioning expenditure for his own benefit directly or indirectly.
(iv) Public moneys should not be utilized for the benefit of a particular person or section of the community, unless Amount of expenditure i$ insignificant and unavoidable.
(v) Expenditure is in pursuanoe of a notified and established custom, policy or procedures ..
(vi) Amount of allowances/perks granted to meet expenditure of a particular type should be so regulated that the aIlowances do not, on the whole, become source of profit or cause of financial loss and loss 0

a. Project reportsiA & A & ES detailed project reports and estimates as a whole for the plant/project, scheme township or for expansion of existing facilities, of plant and township or for establishment of newI
units and facilities exceeding Rs.50 crores other than those wbere th e. approval is accorded by Government oflndial funding agency like REC,PFC.
b. Any capital expenditure above Rs.25 crores including additions, alterations, modifications to or replacement of an existing asset other itemS which have not been specifically included in the approved capital

Engineering and further with concerned Director and Director (Finance).

d. Variations in quantities with respect to quantities indicated in the BOQ of the contract agreement, introduction of new item(s) substitution of one item in the BOQ, by another in the BOQ, and deviations

from the terms of the contract resulting cmnulatively in an increase in the contract value of the Contracts approved by the Board by more than 25% or Rs. 10 crares, whichever is iess excluding increases

already built in the contract agreement due to price variation., provision for contingencies etc. and also due to new statutory requireme.!1! or changes in existing statutory requirements.

Borrowings repayable beyond a period of 12 months for purposes other than working capital requirements over Rs. 200 crare at any point of time which is not included in resource mobilization approved by'

Boaro (Borrowing for working capita! requirements will be within the competence ofCMD subject to adherence to guidelines and policies laid down by the Board).

Note: Borrowings availed shall be reported to the Board on quarterly basis.

Sale or alienation Including mortgage (excluding against borrowings) mortgage in any form of any immovable property vested in the Company except to H.P GovtlHP Go\1 PSU.

Any grant or donation or ex-gratia payments, not arising from recognized rules relating to amenities and welfare, over Rs. 50,000/- in each case,

Settlement of c1aims against the Company from any cause not provided for in any other items mentioned above exceeding Rs. 5 lakh in each case.

Any expenditure beyond the scope of objective ofthe Company.

(f) SINGLE TENDER ENQUIRY shall be resorted to in cases of Single Source A~ility / Proprietary Item / Specialized Work. Negotiated Work Orders for Petty Works may be placed Without Call 0

Tenders where resorting to Tendm is neither practical nor economical, but shall be subject to the same being met from within the Budget provision for the year. In case of Grave Emergency also, WOIk Orders

may be placed Without Call ofTendm. The Rates at which the Negotiated Work Orders for Petty Works are awarded shall be at the applicable Local Public Works Department Rates or Project Schedule Rates

or Rates with prevailing premium, or the premium as determined vide J(e) above, or at Rates derived from first principles including Overheads and Profit Margin at 10 % or as per Cost Data approved by

HPERC.

(g) For Single Tender Enquily, reasons for adopting such mode of Tendering shall be recorded in writing, by the respective Execution / Indenting Department while obtaining approval of the 'Competen
