SIGNING ADVANCE

LETTER AGREEMENT
Dear _____________________________ (Independent Contractor, or you),
Congratulations! We are pleased you have accepted the terms of the contract Independent Contractor
Agreement.
In order to finalize your independent contractor relationship with us, please execute and deliver to
Pinnacle Security, LLC, a Utah limited liability company (the Company, we, or us), the Independent
Contractor Agreement attached hereto as Attachment A (the Independent Contractor Agreement, and the
Consent to Judgment attached hereto as Attachment B. It is a condition precedent to the effectiveness of your
contractor status with us that you execute the Independent Contractor Agreement and the Consent to Judgment
Form.
In addition to the compensation you are eligible to receive under the Independent Contractor
Agreement, by executing the Independent Contractor Agreement and this letter agreement (this Letter
Agreement) now, you are eligible to receive a Signing Advance of $________________ (total amount) (the
Signing Advance), which shall be offset against your commissions for the sales term as set forth on Exhibit A of
your Independent Contractor Agreement. Your Signing Advance will be paid in _____ increments (max of 2).
The first installment will be paid within 10 days of (insert date) _________________ in the amount of
$________________. The second installment in the amount of $________________will be paid within 10 days of
(A) (Insert Date) _________________ or (B) after you have installed 1 account. (Please circle A or B).

Notwithstanding anything herein to the contrary, so long as (i) you have not breached your Independent
Contractor Agreement by August 31, 2009, (ii) you have remained in the continuous service of the Company until
August 31, 2008, and (iii) you satisfy the sales condition (the Sales Condition) set forth below and confirmed by
the parties initials (collectively, the Conditions), then the Signing Advance shall be treated as earned
commission to you, thus increasing the effective amount of your commissions. However, in the event that a
Condition fails to be met, then you shall automatically be obligated to repay the Signing Advance within five (5)
days after such Condition fails to be met.

Signing Advance Sales Condition

The purpose of the Signing Advance is to reward contractors that both (i) commit now to sell for us
during our sales term of the Independent Contractor Agreement and (ii) honor the terms and conditions of this
Letter Agreement and the Independent Contractor Agreement.
In the unlikely event that you are unable to fulfill your commitment to sell for us during sales term
specified in your Independent Contractor Agreement, then you will be obligated to return the full amount of the
Signing Advance to us. Therefore, upon the earlier of (i) the date on which you have determined not to sell for us
during the sales term of the Independent Contractor Agreement (by accepting other employment or otherwise or

the date on which you have otherwise breached the Independent Contractor Agreement), (ii) your failure to be
available to work for us beginning on the start date of the sales term as specified in the Independent Contractor
Agreement (iii) your failure to satisfy the Sales Condition set forth above, your obligation to return the Signing
Advance shall arise. By signing below you acknowledge and agree that you will have no right, title or interest in
and to the Signing Advance if you fail to meet the terms and conditions of this Letter Agreement and the
Independent Contractor Agreement, and you covenant and agree to return the full amount of the Signing Advance
to us within 5 days after your obligation to return the Signing Advance arises. In any event, the amount of the
Signing Advance shall be offset against any and all commissions and other compensation payable to you under
the Independent Contractor Agreement unless each of the Conditions, including the Sales Conditions, is fully
satisfied.
If you fail to timely return, if applicable, the Signing Advance to us as provided herein (i) you shall pay
any and all of our costs of collection, including attorneys fees and expenses, and (ii) we shall be entitled to
judgment against you for the full amount of the Signing Advance based solely on our affidavit verifying your failure
to timely return the Signing Advance and the sum of the Signing Advance owed. Further, you hereby waive the
right to service of process in any matter arising from your breach of this Letter Agreement.

ATTACHMENT B
CONSENT TO JUDGMENT
The undersigned is executing this Consent to Judgment in favor of Pinnacle Security, LLC, a Utah
limited liability company, or its assigns (the Company). In the event that the undersigned breaches that
certain Signing Bonus Letter Agreement by and between the Company and the undersigned and fails to
timely return the Signing Bonus to the Company within 5 days after the obligation to return the Signing Bonus
arises, the undersigned shall pay any and all of the Companys costs of collection, including attorneys fees,
incurred to collect the amount of the Signing Bonus paid to the undersigned that has not been returned to the
Company or otherwise offset against the compensation owed to the undersigned by the Company. The
undersigned shall pay the entire amount of the unreturned Signing Bonus, together with all attorneys fees
and costs incurred by the Company in connection therewith, with interest accruing at the rate of 10% per
annum, compounding annually. The Company is entitled to judgment against the undersigned for the
unreturned Signing Bonus based solely on the Companys filing for entry of judgment with an affidavit
verifying the undersigneds failure to pay the unreturned Signing Bonus. The undersigned hereby waives the
right to service of process in any matter arising from the undersigneds breach or failure to continue in the
Companys service. This Consent to Judgment shall be governed by and construed in accordance with the
laws of the State of Utah, without regard to the principles of conflicts of laws. By executing this Consent to
Judgment, the undersigned agrees to submit to the exclusive jurisdiction of and agrees to the venue of the
Fourth Judicial District Court of Utah County in the State of Utah. The undersigned agrees not to bring an
action in any court of law located outside the Fourth Judicial District Court of Utah in the State of Utah.
