EXCLUSIVE AND IRREVOCABLE

SPECIAL POWER OF ATTORNEY


KNOW ALL MEN BY THESE PRESENTS:
I,

_________________________________________________, do hereby name, appoint and
constitute ______________________________to be my true and lawful attorneys-in-fact, for me
and in my name and behalf, to do and execute all or any of the following acts, deeds and things,
singly or jointly:
1.
To sell, whether on cash or credit, a parcel of land and any and all improvements
thereon, containing an area of __________________________ square meters, more or less,
situated at _________________________ and covered by Transfer Certificate of Title (TCT)
No. _______________ issued by the Register of Deeds of __________ on ________________
and Tax Declaration No. _________________ for the land and Tax Declaration No.
_________________ for the improvements (the Property).
2.
To negotiate provisions, terms and conditions, make, sign, seal, execute and
deliver contracts, agreements and other writings with the buyer of the Property, including but not
limited to the Deed of Absolute Sale, Release, Waiver and Quitclaim and Indemnity Agreement.
3.
To receive the payment/s to _______________ and to issue, sign and deliver
acknowledgement receipt/s for the same.
4.
To secure the certified true copies of TCT No. ______________ from the Register
of Deeds of _______________ and Tax Declaration ________________ and Tax Declaration
No. ____________________ from the City Assessors Office in such number of copies as may
be necessary to transfer the title and Tax Declarations to the Property.
5.
To deliver the owners duplicate original of TCT No. _____________, and the
originals of Tax Declaration No. ______________ and Tax Declaration No. _________________
and the latest Official Receipts and/or proof of payment/s of real property tax, association dues,
and utilities (power, water, telephone, cable TV, etc.) to the buyer and his/her authorized
representative.
6.
To deliver possession of the Property to the buyer and/or his/her authorized
representative.
7.
To pay the capital gains tax, and sign and file the necessary returns therefor,
process, transact with, and secure and receive from the Bureau of Internal Revenue and to deliver
to the buyer the Certificate Authorizing Registration and Tax Clearance.
8.
To pay such other taxes, fees and costs as may be agreed upon with the buyer and
deal with different government agencies, such as but not limited to the Register of Deeds,
Assessors Office, City Treasurers Office and Bureau of Internal Revenue to effect the sale and
the transfer of the title and Tax Declarations to the Property.
9.
To cause the annotation of this Exclusive and Irrevocable Special Power of
Attorney with the Register of Deeds and surrender the owners duplicate original of TCT No.
____________ for this purpose and receive the same after annotation.
10.
To act for and represent ________________________ in all proceedings
involving the said property and for this purpose, to do, perform and consider all such matters as
may be brought up during any stage of the proceedings thereof including the Pre-Trial

Conferences/Stages thereof under Rule 18 of the Revised Rules of Court or other applicable
regulations such as (1) to sign and execute the Verification and Certification against forum
shopping; (2) to represent the corporation at the trial of the case and execute affidavits and avail
of provisional remedies; (3) to negotiate, conclude, enter into and execute a compromise or
amicable settlement of the case, under such terms and conditions as the said Attorney-in-Fact
may deem just and reasonable; (4) to agree on the simplification of the issues; (5) to amend the
pleadings; (6) to obtain stipulations or admissions of facts and of documents to avoid
unnecessary proof; (7) to limit the number of witnesses; (8) to undertake a preliminary reference
of issues to a commissioner; (9) the agree to the rendering of judgment on the pleadings, or
summary judgment or of dismissal of the action should a valid ground exist therefore; (10) to
agree to the suspension of the proceedings; (11) to do and agree on such other matters as may
aid in the prompt disposition of the action; and, (12) to do other acts related to the
aforementioned case under such terms and conditions as my said attorneys-in-fact shall deem
proper or necessary.

To perform any and all acts, and sign any and all documents necessary or
convenient to effect the foregoing.
12.
That the execution of this special power of attorney is coupled and vested with an
interest, and is irrevocable without the express written consent of my said attorneys-in-fact.
HEREBY GIVING AND GRANTING unto my said attorneys-in-fact full power and
authority whatsoever requisite or necessary or proper to be done in or about the premises, as
fully to all intents and purposes as I might or could lawfully do if personally present, with power
of substitution and revocation, and hereby ratifying and confirming all that my said attorneys-infact shall do or cause to be done under and by virtue of these presents.
