Dear Mr. Kurniadi,
We are pleased to offer you as Legal Officer of PT Surya Esa Perkasa Tbk with
effective from 1st July 2014.
The following will be the terms and conditions applicable to the position:
1. You will be paid a salary and allowances as indicated in Schedule 1 attached
to this letter.
2. Your employment is subject to satisfactory completion of probation
period of 3 (three) months, commencing from your date of joining.
3. During the training period either party may terminate the services at
anytime without reasons and payment whatsoever except that the Company
will compensate accordance with time worked.
The Company may terminate your employment summarily, without notice or
salary in lieu in such of notice in any of the followings situations:

You commit any major misconduct which can lead to dismissal


according to the current labor laws in force.
You willfully neglect the Companys interest, or
You become incapacitated through illness or accident due to your
own fault or misconduct, or
You in the opinion of the Company are incompetent to perform
your duties, or
You are discovered to have made or given a false statement or
document testifying to your ability, competence, education or
professional qualifications.

4. Your stationed will be at Jakarta. You should however be prepared to take


up assignments or transfer to other locations depending on the needs of the
organization.
5. You will be entitled to annual leave of 12 (twelve) working days with pay
after completion of 12 (twelve) months continued services.
6. You shall not at anytime during the continuance of your employment engage
directly in any other business or occupation whatsoever either as principal,
agent, servant, broker otherwise or engage in any activity to detriment,
whether direct or indirect, of the Companys interests, including the interests
of any of the associate companies.
7. You shall not at anytime be guilty of any act or conduct causing or calculated
to cause damage to the Company, its property, reputation or general
interests and in all respects and at all times to conduct yourself with
propriety and decorum.
8. You shall not at any time during the continuance of or after the termination
of your employment hereunder except by the direction or with the expressed
written approval of the Company divulge either directly or indirectly to any
person or Company knowledge or information which you may acquire during
the course of or incidental to your employment by the Company concerning
the affairs or property of the Company
Please sign and return the duplicate copy of this appointment letter as a token
of your acceptance to the terms and conditions of this letter.

SCHEDULE 1
REMUNERATION PACKAGE
1.

Salary: IDR 3,500,000 (Three Million and Five Hundred Thousand


Rupiahs) net of tax per SEP Payroll calendar. The salary will be payable
on the month end every month by PT Surya Esa Perkasa Tbk by bank
transfer to the Employees bank account or to any bank account notified
in writing by the Employee to PT Surya Esa Perkasa Tbk

Jamsostek as per company policy

4.

THR Bonus of one month will be paid on completion of one year service.

Of Legal or any other official as assigned by Management with Major Duties
:

To gather, prepare and analyze draft of general commercial contract and


review agreement data such as: decisions, legal articles, codes and
documents;

Drafts, reviews, revise and/or translates various company documents


such as contracts and other legal documents;

Conduct legal review of various functions to ensure compliance with


policies and procedures;

Ensure legal policy and procedure prepared, reviewed and improved to


meet company objectives;

To compile and organize track files of all important agreement, case


documents and all legal documents;

Perform the companys legal administration function;

Other tasks as required, including assists the Head of Legal and other
legal department colleagues for various tasks direction.
