for this opportunity to present India Contract Law, 1872
Vipul: Before we start I have very basic question for it, what is Contract? Anyone. .

Jitender: Right / wrong / somewhat right you said. The Contract is Lawful agreement
with a consideration.
Jessica: Now we have up come with this, we all have basic knowledge about Indian
Contract Law. We will now present you a famous case Lucy Vs Zehmer 1954 which
also refer as napkin contract. So I will not give any brief of the case except

I hereby sale this property to Jitender Sharma. For $50000, which he have to pay
today itself. And if he is not able to give that today then he will not come to me in
future for this property.

should also sign this document

and I am serious. So here is the payment so take it and that land will be mine.

Neha: I signed it because Vipul told me that it is a part of joke

discussion, go back to your home Jitender before I lose mind.

Jessica: hi my name is Jessica Sinha, I am a lawyer and represent Mr. Jitender
Sharma and regarding the contract you did and breached it later. So we are having
deposition on Friday, hope you see both of you there.

can buy your land today I have that much money so I said ok if you pay whole
amount today then it will be yours
Jessica: where was Neha at that time
Vipul: she was at cash counter
Jessica: and cash counter is little far from drinks table, so she might dont even
know what was going on, right neha
Neha: yes I didnt till the time Vipul came up with that contract paper and said sign
it
Jessica: and you singed it because he was high and saying that it just a joke
Neha: he was high but not that much
Jessica: one question coming up in my mind that, if Vipul you was high as you said ,
so how can you recall all of the thing what you both said and did. That means you
was drank but not lost your sense or not intoxicated to the extent of being unable
to comprehend the nature and consequences of the instrument he executed,

Vipul: yes
Jessica: hence that instrument is not to be invalidated on that ground
Neha: so what that mean
Jessica: that mean I want listen rest of the story from your side
Neha: all right, as I said earlier Vipul came up to me and ask for signing the paper

Jessica: so as per you both at the cash counter and we all cash counter is little far
away, is Vipul did this conversation loudly
Neha & Vipul: no
Neha: that was normal conversation with normal pitch
Jessica: as it is normal pitch conversation, it clarify that Jitender was not able to
listen what you both said to each other because few minute back you had said that
Neha you was not able to listen what they had because of distance and normal pitch
Jessica: Please continue
Neha: then he went out and came back in night at our house and said this is rest of
amount take it and that land will be mine
Jessica: Rest of the amount?
Vipul: as I am mentioning from very beginning that we are having fun and joke,
Jitender also gave $5 to seal barging.
Jessica: ok
Vipul: and then I denied to take that money, because there was no contract
Jessica: so Jitender, came up with consideration i.e. rest of money as per what was
decide to pay the whole money today.
Vipul: yes but only to his extent, I was not hopping that
Jessica: yes you was not hoping that because that was a joke or I must say because
you seriously think and enough confident that Jitender was not able to bring the
$50000 on that particular day and you will with no problem
Vipul: that is what I totally disagree with.
Jessica: Look Mr. and Mrs. Kumar there was faithful offer and faithful acceptance
with a consideration which make it contract and not even a contract a valid
contract, if we talk about free consent then there was all the person was with same
thing that is land and same sense selling it
Neha: when did we said that
Jessica: I cant take what all you said, because you are saying you are right and my
client too. So there must be one party who is lying
Neha: so you think that we are
Jessica: yes, contract had done sound person as accepted that although Vipul was
drank but still in senses. And it fulfills all the essential of law of contract. So can take
the rest of the amount now or we can meet in court.

Jessica: because according me there is not even a single hole remaining from where
you can say it my client is fraud or what actually I should say you both break the
law by breaching a valid contract.
All stop still where they are and Jitender will stand up or anyone like to
The Same fact what we have had discussed, present in court after as Jessica rightly
pointed that this particular contract fulfills all essential of contract and become valid
Mr. and Mrs. Kumar lose this case.
So what we had come up with have a contract which we actually do I think daily, but
read it, cross check it before signing it. This Contract thing will might come many
time in our life while we be in corporate. SO we must aware about corporate law,
Law of Contract and Business law by that we can help ourselves.
