Annexure-A

Eligibility criteria :
The bidder shall fulfil the following eligibility criteria.
[a] The Bidder shall be an Original Equipment Manufacturer [OEM] or their authorized agents or Indian Subsidiary
of OEM or consortium / joint venture in the business of manufacturing, supply, installation, commissioning and
maintenance of escalators.
[b] The Bidder should be registered with Registrar of Companies in India for the last three financial years, plus the
year of tender opening.
In case the Bidder is Consortium / Joint venture then the Lead Member shall fulfil the above clause (1.1).
Number of members in a JV firm shall not be more than three, one of the members of the JV firm shall be its lead
member who shall have a majority [at least 51 percent] share of interest in the JV firm.
A member of JV firm shall not be permitted to participate either in individual capacity or as a member of another JV
firm in the same tender.
The tender form shall be purchased and submitted only in the name of the JV Firm and not in the name of any
constituent member.
Normally Earnest Money Deposit [EMD] shall be submitted only in the name of the JV firm not in the name of
constituent member, However, in exceptional cases, EMD in the name of Lead member can be accepted subject to
submission of specific request letter from Lead member stating the reasons for not submitting EMD in the name of JV
firm and giving written confirmation from JV members to the effect that EMD submitted by the Lead member may be
deemed as EMD submitted by JV firm.
Once the tender is submitted, the MOU shall not be modified/altered/terminated during the validity of the tender. In
case the tenderer fails to observe/comply with the stipulation, the full Earnest Money Deposit [EMD] shall be liable
to be forfeited.
Approval for change of constitution of JV firm shall be at the sole discretion of the employer (railway) the
constitution of J V firm shall not be allowed to be modified after submission of the tender bid by the JV firm, except
when modification becomes inevitable due to succession laws etc. And in any case the minimum eligibility criteria
should not get vitiated. However the Lead member shall continue to be the Lead member of the JV firm. Failure to
observe this requirement would tender the offer invalid.
Similarly, after the contract is awarded, the constitution of JV firm shall not be allowed to be altered during the
currency of contract except when modification become inevitable due to succession laws etc. And if any case the
minimum eligibility criteria should not get vitiated. Failure to observe this stipulation shall be deemed to be breach of
contract with all consequential penal action as per contract condition.
On award of contract to a JV firm , a single performance guarantee shall be submitted by the JV firm as per tender
conditions. All the guarantees like performance, Bank guarantee etc. Shall be accepted only in the name of the JV
firm and no splitting of guarantees amongst the members of the JV firm shall be permitted.
Duration of the Joint Venture agreement, It shall be valid during the entire currency of the contract including the
period of extension, if any and the maintenance period after the work is completed.
Governing Laws The Joint Venture agreement shall in all respect be governed by and interpreted in accordance
with Indian Laws.
Authorised Member Joint Venture members shall authorized one of the members on behalf of the Joint Venture firm
to deal with the tender, sign the agreement or enter into contract in respect of the said tender, to receive payment to
witness joint measurement of work done, to sign measurement books and similar such action in respect of the said
tender/contract. All notices/correspondences with respect in the contract would be sent only to this authorized
member of the JV firm.
No member of the Joint Venture firm shall have the right to assign or transfer the interest right or liability in the
contract without the written consent of the other members and that of the employer [Railways] in respect of the said
tender/contract.
All the members of JV shall certify that they are not black listed or debarred by Railways or any other
Ministry/Department/PSU [ Public Sector Undertaking ] of the Govt. Of India/State Govt. From participation in
tenders/contract on the date of opening of bids either in their individual capacity or as a member of the JV firm in
which they were/are members.
The Bidder Shall demonstrate Technical Capacity and experience.
Technical Capacity :
For demonstrating technical capacity and experience the bidder (either individually or jointly with other consortium /
joint venture member, etc) shall have manufactured and supplied escalators for any application either directly to end
user or indirectly as Original Equipment Manufacturer (OEM).
At least 23 escalators for any application in the last 3 years, plus the year of tender opening anywhere in world out of
which at least 8 should be in India (in case of bid by JV, at least 12 escalators out of these 23 escalators should be
by the lead member of JV ) The bidder shall submit copies of purchase order / contracts and proof of its supply. The
word supply would mean that the escalator has been received by the consignee.
The bidder should have commissioned successfully at least 9 escalators of heavy duty, reversible type for semioutdoor application for public use in Railway / Metro rail / Airport / Stadiums / Public roads of Govt. In the last five
years. The Bidder shall submit proof of commissioning for the above information from the end user in the
prescribed proforma enclosed at Annexure D (i) & D (ii) for each escalator commissioned.

The bidder (either individually or jointly with consortium / joint venture members etc) should submit the license for
manufacturing of escalators from the Government in which country it is being manufactured and ISO 9001-2008
certificate for escalators. Bidder shall submit copies of documents / certificates for these.
Financial Capacity :
Total turnover of the Bidder shall be at least INR 15 crores during the last 3 financial years at the close, of the
financial year before the bid due date. In case of consortium / joint venture, the total turnover of Lead member shall
be at least INR 7.5 crores out of the total of INR 15 crores, during the last 3 financial years. Audited accounts of
Bidder (all members in case of consortium / joint venture) shall be submitted along with the bid as per Annexure D
(iii).
In case the bidder is is a consortium / joint venture a memorandum of understanding (MOU) addressed to the
Purchaser, defining the responsibilities of each member as prescribed in the enclosed Annexure-J, between the
parties involved in the consortium / joint venture duly notarized in India is required to submit along with the bid.
The bidder should submit all above relevant documents failing which offer will be summarily rejected.
Firm to forward the specific authorization letter from OEM for the tender, else their offer shall be summarily rejected.
OEM can authorize and give authorization for specific tender to its Agent / Dealers to quote on their behalf provided
the vendor takes full responsibility for the quality of the material including.
Evaluation Criteria: The offers received will be evaluated considering total price of 18 escalators with
training cost for manufacture, supply, installation, testing and commissioning of escalators at various
stations on Indian Railway, as per RDSO specification no. RDSO/PE/SPEC/TL/0095-2012 (Rev 1) to be
read with Annexure- Technical . For purpose of evaluation total value of 18 escalators with AMC will be
considered including ED & Sales tax/ VAT & freight etc. as applicable

6.1

The cost of AMC for three years will also be considered for evaluation.

6.2

Firm should give training to Railway personnel as per para 25.0 to 25.2 of RDSO specification free of cost.

6.3

The Consignee mentioned are tentative over N.F.Railway. Firm should give single freight charge for all
N.F. Consignee, N.F.R. may change the work site.
