Mills announces resubmission of Management Proposal to OEGM

Rio de Janeiro, April 15, 2016 - Mills Estruturas e Servios de Engenharia S.A. (Mills), in
accordance with article 10 of CVM Instruction N 481/09, hereby announces to its shareholders
and the market in general that has resubmitted to the Brazilian Securities and Exchange
Commission (CVM) the Management Proposal to the Ordinary and Extraordinary General
Shareholders' Meeting to be held on April 28, 2016 (OEGM), in view of the receipt of information
from shareholders.
The modifications were:
determination of the proposed number of members to compose the Board of Directors as
six members;
appointment of two new names to compose the list of candidates for the election of the
Board of Directors, in addition to those that had been appointed on March 28, 2016, provided
that the sixth name will be timely appointed;
appointment of representative of the minority shareholders in the Fiscal Council; and
adjustment to the estimated compensation of the Directors for the fiscal year 2016 to
reflect the new proposed number of members to compose the Board of Directors, as set forth in
item 1 above.
Sections 12 and 13 of the Reference Form annexed to the Management Proposal have been
adjusted as a consequence of the adjustments indicated above.
The updated version of the Management Proposal to the OEGM is available on CVM's website
Mills will maintain the market and its shareholders informed as to any further developments
related to the OEGM.
