1. INTRODUCTION

1.1. Purpose of this Document

The purpose of this document is to outline the Tender Process to Pre-Qualify


Tenderers and subsequently to receive Benchmarked Proposals from Pre-Qualified
Tenderers for the Balance of Plant Services for the Scieki Windpark in Poland.
Tenderers are requested to submit Proposals reflecting their experience of
delivering similar projects in the region. Furthermore this document provides
tenderers with guidance to the criteria to be applied in evaluating tenders submitted
in response to the Scieki Windpark Invitation to Tender. It outlines the criteria that
will be used to select the most economically advantageous tender.

For clarification, this tender is divided into two parts:


1) Supply and installation of 10 wind turbines, 2 MW each;
2) General contractor for installation of the turbines, cables, access roads and
other infrastructure

The remainder of this document refers to the tender process for the general
contractor for installation of the turbines, cables, access roads and other
infrastructure (Balance of Plant Services).

2. TENDER PROCESS

2.1 Tender Process

The Tender process will be in two stages:

Stage 1 – Pre-qualification of Tenderers to determine experience, competence and


financial security to deliver the Project.

Stage 2 – Benchmark Proposal including the price, technical capability and


commercial terms to deliver the Project. The Design Project for Scieki Windpark,
against which Tenderers will base their offers including the technical solution and
layout for the Scieki Windpark in Poland (the ‘Project’) for Pre-Qualified Tenderers
will be available from 15th March 2010.

2.1. Pre-Qualification - Tenderers are requested to provide the following information no


later than 15th March 2010. The Employer will use the response from the Tenderer
to evaluate whether the Tenderer has sufficient experience, competence and
financial security to deliver the Project in Poland. Only Pre-Qualified Tenderers will
be invited to submit a Benchmark Proposal. Tenderers who have been selected to
submit Benchmark Proposals will be informed by 17th March 2010. Tenderers
should provide the following information for evaluation on not more than 12 pages
A4 in total:

(a) Basic company information including; Name, Registered Address, Registered


Number, primary business, number of employees, turn-over and pre-tax profit
(for whole business and division / sub-division that would be responsible for
delivering the Project).

(b) Basic overview of organisational structure showing responsibilities for
delivering the Project, including employed persons, subcontracted persons
and the management of sub-contractors.

(c) A description of the experience and competence to deliver the Project in


Poland, including reference projects to be taken into consideration.

(d) Audited financial statements for the past two years. Confirmation that the
company can and will issue an industry standard pre-payment bond (equal to
a deposit paid) and a performance/warranty bond for the period of the
warranty period.

2.2. Benchmark Proposal – Pre-Qualified Tenderers will be requested to submit a


binding offer no later than 29th March 2010. The binding offer should include:

(a) Written presentation of their best offer in regard to compliance to: technical
aspects, proposed deviations if any, and economical conditions.

(b) Fixed price to deliver the works with detailed technical specification of any
variations to the Benchmark Proposal;

(c) Any variability to the fixed price;

(d) Acceptance or commentary on the provided Draft Contact Terms.

3. TOP LEVEL EVALUATION CRITERIA

3.1. The purpose of the evaluation is to select a preferred Tenderer with whom to
conclude negotiations (via a prescribed commercial and financial closure process).

3.2. The preferred Tenderer will be selected on the basis of the most economically
advantageous tender. Three top-level criteria will be considered in determining the
most economically advantageous tender. These criteria are:

(a) Economic Value which encompasses all of the quantitative, financial factors
relating to the bidding offer; and

(b) Technical Value which encompasses all of the quantitative technical factors
relating to the binding offer; and

(c) Qualitative Value which includes all the qualitative factors relating to the
Tenderer, the proposed services and their delivery.

3.3. The evaluation criteria will be weighted as follows for selecting the most
advantageous offer:

Economic Value - 30%

Technical Value - 40%

Qualitative Value - 30%

4. EVALUATION OF ECONOMIC VALUE

4.1. Economic Benefit will be determined by the Tenderers fixed price for the delivery of
the works taking account of the value of the transferred risk.

4.2. The financial model will assess:

(a) charges for agreed works and services;

(b) costs attributable to the Project arising from each bid;

(c) an assessment of the confidence that can be placed in the delivery of aspects
of the contract, including:

(i) Compliance and completeness of the offer in regard to the Design


Project;

(ii) any proposed benefits from the project design deviations the Tenderers
my suggest, (but to be visibly labelled as Alternative Solution) ;

(iii) the value of risks allocated to each Tenderer and retained by the
Project.

4.3. A risk analysis will be conducted to assess the extent to which risk has been
transferred from the Project to the Tenderers, under their offers.

5. EVALUATION OF TECHNICAL VALUE

The Technical Evaluation shall be subjected to following compliance criteria:

1) Level of compliance to the given design projects.


2) Timescale where the objective is to provide the shortest Execution Time
Schedule for the B.O.P.
3) Quality Management with minimum ISO 9001 certified within the activities of
the scope to be provided, and to work with qualified and experienced
subcontractors
4) The experience and competence of key subcontractors (list of qualified
subcontractors is required).
5) To have proven experience on Wind Farm (B.O.P) execution, and with good
credentials (provide evidence of Track record)
6) Local presence – how long established in Poland and evidence of similar
Wind farm (B.O.P) experience in the Country.
7) Reference projects and clients allow CE Energy and Enercap as entities
controlling ELWIATR PRUSZYNSKI Sp. z o.o. to consult Wind Farm owners
to test references.
8) Methodology for the works including evidence of a strong supported local
team (own workers and subcontractors).
9) Experience of working within a global certified procurement system such as
the ACHILLES or similar system.

10) C.V.’s of the project managers and other senior staff in the Site organization
diagram.
11) Health and Safety – provide the Standard version of the Health and safety
Plan, and to provide documented history of incidents and accidents on
similar works.

6. EVALUATION OF QUALITATIVE VALUE

6.1. The high-level Qualitative Value evaluation criteria are as follows:

A. Strategic Relationship which will take into account, amongst other things,
the quality of the supplies and work and further, the Tenderer’s senior staff,
understanding of the CE Energy and EnerCap’s objectives in the region, and
pro-activeness in building a durable partner relationship;

B. Commercial/Contractual which will take into account the degree of risk


accepted by the Tenderer, the performance incentives to provide the
services to time and quality and the degree to which the pricing mechanism
is advantageous and the contract terms are favourable to the Project.

7.1. Tenderers should address any questions regarding either the technical specification

later than 15:00 15th March 2010.

7.3. Benchmark Proposal Responses should be addressed to ELWIATR PRUSZYNSKI


Sp. z o.o. and be submitted by e-mail to be received no later than 16:00 Friday 26th
March 2010. A printed hard copy version of the Tender Response should be sent to
