This agreement is made at Delhi on this 26 day of November, 2013 (here in after the Effective Date)
BETWEEN
M/s. Netcore Info Solutions, having its registered office at C-20, Sector-2, Noida-201301, U.P. India.
AND
M/s XXXXXXXXXXXXXXXX. Having its registered office at XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX.
(Hereinafter referred to as the 2nd party which expression shall mean and include its directors, successors,
assigns, administrators and representatives of the other part)
WHEREAS
A. Netcore Info Solutions is a software development company having expertise in developing & maintaining of
software.
B. Services on terms and conditions contained hereinafter, which are mutually acceptable to the parties.

NOW, THEREFORE, THIS AGREEMENT WITNESSETH AS FOLLOWS:

1. CONSULTING SERVICES DEFINED:
The term Consultancy Services, when used in this agreement means the performance of professional services
that includes system analysis, software development, personal training to employees and maintenance of the
software
2. SCOPE AND ACTIVITIES:
Netcore Info Solutions shall provide and deliver School Management Software with below mentioned features:
1.

Student Management like Enrollment, Profile, Class, Batch, Fees, Edit, Delete etc.

2.

Library Management like Books Issued, Books Availability, Return Date (Student Wise, Books Wise, Date Wise

3.

Examination Management.

4.

Transport Management like routes, allotments, vendors etc.

5.

Fees Management like pending fees, current fees, miscellaneous fees etc.

6.

Employee Management like attendance, salary distribution etc.

7.

Accounts Management.

ADDITIONAL SERVICES PROVIDED BY THE COMPANY:

Maintenance and support will be provided for complete one year from the day of deployment (after beta
testing). After completion of this time period, Netcore Info Solutions will charge INR 1500/- per month for
maintenance and support as AMC.

4.

TERMINATION:
4.1 Each Party shall be entitled, without prejudice to any other accrued rights, to terminate this
Agreement:
a) If the other Party commits a breach which is incapable of remedy or fails toremedy any
breach capable of remedy within three (3) days of written notice by the other Party.

b) if the other Party becomes insolvent or is wound up or commits an act of insolvency or

winding-up or enters into receivership or liquidation (or anyequivalent thereof) whether
compulsory or voluntary, except liquidation for thepurpose of reconstruction or
amalgamation while solvent, by providing the otherParty with fourteen (14) days written
notice.
4.2 All rights and obligations of each Party shall extinguish upon the termination of this Agreement
except those that have accrued prior to and until the termination of this Agreement.
5.

WARRANTIES AND REPRESENTATIONS:

5.1 Each Party represents and warrants to the other that:
a) It has full power, capacity and authority to execute, deliver and perform this Agreement and
it has taken all necessary action (corporate, statutory or otherwise), to execute, deliver,
perform and authorize the execution, delivery and performance of this Agreement and that it
is fully empowered to enter into and execute this Agreement, as well as perform all its
obligations hereunder.
b) This Agreement constitutes a valid and binding Agreement between the parties, enforceable
in accordance with its terms and conditions.
c) c. Neither the making of this Agreement, nor compliance with its terms will being conflict with
or result in the breach of or constitute a default or require anyconsent under:
i. Any Judgment, Injunction, Order, Decree or Award which is binding upon such Party;
and/or such Partys Memorandum and/or Articles of Association.
ii. Any applicable Law, License, Permit, Approval or Consent.

6. CONFIDENTIALITY:
Each Party (in such capacity, the Receiving Party) undertakes that it shall not reveal or disseminate, and
shall ensure that its directors, officers, managers, partners, members, employees, legal, financial and
professional advisors and bankers (collectively, Representatives) who have access to the Confidential
Information (as hereinafter defined) provided by the other Party (insuch capacity, the Disclosing Party)
do not reveal or disseminate such Confidential Information, to any person other than those employees,
agents, contractors, subcontractors and licensees of the Receiving Party, or its affiliates, who have a need
to know it in order to assist the Receiving Party in performing its obligations under this Agreement.
7. ENTIRE AGREEMENT:
This Agreement sets forth the entire understanding between the Parties and supersedes all prior
agreements, arrangements and understandings relating to the subject matter hereof between the Parties.
8. NOTICES:
Any notices required to be served under the provisions of this Agreement shall be in writing and shall be
deemed to have been duly served if hand delivered or sent by facsimile with proof of transmission or
within India by Registered AD, registered or recorded delivery or outside India by registered airmail
correctly addressed to the relevant Party's address as specifiedin this Agreement as follows,

Notices given personally or by telegram or facsimile shall be deemed given on the date of delivery or
transmission, whereas notices given bymail shall be deemed given seven (7) days after mailing, unless there
exists any proof for earlier delivery.
9. AMENDMENT:
This Agreement shall not be modified, altered or amended in any manner whatsoever except by an
agreement in writing signed by both Parties in which this Agreement is expressly referred to.
10. ASSIGNMENT:
The right and obligations of the Parties under this Agreement cannot be assigned unless mutually agreed in
writing and signed by both Parties.
11. Netcore Info Solutions RIGHT TO CONTRACT FOR SIMILAR WORK:
Netcore Info Solutions reserves the right to contract with other parties for work similar to the work
performed under this agreement.
12. PAYMENTS:
Netcore Info Solutions will provide the above package at Rs. 81,999/- only (Eighty One Thousand Nine
Hundred Ninety Nine Only). YCC will charge 40% of amount of the contract price in advance i.e. Rs
32,800/-, 40% at the time of the approval of software demo with complete features and last 20% after
deployment of complete Software & all its content. Netcore Info Solutions will forfeit 40% of the signing
amount of the contract price, if the company (M/s XXXXXXXXXXXXXX.) backed off after signing the
contract. All payments shall be made via cash or cheque in favor of Yash Computers Company.
13. TIME LIMIT:
Total duration for this project would be around 70 - 75 working man days after excluding holidays and
Weekends.
14. ALL AMENDMENTS IN WRITING:
No amendments in this agreement shall be effective unless it is in writing and signed by duly authorized
representative of both the parties.
IN WITNESS WHEREOF, the Parties have caused this Agreement to be duly executed and delivered as of the
day and year first above written.
