Design/methodology/approach
Acomprehensivereviewofthecorporategovernance(CG)literatureisundertaken,withaparticularfocus
on director contributionto board effectiveness.
Findings
TheliteraturereviewrevealedanumberofissuesintheCGliteraturethathighlighttheneedtoclarify
board director roleandpaycloserattentiontotheprocessesneededfor directors toperformtheirrole
effectively.Theseissueshavebroadlybeenclassifiedinto:conceptualissuesregarding board effectiveness
and director contributionamethodologicalissueoflevelofanalysis( board asagroupanda director as
individual)failureofmuchoftheliteraturetoaccountfortheexternalcontextinwhichthe board directors
operateandprescriptivenatureoftheliterature.
Originality/value
IssuespertinenttotheCGliteratureidentifiedinthispaperholdtheoreticalandpracticalimplications.
