Non Disclosure Agreement

J40/ 6415/2009, duly represented by Mr. Alexis Bonte(herein ERPK)

Whereas:
- ERPK is developing the Erepublik Project. - ERPK possesses certain ideas, information,
intellectual property relating to the erepublik project - hereinafter confidential information; ERPK will disclose the confidential information to the Recipient in view of participating in the
translation of new sections of the Erepublik Project in certain languages specified by ERPK; ERPK wishes to ensure that its Confidential Information is kept and remains strictly confidential;
- the Recipient is willing to receive disclosure of the Confidential Information pursuant to the
terms and for the sole purpose of this agreement. - The Recipient acknowledges the desire and
right of ERPK to preserve the secrecy of its Confidential Information and agrees to keep the
Confidential Information confidential and not to disclose or attempt to disclose it without ERPK's
prior written consent.
NOW, THEREFORE, the Parties agree as follows:
1.Confidential Information shall be any information about ERPK's activities and affairs,
including any kind of information about the erepublik Project, disclosed by ERPK or by others in
its behalf, to Recipient, either orally, in writing by electronic means or in any other way,
translated from the original, modified, updated or altered, originated or obtained by ERPK. This
includes: information about the business practices of ERPK, development plans, strategic
alliances; any financial information, marketing sales records, costing and pricing information,
information relating to gross and net profits; any marketing information, including any customer
details; technical information, including computer programs, codes, access passwords, software
systems and databases; licensing and distribution agreements; product information trade
secrets, product descriptions, ideas and development plans for new products and services, but
not limited to: logic and process flowcharts, diagrammatic representations of functionality and
any other aspect of the product and/service, functional specifications, screen layouts and mockups, entity-relationship diagrams, and any other material that describes the ideas, functions,
operation, outcomes, of any products and services owned and/or currently being developed by
ERPK; know-how drawings, plans, formulae, designs, copyright and other intellectual property
disclosed by ERPK; or any other information related to the Erepublik project.

2.Recipient shall not use or attempt to use, for his own benefit or for the benefit of any other
person or entity, shall not disclose, or permit any person to obtain any Confidential Information,
or disclose to any person the existence or and contents of this agreement and any other
instruments entered into in connection to this agreement, the contents of any discussions or
correspondence between the parties, except as specifically authorized in writing by ERPK.
3.All materials delivered by ERPK to Recipient pursuant to this Agreement shall be and remain
the property of ERPK, and all such materials, and any copies thereof, shall be promptly returned
to ERPK upon request.
4.The Parties hereto agree that the Recipient is released from this obligation of confidentiality, in
respect to any information which is furnished by ERPK, confirmed in writing that it is not
confidential.
5.The Recipient agrees to ensure the secure custody of the Confidential Information and must
take all reasonable precautions to prevent the access, use or disclosure of this information;
6.The Recipient hereby assumes liability for any loss or damage suffered by ERPK for breach of
this Agreement, by himself or any of his agents, including for loss of profits from business
opportunities forgone.
7.Term and Termination. The Recipient will be bound by the provisions of the present Agreement
until expressly released in writing from his obligations by ERPK.
8. No change, modification or alteration to this Agreement shall be binding on the Parties unless
approved in writing. Recipient may not assign this Agreement without the prior written consent
of ERPK.
9.This Agreement and all terms and conditions hereof shall be construed and in all respects
governed by the Romanian Law, without reference to conflicts of law provision.
Penalty Clause:
The Recipient shall undertake to pay a contract penalty of 3500 to ERPK if obligations arising
from this agreement are breached or if the Recipient uses any obscene, offensive or
inappropriate wording in the translations. The contract penalty shall not be deductible from any
claim for damages and penalty shall survive the term of this Agreement and all extensions or
rollovers. In the event of contravention, ERPK shall also file a criminal complaint action with the
relevant public prosecutors office.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement effective as of the
date first written above. The present agreement will be signed in 2 copies, for each of both
parties involved.
