OF
VIVEK SINGH MEMORIAL TRUST
This deed of public charitable trust is executed on this 14th day
of May2007 by SMT. PROMILLA SINGH, herein after called as
"Founder" (which expression shall, unless excluded by or
repugnant to the context, be deemed to include her heirs,
executors, administrators and representatives etc.) as under.
WHEREAS the FOUNDER, have decided to start public
charitable work for the socio-economic & educational
development of the society with special focus on remote and
rural areas as detailed herein under 4.0 "Aim and Objects of the
Trust".

As and when require d, persons may be co-opted to the

Board of Trustees for a s p e c i f i c period or for life by the M a n a g i n g
Trustee but the t o t a l number of the members shall not exceed SEVEN.
Sri Raj Kumar S in gh being t he m a n a g i n g Trustee shall be
the Secretary of the Trust and look after day to day works of the Tru s t .
Other office bearers as per r e q u i r e m e n t s of the Trust may be e lect ed by
th e members of the Board of t r u s t e e s amongst its members.

4. AIM AND OBJECTS OF THE TRUST

for the use and convenience of general public.

To aid, est abl ish, take over or c o l l a b o r a t e with any institution or

assoc iat ion, having id ent ical aims and objectives as t h a t of the
trust for physical, mental, spir it ual, e d u c a t i o n a l development.

h) To est ablish any institution or trust for the welfare of v ic t i m s of

na t u r a l c a l a m i t i e s and to provide food and she lt er to needy
persons from t im e to time.
i) To e st ab l is h an y institution or trust for r elig ious wo r s h i p and
knowledge or for the welfare, m a i n t e n a n c e and development of
o r p h a n s of any community or society.
j) To accept do na t i o ns or raise su bs cr ip t i o ns from members of the
Board of Trustees or from any other person or o r g a n i z a t i o n s and to
invest the f unds of the trust with the indiv idua ls, institutions, f ir m s
or companies for providing income to the Trust on such terms and
co nd i t i o ns as may be deemed proper and necessary for the
f u l f i l l m e n t of the aims and objects of the Trust and to further its
interest as enumerated above.
k) To engage, employ or hire a p p r o p r i a t e staff, workers, legal experts and
other prof essionals, attorneys, managers and agents to look after
the work and for furtherance of a i m s and objects of the Trust and to
pay t h ei r wages, salar ies, st i p en ds or fees etc.
I) To set up va r i ou s committees for looking after the work and for
furtherance of a i m s and objects of the Trust.
m) To p u r c h a s e / a c q u i r e land on lease /or bu i lt - u p bu ild ing in the
name of Trust and make construction thereupon for the f u l f i l l m e n t of
the a i m s and objects of the trust.
n) To do other t h i n g s / a c t s/ a c t i v i t i e s wh i ch are necessary and wh i ch
may be inc ident al or conducive to for the
f u l f i l l m e n t of the above a i m s and objects of the trust, for
advancement of a n y other object/or objects that are legally c h a r i t a b l e
and of general p u b l i c ut ilit y and sha11 not be limited or
restricted to any p a r t i c u l a r r eligio community caste or creed.

BOARD OF TRUSTEES

(i) The Board of Trustees s h a l l c o n s i s t of not less than THREE and

not more t h a n SEVEN members.

( ii i ) Sh. Rajkumar S i n g h s h a l l be t he M a n a g i n g Trustee and will hold

o f f i c e for life t i m e or until he r e s i g n s .
(iv) In the event of t he o f f i c e of t he m a n a g i n g t r u s t e e b e c o m i n g
v a c a n t , Smt P r o m i l l a S i n g h will become the m a n a g i n g t r u s t e e
a n d w i l l hold o f f i c e for life or until she r e s i g n s . In t h e event of
office of m a n a g i n g t r u s t e e be i ng f u r t h e r v a c a n t , Dr. V i j a y
S i n g h shall be m a n a g i n g t r u s t e e for life t i m e or until he
r e s i g n s . The next successors w o u l d be n o m i n a t e d by him or by
his will from t he f a m i l y members of founder/ M a n a g i n g Trustee a n d
so o n - s o f or t h. If none of the members of f a m i l y of founder/
M a n a g i n g Trustee is w i l l i n g or a v a i l a b l e , t h e b o a r d of Trustees
shall elect the M a n a g i n g t r u s t e e from amongst t h e m s e l v e s .
(v) Smt. P r o m i l l a S i n g h s h a l l hold o f f i c e for life.
(vi) Rest all t r u s t e e s s h a l l hold o f f i c e for a f i xe d term of
FIVE
years
from
t he
dat es
of
their
a p p o i n t m e n t / n o m i n a t i o n a n d after c o m p l e t i o n of the term,
t h e i r o f f i c e w i l l a u t o m a t i c a l l y become vacated but such
members c a n be r e - a p p o i n t e d / r e - n o m i n a t e d on the e x p i r y of
t h e t er m by M a n a g i n g Trustee.
( v i i ) The M a n a g i n g Trustee s h a l l be free to co-opt any person as
t r u s t e e who may be h e l p f u l in a c h i e v i n g the objects of t he Trust
as member or for new p o s i t i o n s if felt necessary by him to be
created.

6. POWER. FUNCTION AND DUTY OF THE TRUST:

(i) The Board of trustees may by r esolut ion extend/amend/alter/modify the
ac t i vi t i es of the Trust or undertake any a ct iv it y or make rules for
any matter not provided herein in furtherance of the objects of the
trust.
(ii) The Board of trustees s ha l l have power to frame rules and r eg ul a t i on s
as to the duties and r es po ns i b i li t i e s of each member, and for
a p p o i n t m e n t /const it ut ion of executive committee, sub-committee,
advisory board, and for conduct i ng a n y other matter connected with
the a d m i n i s t r a t i o n of the trust management and shall:

g. Open account in the name of the Trust, with a
Bank or Banks, to operate such account and to
give instr uct ions to the Bank and to provide for

opening and oper at ion of such account by one or more of

the persons of Board of trustees or by an agent ap po i n t e d by
the Board of trustees.
h. Adjust, settle compromise, compound refer to ar bit r at ion, all
actions, suits claims, demands and proceedings
r egar din g the Trust Fund.
i. Appoint or make provision for the a p p o i n t m e n t of any person
for the purpose of the a d m i n i s t r a t i o n of the Trust in such
manner and subject to such rules and r e gu l at io ns as the
Board of trustees may su bs cr ib e except for the life time
members and t h e i r succession s h a l l be as per c la u se
under section 5 (iii to v).
j. Make, vary, alter or modify schemes, rules and r e gu l at io ns for
a t t a i n m e n t of the objects of the Trust and for the
management of a f f a i r s thereof or for running any
institution in furtherance of the objects of the Trust and
otherwise for givin g effect to the objects the Trust.
k. Start, abolish, d is c on t i n ue and restart any c h a r i t y or
c h a r i t a b l e inst it ut ions for the benefit of the g en er a l
publ ic and to impose any cond it ion to any s ub sc r i pt i on
or d on at i on s to be made by them.
I. Set a p a r t and / or a l l o c a t e the whole or part of the income or
the corpus of the Trust Fund or part thereof for any of the
objects of the Trust.
m . Join, co-operate or a m a l g a m a t e this Trust with other or
others having kindred or allied objects, upon such terms and
c on d it io n s as the Board of Trustees may in its discretion
t hi nk fit, p a r t i c u l a r l y having regard to and in conformity
with the objects and nature of this Trust.
n. Give aid by way of do na t i o ns out of the income or the corpus
of the Trust Fund or otherwise, to different c h a r i t a b l e
institutions, societies, o r g a n i z a t i o n s in India wh i ch
may have been e st ab l is h ed

presents or a n y of them to e n a b l e such institutions,
societies, o r g a n i z a t i o n s to start m aint ain, or carryout

Settle all accounts and to compromise, abandon, or refer to
or things, as deemed proper for such purpose w i t h o u t
being r espons ible for any loss occasioned thereby.
Borrow money eit her on the secur it y of any property of the
Trust or otherwise for all or any of the purposes of the Trust,
and it shall be lawful for the Trust to make such borrowings on
payment of such interest or otherwise on such terms and
co nd i t i o ns as it may in its ab so l ut e discretion t h i n k fit.
Apply to the Government, pub lic bodies, urban, local,
m unicip al, dist r ict and other bodies, corporation,
companies, or persons for g r a n t of money and of aid,
donations, gifts, subscr iptions, a ff i l i a t i o n and other
a s s i s t a n c e with view to promoting the objects of the Trust
and to negotiate with the Government departments, Public
and other Bodies, corporations, companies or persons,
scheme and other works and matters wi t h i n the objects of the
Trust and to accept a n y proper c on d it io n s on wh i c h such
g r a n t s and other payments may be made.
Take over, acquire, manage, control, and aid or
a m a l g a m a t e any exist ing institution or inst it ut ions
having objects ei t h er wholly or in part s i m i l a r to the objects
of this Trust and on such terms and co nd i t i o ns as may be
t ho ug ht expedient.
Purchase or otherwise ac qu i r e and undertake all or any part
of the property, assets, l i a b i l i t i e s and engagements of a n y
or more of the societies, trusts, inst it ut ions or
a s s o c i a t i o n s with wh i ch this Trust is au t h or iz ed to
amalgamate.

t. S u b m i t a p p l i c a t i o n wi t h the Commissioner of Income-tax for

r egistr at ion of the Trust as C h a r i t a b l e Trust in order to be
granted necessary tax exemptions.

FINANCE OF THE TRUST:

(i) All a ct iv it ie s of the Trust sh a ll be in Non Profitable and shall be done
on "NO Profit- No Loss basis. "
(ii) The Board of Trustees sh a ll be a c c o u n t a b l e only for such money and
f unds wh i c h w i l l a c t u a l l y come into t h ei r hand.
(iii) At the beginning, the Trust sh a ll be started with an in it ial corpus of
Rs. Five t h o u s a n d s only wh i c h will be given by Smt. Pr om il la
Singh. Thereafter, f unds shall be collected thr ough fees and
s ub sc r i pt i on s from students and other persons who receive benefit
from the Institutions run by the Trust.
(iv) The Trust will accept d o n a t i o n s and vo lu n t e er contr ib ut ion in a n y
form from i n di v id u a l or o r g a n i z a t i o n s , it may accept aid from
Government or corporate body or raise fund by borrowing money with
or without interest from Banks, F i n a n c i a l Institution or
in d iv i d ua l s. The borrowed money wi l l be returned as per the terms
and co nd i t i o ns of the loan.
(v) All the incomes, ear nings, movable / i m m o v a b l e properties of the
Trust sh a ll be solely utilized and a p p l i e d towards the promotion of
its aims and objects as set forth herein above and no profit thereof
shall be paid or transferred d ir ec t l y or indir ect l y by way of
dividends, bonus, profits or any other manner whatsoever to an y
present or the past member of the Trust or to any other person. No
member of the Trust shall have any personal c l a i m on any movable or
i m m o v a b l e property of the Trust or make any profit, whatever, by
vir t ue of his/her membership.
(vi) The Trust Fund sh a ll be augmented by the income from init ia l fund and
a l s o by d on at i on s and other contr ib ut ion from time to time.

(vii) The Trust Fund s h a l l not be a p p l i e d to any other than those

specified in Section 4 herein above unless the other objects added
to the Trust Objectives
(viii) The fund of the Trust sh a ll be ut ilized for the m aint ena nce,
development and e xp an s io n of the Trust and inst it ut ions run by
the Trust. Any i m m o v a b l e property a cq u ir ed s ha l l be registered in
the name of the Trust or inst it ut ions run by the Trust.
(ix) The office bearer sh a ll always m a i n t a i n proper accounts of the Trust,
wh i c h sh a ll be kept at the office of the Trust. The accounts wi l l be
aud it ed once in a year by a qu a l if ie d A u d i t o r appoi nt ed by the
Board of trustees.
(x) The f i n a n c i a l year of the Trust s ha l l be from April to March.
(xi) The Bank account of the Trust s ha l l be opened in any scheduled bank
in B i h a r ( P a t n a / J a yn a g a r / M a d h u b a n i ) or at other places
wh i c h board of trustees may decide later if required to smoothly
manage the f i na nc e of the Trust and would be j o i n t l y operated by Raj
Kumar S ingh and Pr om i lla Singh.
(xii) Member of the Board of trustees shall not be given any r em uner at io n
on account of its service to the trust except repayment of out of pocket
expenses and interest on money lent or rent for premises/demises to
the Trust.

8. MEETING AND CONDUCT OF BUSINESS

(i)

The M a n a g i n g Trustee h i m s e l f or other trustee

duly a ut ho r i ze d by m a n a g i n g trustee may issue notices
convening the meetings of Board of Trustees.

(ii)

The board of trustees sh a ll meet at least once in

a year ei t h er at the registered office of the Society or at the
residence of M a n a g i n g Trustee. One third members s h a l l
form the quorum. O r d i n a r i l y
seven
clear
days
notice shall be

required for c a l l i n g a meeting but in exceptional

circumstances there may be an emergent meeting even at one
day's notice.
(iii)

All dec isions at a meeting of the Board of

Trustees shall be taken by s i m p l e majority of the members
present and voting at the m eeting. However, for
a m e n d i n g an y provision of the Const it ution of the Trust,
acceptance by two third of members present, would be
necessary and voting sh a ll be required.

(iv)

The M a n a g i n g Trustee or other trustee under the

au t h or it y of m a n a g i n g trustee shall c h a i r the meeting.

(v)

The minutes of the proceedings of every meeting

of the board of Trustees shall be entered in a book to be kept
for t h at purpose and signed by the C h a i r m a n of such
meeting or of the f o l l o wi n g meeting when they are read over
and shall when so entered and signed be co nc l us i ve
evidence of the business and other matters transacted at
such meeting.

(vi)

A resolution in wr i t in g c ir cu l at ed among all the

members and signed by a majority of them shall be as valid
and effectual as if it had been duly passed at a meeting of the
Board of Trustees duly called and convened.

9. CESSATION OF MEMBERSHIP:
(i)

Every fixed term member of board of trustee will

be at libert y to resign from his office by giving one month's
notice of his intention to do so.

(ii)

Above such member s h a l l cease to be a member

of Trust if he/she, wi t h o u t leave, fails to attend three
consecutive meetings of the Board of Trustees.

(iii)

In case fixed term member is requested to resign

by two third majority of r em a in i ng members of

board of Trustees, his/ her office shall be deemed to have

been vacated.

10. DISSOLUTION:
If at least two third number of members of the Board of
Trustees resolve to dissolve the Trust and get it r eplaced by
another Trust, in a meeting s p e c i a l l y calle d for the purpose,
the Trust shall dissolv e and be replaced by a substitut e
Trust as per the resolution adopted in that sp ec i a l
meeting.
