DESCRIPTION OF PROPOSED ACTIVITY: NASA wishes to bail the two (2) OV-10G
aircraft to NAVAIR for the Bailee to develop a prototype aircraft for evaluation by the
Department of Defense (DoD) (such activity, the DoD demonstration). The aircraft will
be returned in a NASA-specified configuration at the end of the DoD evaluation.
NASA RESPONSIBILITIES:
1. Provide Airworthiness Certification for the current NASA configuration and
following modifications at the Primary Modification facilities.
2. Conduct Joint acceptance flights with NAVAIR.
3. Fly aircraft to Primary Modification facility and to Bailees facility.
4. Be responsible for aircraft during transport from NASA to modifications facilities,
and to the Bailees facility prior to bailment.
5. Bail aircraft to NAVAIR after the completion of the Modifications.
6. Provide NAVAIR with all necessary parts to build a maintenance support pack-up kit
from the available spares in the OV-10 storage units.
7. Support NAVAIR with readily available spare parts currently in NASAs possession
throughout DoD demonstration.
8. Provide NAVAIR with pilot and maintenance consultation and support as requested.

PARTNER RESPONSIBILITIES:
1. Conduct Joint acceptance flights on the current aircraft configuration and following
aircraft modifications.
2. Return all NASA avionics removed from the aircraft at the time of their removal.
3. Return aircraft with all maintenance items current along with associated maintenance

documentation.
4. Return aircraft with a monotone paint job and all military and NAVAIR-specific
markings removed.
5. Return the aircraft with all upgraded digital cockpit components as described in the
Joint NASA/NAVAIR Cockpit Upgrade Critical Design Review
6. Return the aircraft with upgraded digital cockpits
7. Reimburse NASA for all fuel consumed during the flights conducted prior to
bailment of the aircraft to NAVAIR.
8. Reimburse NASA for Civil Service labor at a rate of $72.535/man hour and
Contractor labor at a rate of $90/man hour for those activities associated with the
preparation and flights of the aircraft prior to bailment of the aircraft to NAVAIR.
9. Reimburse NASA for travel expenses for those NASA personnel involved in the
activities associated with this Agreement prior to bailment of the aircraft to NAVAIR.
10. Reimburse NASA at a rate of $1,950 per flight hour for those flights conducted prior
to bailment of the aircraft to NAVAIR.
11. Be responsible for all modifications and flights required for the DoD demonstration.
12. Be responsible for aircraft during (i) bailment, and (ii) modification or storage at
modification facilities and/or Bailee facility prior to bailment.
13. Store the ejection seat pyrotechnics during the term of this effort in accordance with
the aircraft configuration and requirements plan.

DESCRIPTION OF HOW AGREEMENT SUPPORTS NASA M ISSION: TIle goal of
this reimbursable activity is to bail the two (2) OV- lOG aircraft to NAVAIR for tIle
Bailee to develop a prototype aircraft for evaluation by the Department of Defense . 111is
activity esta blishes a new strategic paltnCTShip regarding these airc raft. The Agreement
also may lead to a new strategic partnership in which NAVAIR utilizes NASA aircraft as
platfonns for flight testing advanced electronic systems for the U.S. Navy.
ADDITIONAL COMMENTS: The benefits to NASA include not only reimbursable
dollars, but new upgraded cockpit avionics for these aircraft. The aircraft currently are ill
flyable storage al NASA Langley. The aircraft have linlited use to NASA researchers ill
their current configuration due to the outdated avionics packages.
Due to namre of the requirement and the fact thaI this is "high-profile" tasking, the Navy
has requested that NASA waive its priority of use clause and the right 10 temlination
upon 30 days written notification. in order to allow the Navy to retain the assets mltil
such linle as the DoD demonstration is complete, or for the entire 2-year period of the
Space Act Agreement, whichever occurs first .
The Navy has requested that NASA limit the Navy's liability to $30,000 per aircraft (the
amount NASA expended in remming each aircraft to flight starns at the General Senices
Administration (GSA) storage facility in Maryland).
