AnewSection9AisinsertedbytheFinanceAct,2015.Itprovidesthatinthecaseofaneligibleinvestment
fund, the fund management activity carried out through an eligible fund manager acting on behalf of such
fundshallnotconstitutebusinessconnectioninIndiaofthesaidfund(subjecttocertainconditions).
Conditionsforaneligibleinvestmentfund
ItfurtherprovidesthataneligibleinvestmentfundshallnotbesaidtoberesidentinIndiaforthepurposeof
section6merelybecausetheeligiblefundmanager,undertakingfundmanagementactivitiesonitsbehalf,is
situatedinIndia.
Theoffshorefundsshallberequiredtofulfilthefollowingconditionsduringtherelevantyearforbeingan
eligibleinvestmentfund:
a)fundisnotapersonresidentinIndia
b)fundisaresidentofacountrywithwhichdoubletaxationavoidanceagreementhasbeenenteredinto
c)aggregateparticipationorinvestmentinthefund,directlyorindirectly,bypersonsresidentinIndiadoes
notexceed5%ofthecorpusofthefund
d) fund and its activities are subject to applicable investor protection regulations in the country of its
residence
e)fundhasaminimumof25memberswhoare,directlyorindirectly,notconnectedpersons
f)anymemberofthefundalongwithconnectedpersonsshallnothaveanyparticipationinterest,directly
orindirectly,inthefundexceeding10%
g)aggregateparticipationinterest,directlyorindirectly,oftenorlessmembersalongwiththeirconnected

Thefollowingconditionsshallberequiredtobesatisfiedbythepersonbeingthefundmanagerforbeingan
eligiblefundmanager:
a)personisnotanemployeeoftheeligibleinvestmentfundoraconnectedpersonofthefund
b) person is registered as a fund manager or investment advisor in accordance with the specified
regulations
c)personisactingintheordinarycourseofhisbusinessasafundmanager
d)personalongwithhisconnectedpersonsshallnotbeentitled,directlyorindirectly,tomorethan25%of
theprofitsaccruingorarisingtotheeligibleinvestmentfundfromthetransactionscarriedoutbythe
fundthroughsuchfundmanager.
