Placement Agreement

Placement Details
Placement Service: Dencom Consultancy & Manpower Services (Dencom) shall conduct,
launch, and search for qualified professional for possible placement with the Client. Dencom
will probe and gather information vital to the specific search requirements of Client. This shall
include, but not limited to, job objectives, scope and critical priorities of the position,
qualification profiles, remuneration packages and other relevant information.
Position:
To All Positions
Professional fee: 15% of Annual Gross Salary which specifically includes: Monthly
Basic Salary, Signing Bonus (if any), Language Premium (if any) and Cash Allowance
multiplied by the number of months paid by the company. (Basic Salary x 13 months,
Language Allowance (if any) x 12 months and Cash Allowance x 12 months)
Computation as follows:
Monthly Basic Salary x 13 months
Language Premium (if any) x 12 months
Cash Allowance x 12 months
Total Amount x 15% = Placement Fee*
* Placement fee is net of any withholding tax plus VAT. No VAT for VAT ZERO
RATED Companies.
Terms of Payment:
Billing will be sent on the starting day of the applicant to work in the office of Client.
Payment shall be made within thirty (30) days from receipt of the billing invoice. An additional
charge of 3% per month of the total billing will be imposed from the due date until full payment
thereof if the client fails to pay within the period provided herein.
Guarantee:
In the event that a hired candidate is separated from Client voluntarily or involuntarily, for any
reason (except merger, retrenchment, installation of labor saving devices, closure or cessation
of operations), within one (1) month period from hire date, Dencom will replace said candidate,
at no additional charge to Client.
Resume will be sent to the Client within 24 hours from receipt of the fully signed placement
agreement, and interviews will be commenced within 48 hours therefrom.
Confidentiality:
Dencom shall hold with strict and utmost confidentiality all information obtained from and
provided by the Client to Dencom, and shall not disclose the same to any third party without the
express prior written consent of Client. Confidential information does not include those that
is/are or become/s available in the public domain, through no wrongful act on Dencoms part.
Dencom understands that a breach of this confidentiality obligation shall cause irreparable
damage to Client for which Dencom shall be liable. This confidentiality obligation shall survive
the termination or expiration of this Agreement and any renewal or extension of its term.

Term and Termination:

This Agreement shall be valid for a period of one (1) year from date of signing by both parties,
unless sooner terminated as herein provided. It may be renewed or extended upon mutual
agreement by both parties in writing. Either party may, at any time, pre-terminate this
Agreement by giving the other party at least seven (7) calendar days prior written notice.
Candidate Ownership
Ownership of candidate by Dencom to the Client shall be valid up to twelve (12) months from
the date of first endorsement or first screening whichever is the most current unless a copy of
signed agreement or amended agreement has been approved in writing by both Dencom and
Client. This is the twelve months period that a candidate or applicant was not processed in any
post available.
Prohibition Clause:
The Client is prohibited to hire any applicant directly or indirectly introduced by Dencom if the
Client fails to pay the placement fee and/or without the knowledge or consent of Dencom, which
consent shall not be unreasonably withheld.
