MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding (hereinafter called "MOU") is made and entered into effective as of
this 7th Day of June 2016
By and between
FIC SYSTEMS & SERVICES LTD., Glas Haus Building, Level P, Unit P-01, 1 Soi 25, Sukhumvit Road,
Wattana, Bangkok 10110, Thailand. hereinafter called FIC.
And
CMJ Services Pvt Ltd, C.I # U51909WB1996PTC079866, having its Registered office at Diamond

WHEREAS, FIC is considered as a pioneer company in Thailand and serves a number of valued clients
there Myanmar & Vietnam
WHEREAS CMJ established in India, is the specialists and pioneer in the field of Refractory Lining,
Insulation application, Acid Proof Lining, Mechanical Fabrication & Erection.
WHEREAS, both FIC and CMJ express their serious interest and desire to enter, by virtue of this
MOU, into long term business relationships in the field of REFRACTORY, INSULATION, ACID PROOF ,
GUNNITING , MECHANICAL FABRICATION & ERECTION.
NOW THEREFORE and in consideration of the premises and mutual covenants contained herein, FIC
and CMJ (collectively referred to hereinafter as the Parties and individually as a Party) hereby
agreed as follows:
1.

The Preamble & Recitals:

The above Preamble and Recitals (containing the Whereas) are considered as an integral part of this
MEMORANDUM OF UNDERSTANDING (MOU).
2. The Objectives:
2.1

General

Both the Parties have agreed mutually and signed this MOU to record their willingness to collaborate in
Procuring Business for REFRACTORY,INSULATION, ACID PROOF, GUNNITING, MECHANICAL
FABRICATION & ERECTION for THAILAND & other clients.
2.2
SCOPE OF WORK:
FIC SYSTEMS & SERVICES LTD. as Local & First Partner, shall provide/ arrange the following services:
Start-up of a marketing agency on behalf of CMJ SERVICES PVT. LTD., India at Bangkok in its own
premises.

Getting Visa Quota approved and organizing in getting visa for required manpower from CMJ.
Giving all necessary support for Legal Works, Procedure, Contractual issue, Labor Laws, etc.
Identifying the Projects & Clients to work, with basic information.
One Local partner signing authority always to be available in THAILAND whenever required.
Giving all necessary back support, contacts, pushings in getting the projects.

Giving all necessary support by providing Local Manpower supply to CMJ if required.
Giving all supports etc. in getting, Camp / Accommodation / Catering etc. on rent basis as and
when required.

One Coordination Executive in India to deal with THAILAND setup to sit in Kolkata office who will work
as per Instruction of THAILAND Set Up for Manpower Medical, Immigration, Flight Details, Sending of
Material, and Machinery whatever requested.
CMJ SERVICES PVT. LTD. Overseas & Second Partners Specialized in REFRACTORY ,INSULATION, ACID
PROOF , GUNNITING , MECHANICAL FABRICATION & ERECTION, etc, and allied activities shall provide/
arrange the following services:
Giving all Companies Technical & Commercial Profile, Soft Copy of Contracts / Work Orders of all
previous Jobs executed in India & Abroad.
Allowing Local Setup to utilize CMJ Company profile & Expertise in THAILAND, MYANMAR &
VIETNAM Market, pertaining to Refractory Lining, Industrial Insulation & Allied Services work.
Giving all necessary support in Organizing Experienced Capable Staff, Direct workers for field of
Refractory Lining, Insulation, Acid Proof Gunning, Mechanical Fabrication & Erection and
Controlling Manpower identified by them.
Giving proper guidance in management, estimation & execution of Refractory Lining, Industrial
Insulation Acid Proof Gunning, Mechanical Fabrication & Erection Works in THAILAND,
MYANMAR etc.
Execution of Project in most economical way, as per client requirement with skilled manpower
with best of quality work and time frame given.
CMJ will guarantee the quality of material supplied and workmanship of each project carried
out by their workers.
Providing all necessary Work Procedure, Method statement, Quality Plan, etc. for carrying out,
Refractory Lining, Industrial Insulation, Acid Proof Gunning, Mechanical Fabrication & Erection
work to different Clients at THAILAND, MYANMAR etc..
CMJ will charge as actual for any outsourcing done from India for any Equipment Machineries
for Job by keeping transparency & service charge will be incorporated.
CMJ will supply all materials related to any job, if it is not available in the local market.
Provide all supporting documents for CMJ personnel as and when necessary for visa quota
approval, getting visa and issuance of legal work permit, in following labour laws and in case of
any contractual issues arise in Thailand, Myanmar & Vietnam
CMJ shall provide the office and all secretarial & support services free of charge to the FIC
Coordinating Executive
Procedure of Operation by CMJ and FIC:
Direct/Indirect order secured by CMJ, if any
o Project Order will be issued in favor of CMJ SERVICES PVT. LTD. directly / indirectly
from end Client or through FIC and CMJ will take all necessary precaution & follow-up
with FIC from India & Thailand time to time with the mutual understating partnership
by the both Companies Directors..
Order secured by FIC SYSTEMS & SERVICES LTD. ( Project), if any :
o FIC will forward its Inquiry to CMJ & CMJ will quote FIC directly. In that case CMJ Group
will take all responsibility as per Quotation & FIC will issue a Purchase/Work Order to
CMJ, with responsibility of payment back to back as per payment terms agreed with end
Client.

2.3.Confidentiality:
FIC and CMJ shall observe confidentiality and undertake not to divulge any proprietary or privileged
information during the course of their mutual co-operation, to any third parties without the prior consent
of the other Party.
2.4.Territory:
The Operation of the Consortium Company for Refractory Lining, Insulation application, Acid Proof
Lining, Gunniting, Mechanical Fabrication & Erection. FIC & CMJ will be in THAILAND as a whole &
Myanmar, Vietnam etc.
2.5.Validity of the JV Business:
The MOU formed will be valid for 2 years from the date of signing; it shall be renewed with mutual consent
there- after.
2.6. Termination:
Unless agreed otherwise in writing between the Parties, the Agreement, upon execution, remains
operational until either of the parties decide to leave the JV on his own will, shall have to give the notice
3 months prior, any ongoing projects or commitment or obligation with any of the client shall be full filled
by both the parties.
2.7.
Changes:
This Agreement may be modified at any time if it is considered to be in the mutual interest of both parties
and is done so in writing and signed by both Parties.
2.8. Authority:
Each person signing this MOU represents and warrants his authority to sign the MOU on behalf of the
respective Party he represents and the capacity, due authority, and power of that Party to enter into this
MOU.
3. Exclusivity:
Each Party recognizes that this is an exclusive MOU and each party undertakes not to enter into or Engage
with any Third Party in the territory in the same line of business.
4. Governing Laws and Disputes:
All disputes shall be settled by arbitration in Singapore International Court under the standard
Arbitration procedures prevailing at that time.
5.Notices:
Any important notices to be given by either Party to the other shall be in English language only and sent
by registered A/D letter to the other Party at the addresses stated on page 1 of this MOU.
6.Commercial Part
A separate commercial agreement is to done against this document # MOU/CMJ-FIC/2016-2017 dated
7th June 2016, which is to be implied case to case basis.

In witness whereof, the parties hereto have executed this Agreement in duplicate originals on the dates
hereinafter indicated.
