The undersigned incorporators, all of legal age and a majority of whom are residents of the
Philippines, have this day voluntarily agreed to form a non-stock corporation under the laws of the
Republic of the Philippines.
AND WE HEREBY CERTIFY:
FIRST: That the name of the said association shall bq: _
CAUCUS OF DEVELOPMENT NGO NETWORKS, INC.
SECOND: That the purpose or purposes for which such corporation is incorporated are:
1. To convene the different development NGO Networks especially in confronting
pertinent development issues collectively.
2. To promote, advocate and work for the goals, objectives, and interests of the
development NGO community.
3. To promote the tights and welfare of the development NGO workers.
4. To provide the venue for dialogue, linkages, and cooperation among the member
networks.
5. To formulate and popularize an alternative development paradigm.
THIRD: That the principal office of the Organization is located at 69 Esteban Abada
Street, Loyola Heights, Quezon City, Philippines.
FOURTH: That the term for which the said association is to exist is fifty (50) years
from and after the date of incorporation.

EIGHTH: That Mr. Ernesto Garilao has been elected by the members as Treasurer of the
association to act as such until his/her successor is duly elected and qualified in accordance with the
by laws, and that as such Treasurer, he/she has been authorized to receive for and in the name and
for the benefit of the association, all contributions or donations paid or given by the members.
NINTH: That no part of the income which the corporation may obtain as an incident to its
operation shall be distributed as dividends to its members, trustees or officers subject to the
provisions of the Corporation, Code on dissolution and any profits obtained as a result of its
operation, whenever necessary or proper shall be used for the furtherance of the purposes
enumerated in Article II, subject to the provisions of Title XI of the Corporation Code of the
Philippines.
TENTH; That the Members of the Board of Trustees shall not receive any compensation or
fixed remuneration or honorarium in the exercise of their functions.
ELEVENTH: That in the event of dissolution, the existinq assets of Caucus of
Develo rent NGO Networks Inc. will be assed on to another accredited association or
orkanization of similar purpose or purposes, or to the State for public purpose or purposes, or

would be distributed by a competent court of justice to another accredited association to be used

in such manner as in iudzement of said court shall best accomplish the.general purpose for
which the dissolved organization was orkanized. (as amended on October 29, 2009)
TWELVETH: That the level of administrative expenses shall not exceed 30% of the total
expenses for the fiscal year. (as amended on October 29, 2009)
