The above Unaudited Standalone Financial Results for the quafter ended
3Oth June, 2016 have been
reviewed bytheAuditCommittee and approved bythe Board of Directors
in its meeting held on 11th
August, 2016. The Statutory Auditors of the Company have conducted the
limited review of the
same.

The company has only one reportable primary business segment. Hence,
no separate segment-wise
information is given.

During the yearended on 31st March, 2016,the Company allotted 1,15,65,1

27 equity shares of face
value of {10/- each for cash at a price of t 51f per equity share (including
a premium of t 41l- per
equity share) aggregating to ( 5898 21 lacs, pursuant to Letter of offer
dated 14th september, 2015.
However, dispatch of share certificate(s) in physical form and credit in
the respective demat
account(s) in respect of 27,05,553 number of additional equity shares, in
aggregate, allotted to
certain allottees under category "C" of the basis of allotment as per Letter
of OffJ hlve not yet been
completed in view of the status-quo order passed by the Hon'ble High Court
of Delhi on lgth
November, 2015.

Subsequent to the quarter ended 30th June, 2016, Birla Ericsson Optical Ltd.
ceases to be a joint
venture between the Company, Vindhya Telelinks Ltd. and Ericsson Network Technologies
AB,
Sweden, in view of the sale/transfer of entire shareholding of Ericsson Network
Technololies AB,
Sweden to certain Indian promoter and promoter group persons/entities by way
of inter-se transfer
amongst promoters in accordance with the Share Purchase Agreement dated 12th
July,2016.
