REVISED PROPOSAL FOR ARCHITECTURAL LIGHTING DESIGN SERVICES
CONSTRUCTION DOCUMENTS THROUGH THE CONSTRUCTION ADMINISTRATION PHASE

AREAS OF RESPONSIBILITY
The scope of work will encompass the Construction Documents through the Construction Administration phases
of the architectural lighting design for Hercules Sycamore Ave. Mixed Use Development project as shown in
drawings dated June 26, 2008.
The scope of work will include the lighting design and layouts of the following exterior spaces:

Building Faade at Retail


Retail signage, 3 types: banner sign, 2 blade signs
Central Plaza
East & West Podium Courtyards
Passageways through to R Alley
Decks off of third level Community Rooms

The scope of work will include the lighting design and layouts of the following interior spaces:

Tenant lighting standards for retail/restaurant windows in relation to the Building Faade
East & West Residential Lobbies, ground level through fourth level
Courtyard Lobby, ground level
Community Rooms, second level through fourth level

A single lighting design concept with associated fixtures will be established for each typical area and will be
applied to all other like areas. For example, the lighting concept and design for the courtyards will be the same.
Typical areas include the courtyards, residential lobbies, and community rooms.
The scope of work will encompass the Construction Documents phase only for the following areas:

Design and layout of one typical 2 Bedroom Residential Unit as selected by the Architect
Review of typical garage area lighting design developed by the electrical engineer
Review of typical residential corridor lighting design developed by the electrical engineer

The Architect and/or Electrical Engineer will apply the design and layout and/or review of the above areas to all
other applicable areas.
SCOPE OF WORK
Construction Documents Phase
Based upon authorization to proceed from the Architect, the Consultant will provide the Construction Documents
phase services outlined herein.

CAD Lighting Layouts: The lighting elements for the Auerbach Glasow French designed spaces to be used in
reflected ceiling plans and/or lighting plans will be developed by the Consultant using AutoCAD 2008. The
Consultants CAD drawings will not be produced as separate sheets for incorporation into the document set, but
will be AutoCAD layers to be inserted by the Architect and the Engineer into their documents. The Consultant
will provide the Architect with two issues of the lighting CAD layers, one initial issue and one subsequent issue.
CAD background drawings required by the Consultant shall be provided by the Architect. The Consultant will
not redraw or correct the Architect's backgrounds after they are delivered to the Consultant.
Review of Typical Corridor and Garage Area: During the Construction Documents Phase the Consultant will
provide one design review for the architectural lighting established by the Electrical Engineer for a typical
corridor and garage area. The Architect and the Electrical Engineer will provide the Consultant with hard copies
of their drawings, including plans, sections, elevations and reflected ceiling plans. The Electrical Engineer will
also provide light level calculations for the Garage and Corridor as part of the review. Hand mark-ups to the
drawings and/or a letter stating the Consultant's comments and recommended corrections will be provided with
the review as information for the Architect and Electrical Engineer to incorporate into their documents. The
Architect will determine when this review will occur. Redesign services are not included in the review and are
considered an additional service.
Light Level Calculations: Light level calculations will be performed as required to confirm adequate light levels
at task for the areas designed by Auerbach Glasow French. Most calculations will be performed using
computerized calculation programs, however in some circumstances, hand calculations will be performed.
Lighting Fixture Schedule: A lighting fixture schedule will identify product, manufacturer, lamp and voltage for
each fixture type for the areas designed by Auerbach Glasow French. A product cut sheet will be supplied for
each corresponding fixture type. The Consultant will name one manufacturer with corresponding ordering code
number for each fixture type; this will establish the standard of quality. An equivalent second named
manufacturer will be listed for each fixture type if appropriate, but ordering code and cut sheet will not be
provided. The Consultant will provide two issues of the fixture schedule. The issuance of the lighting fixture
schedule will be in conjunction with the issuance of the CAD lighting layouts listed above.
Energy Compliance and Green Building Practices: The Consultant will endeavor to assure that work for the
areas designed by Auerbach Glasow French under this Agreement will comply with all Federal and State energy
regulations, and specific criteria given to the Consultant for green building practices as determined by the
Architect. It will be the Electrical Engineers responsibility to insure that the lighting design for their interior areas
complies with energy regulations. The Consultant shall endeavor to design to any other unique energy
restrictions that the Consultant is made aware of prior to the commencement of this contract. Any redesign
required due to unique energy requirements or energy rebates not made known to Auerbach Glasow French
prior to commencement of contract shall be considered an additional service. Energy calculations and
documentation of energy calculations and interface with local power companies will not be within the
Consultant's scope of services.
Value Engineering: The Consultant will provide value engineering services once during the Construction
Documents phase. The intent of this work is to identify value savings to the project without compromising
project quality and should not significantly change the scope of work. Changes to the design based on the
value engineering effort will be incorporated into the Construction Documents. Significant redesign or wholesale
photometric re-calculation of areas is not included in the scope of work.
Meetings and Conferences: Meetings and conferences during the Construction Documents phase will
encompass:

10 hours of meetings in San Francisco for the areas designed by Auerbach Glasow French

2 hours of meetings in San Francisco for the interior lighting designed by the Electrical Engineer

Deliverables:

CAD drawing inputs consisting of:


a layer showing fixture locations
a layer showing fixture type labels
a layer showing annotations as needed
Lighting Fixture Schedules with product cut sheets for the Auerbach Glasow French lighting design
Review and mark-ups to the Electrical Engineers lighting design

Bidding Or Negotiation Phase


Clarification of Construction Documents: The Consultant will answer manufacturers questions regarding
equipment which was specified under the work indicated in the Construction Documents phase. Addenda will
be prepared as required to clarify the design of the areas which have been included in the final Construction
Documents. Addenda will be considered for clarification purposes only. Redesign of areas in the bidding phase
shall be considered an additional service. 8 hours has been allotted for the Bidding/Negotiation Phase
general coordination for the exterior areas designed by Auerbach Glasow French.
Construction Administration Phase
The Architect shall notify the Consultant as to the successful award of the Contract for Construction. This shall
signify the beginning of Construction Phase services.
Bulletins, Change Orders and Requests for Information (RFIs): The Consultant will provide clarification,
information and answers to questions within the Consultant's areas of responsibility to other design team
members, contractors and vendors during the construction period. This will be done through telephone
conversations, memoranda, clarification sketches and assistance in the preparation of bulletins, requests for
information and change orders to clarify the lighting design. 32 hours have been allotted for Construction
Administration bulletins, change orders and requests for information for the areas designed by Auerbach
Glasow French.
Shop Drawing and Submittal Review: The Consultant will review shop drawings and submittals as they relate to
the lighting design for the areas designed by Auerbach Glasow French. The Consultant will review one initial
complete vendor's submittal/shop drawings and one subsequent complete amended submittal/shop drawings of
all equipment under each package which is specified by the Consultant. Substitutions to the equipment
specified by the Consultant will be reviewed if the substitutions are submitted with the initial submittal.
Unqualified review time for substitutions and/or additional submittal/shop drawing reviews will be considered an
additional service. The review will assist the Architect in evaluating vendor's submittals for conformance with the
design concept and the information expressed in the Contract Documents and to determine manufacturer
acceptability.
Final Observation: Upon completion of installation of all equipment that the Consultant has designed, as well
as with all electrical systems in full working order, completion of construction of all related architectural and
mechanical elements, the Consultant will perform a final site visit observation for the areas designed by
Auerbach Glasow French. At this time, the Consultant will advise on the proper adjustment of adjustable
fixtures. The Owner or General Contractor shall be responsible for providing all ladders, lifts and any or all
special tools or equipment required for access to and adjustment of the adjustable fixtures. The Owner or
General Contractor shall be responsible for providing personnel to adjust the fixtures. Personnel shall be

familiar with adjusting fixtures and the general operation of the building electrical system. Should the Consultant
be required to adjust each individual fixture in a specialized area this work would be provided as an additional
service. This service will only be performed after written verification is given by the contractors through the
Architect that all work is appropriately complete, but prior to being turned over to the Owner. All requisite
Contractors, Sub-contractors, Architects, Interior Designers, and appropriate building staff or management
personnel should be present during the final site visit.
Final observation will be performed in order to check for conformance with the Contract Documents prior to
acceptance by the Owner. Any corrections or deviations from the specifications observed by the Consultant will
be noted in a written field observation report. Final observation shall encompass:

BASIS OF COMPENSATION
Project Schedule
Assuming commencement of work on or around August 2008 the cost of consulting services has been based on
the following estimated duration of each phase:

Should this project schedule be extended through no fault of our own, our compensation shall be equitably
adjusted. This shall include increases in compensation due to normal salary and benefit increases of our
personnel involved in the Project.
Fees
Compensation for the consulting and design service indicated in this Proposal will be on a fixed fee plus
reimbursable expenses basis. Fees for consulting and design services are listed below. Materials and
reimbursable expenses are not included in the fees.

We estimate that reimbursable expenses for the above scope of work will not exceed $3,800 for the AGF
lighting design and $300 for the review of EE areas.
We assume that work on each area of the project will proceed concurrently. Consequently time for meetings,
coordination and equipment selection is shared between all areas. If the project is phased, or if we work on
only one area of the project, fees may have to be adjusted accordingly.
SCHEDULE OF RATES, TERMS AND CONDITIONS
Consulting Rates
The following is a list of our standard schedule of hourly consulting rates for 2008. For time plus material
projects our estimated fees are based on the number of hours actually spent in connection with a project and
reimbursable expenses are in addition to our quoted fees. For fixed fee and lump sum projects, these rates
apply to additional services. Hourly rates are revised each year and will apply to the year in which the services
are provided:

Reimbursable Expenses
Reimbursable expenses associated with a project include travel and all travel related expenses, parking,
shipping, reproduction, in-house plotting of electronic files, models and mock-ups, and long distance telephone
normal to the conduct of the project. Unless stated otherwise, these are billed in addition to our consulting fees.
They are itemized separately and are billed at cost plus 10% handling charge.
Compensation For Additional Services
Services which are authorized in writing by the Architect and which are outside of the Scope of Work as detailed
in this Agreement shall be billed as an additional service on a time and materials basis. The time shall be billed
according to the rate schedule in effect at the time the services are performed.

Estimates assume that work proceeds in a straightforward manner without significant redesign, scope or
schedule changes, any of which will warrant a renegotiation of fees. Our proposed level of effort and related
fees are sensitive to changes in the project schedule. Since such changes in schedule may require additional
time and input on our part, we carefully monitor each of our projects and notify our clients of any unforeseen
changes in work scope or schedule. Such changes are our basis for negotiating additional fees.
Our fees do not include reimbursable expenses as described under Reimbursable Expenses above. If we are
not reimbursed for those expenses, it will be a basis for negotiating additional fees.
Invoices And Payments
Invoices for consulting and authorized reimbursable expenses are submitted monthly. We shall indicate the fees
billed for the period, reimbursable expenses and amount billed to date. For fixed fee projects we invoice on the
basis of the percent of work completed. All invoices are due within 30 days of date of invoice. An interest
charge of the prevailing prime rate plus 2% will be incurred on all overdue balances.
Fee Proposal Estimates
Estimates and fees described in proposals reflect anticipated increases in consulting rates resulting from
expected increases in salaries and inflation, and are tied to the project schedule, unless otherwise stated.
Estimates and fees described in proposals are valid for a period of one month (thirty days). If, after thirty days
this proposal has not been accepted, these cost figures may be reviewed and revised.
Mediation
In an effort to resolve any conflicts that arise during the design or construction of the project or following the
completion of the project, the Client agrees that all disputes arising out of or relating to this Agreement shall be
submitted to non-binding mediation in the State of California unless the parties mutually agree otherwise.
Arbitration
If mediation fails, all claims, disputes or other matters between the parties to this Agreement arising out of this
Agreement shall be subject to binding arbitration in the State of California under the construction Industry
Arbitration Rules of the American Arbitration Association unless mutually agreed to otherwise. No arbitration,
arising out of or relating to this agreement, shall include, by consolidation, joinder or in any other manner, any
additional person not a party to this Agreement except by mutual consent. The prevailing party in any such
arbitration shall be entitled to all costs including, but not limited to, reasonable attorney's fees.
Termination
Our contract may be terminated by either party upon receipt of written notice at least five days prior to the
effective date of termination. All consulting fees and direct expenses accrued on a project as of the effective
terminated date will be billed.

Press releases, articles, professional publications and the like where the Architect is named shall credit Auerbach
Glasow French as Lighting Designer.
Use Of Consultant's Documents
All documents prepared by the Consultant with regards to this Project shall be construed as instruments of the
Consultant's services for use with sole respect to this Project. The Consultant shall remain the owner of these
documents and shall retain all rights thereto. Any reuse of these documents without specific written authorization
and adaptation by Auerbach Glasow French will entitle us to further compensation and may subject the
unauthorized user to legal action.
Standard Of Care
In providing services under this Agreement, the Consultant will endeavor to perform in a manner consistent with
that degree of care and skill ordinarily exercised by members of the same profession currently practicing under
similar circumstances.
