AFFIDAVIT OF NON-OPERATION OF A CORPORATION
I, CEFERINA J. MORALA of legal age, single, and a resident of Davao
City, Philippines, after having duly sworn to in accordance with law hereby
depose and state that:
1.

I am the Corporate Secretary of ALAY SA FIL-MISSION

FOUNDATION, INC., a corporation duly organized and existing
under the laws of the Philippines with principal office at Rm. 201Pius Catholic Center, UN Avenue, Paco, Manila;

2.

ALAY SA FIL-MISSION FOUNDATION, INC. was incorporated

on June 21, 1995 but has not yet commenced its operation until
the present date.

3.

the members and trustees of the corporation are contemplating

on reviving its operation in the near future when the opportune
time comes;

4.

this affidavit is being executed in order to attest to the truth of

the foregoing circumstances and for the purpose of complying
with the reportorial requirements of the Securities and Exchange
Commission.
