TERMS OF SERVICE AGREEMENT

1.
Definitions
In this Agreement the following terms will have the following meanings:
(a) Agreement means the following terms of this Terms of Service Agreement including
the Invoice and the Schedules attached;
(b) ELSA BOSNIA & HERZEGOVINA means the European Law Students Association BOSNIA & HERZEGOVINA;
(c) ELSA Portugal means the European Law Students Association - Portugal;
(d) ELSA means the European Law Students Association;
(e) Exemption of Liability Form means the form contained in Schedule B;
(f) Hospitality Services means the list of services indicated in the Schedule A which are
selected by ELSA BOSNIA & HERZEGOVINA in its application and as indicated in the invoice supplied by
ELSA Portugal to ELSA BOSNIA & HERZEGOVINA;
(g) International Council Meeting has the meaning attributed to it in ELSAs Statutes and
Standing Orders and includes the days preceding and following the International Council Meeting for
which ELSA Portugal is offering Hospitality Services, namely the 16th to the 23rd of October 2016.
(h) Invoice means the letter supplied to ELSA BOSNIA & HERZEGOVINA by the
Treasurer of ICM Porto which indicates the total amount due by ELSA BOSNIA & HERZEGOVINA and the
instructions for payment; and
(i) Security Deposit means an amount of fifty euro (50) paid by each member of ELSA
BOSNIA & HERZEGOVINAs delegation.
(j) Treasurer of ICM Porto means the person so appointed to act as treasure of the
event International Council Meeting Porto 2016, by the Head of the Organizing Committee of this
event, and in accordance with ELSA Portugals regulations.

2.
Parties to the Agreement
This Agreement is entered into between ELSA Portugal and ELSA BOSNIA & HERZEGOVINA whose members of
delegation will be attending ELSAs 70th International Council Meeting in Porto.
Individual members of the delegation of ELSA BOSNIA & HERZEGOVINA are not a party to this Agreement. ELSA
BOSNIA & HERZEGOVINA will be responsible to fulfil any obligations under this Agreement and will be held
responsible for any liabilities incurred by any member of its delegation while attending ELSAs 70 th International
Council Meeting in Porto.
3.
No Stipulation For The Benefit Of A Third Party
No term in this Agreement is a stipulation for the benefit of a third party which is not a party to this Agreement
in terms of Article.
ELSA BOSNIA & HERZEGOVINA must pay to ELSA Portugal the total amount indicated on the invoice by the
payment deadline stipulated therein or as agreed with the Treasurer of ICM Porto.
4.
Hospitality Services
ELSA Portugal will provide ELSA Portugal Hospitality Services as consideration for the payment made on the
Invoice as per Term 4.
5.

Indemnity

ELSA BOSNIA & HERZEGOVINA will hold ELSA Portugal indemnified and harmless against any losses which ELSA
Portugal incurs as a result of the unjust behaviour of ELSA BOSNIA & HERZEGOVINA or any of its members of
delegation.
6.

Warranties & Representations

ELSA BOSNIA & HERZEGOVINA warrants and represents to ELSA Portugal that all members of its delegation will
sign the Exemption of Liability Form and submit it during registration upon arrival at the International Council
Meeting.
ELSA BOSNIA & HERZEGOVINA warrants and represents to ELSA Portugal that all members of its delegation will
pay the Security Deposit to Treasurer of ICM Porto during registration upon arrival at the International Council
Meeting.
7.

Consumer Provisions

ELSA Portugal and ELSA BOSNIA & HERZEGOVINA acknowledge that the provisions regarded as consumers
rights, in particular relating to unfair contract terms and distance contracts, will not apply to this Agreement
since ELSA Portugal does not exercise an economic activity with professional character that aims to obtain
economic benefits.
8.

Applicable Law

Any dispute, controversy or claim arising out of or relating to this agreement, or the breach, termination or
invalidity thereof, shall be regulated by Portuguese law.

Gala Reception
Airport Transfer (Single)
Airport Transfer (Return)

SCHEDULE B
EXEMPTION OF LIABILITY FORM
Today, the ___ of October 2016 the European Law Students Association
Portugal (ELSA Portugal) and You, hereby agree to the following terms:
1.1.ELSA Portugal and the members of its National Board or of its
ICM Organising Committee will not be responsible for any damage or
loss you may suffer or incur for the duration of ELSAs 70 th
International Council Meeting, unless due to a wilful act or gross
negligence;
1.2.You will hold harmless and indemnify ELSA Portugal for any
losses incurred by it, if the loss is caused, whether directly or
indirectly, by you, whether alone or in concert with third parties.
