MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement is hereby made and entered into this ____day of

October 2016 at Cebu City by and between Ms. Amelita Matsumoto,
married/single,
Filipino/Japanese,
presently
residing
at
___________________________________________________________________,
hereinafter referred to as FIRST PARTY;
-AndMr. Felix Canasa, Filipino, single, presently residing at Pardo, Cebu City,
hereinafter referred to as SECOND PARTY;
WITNESSETH THAT
WHEREAS, the FIRST PARTY is the owner of the 2 storey house
and lot property located at Andres Abellana Extention, Guadalupe, Cebu City;
WHEREAS, the FIRST PARTY appoints the SECOND PARTY as the
Broker of the aforementioned property;
WHEREAS, the SECOND PARTY has a buyer for the aformentioned
property;
NOW, THEREFORE, for and in consideration of the foregoing
premises, which are essential and integral part of this agreement, the mutual
covenants, conditions and premises set forth hereinafter below, the parties
have agreed as follows:
THAT the FIRST PARTY agrees to sell the aforementioned property at

THAT the FIRST PARTY agrees that the SECOND PARTY is allowed to
sell the aforementioned property higher than the above-stated price;

THAT the FIRST PARTY agrees that any amount or monies in excess
of the above stated price of the aforementioned property shall be given to
the SECOND PARTY on top of SECOND PARTY s commission;
Any dispute, controversy, claim arising under and default of payments
by the FIRST PARTY, out of or relating to this AGREEMENT and any
subsequent amendments to this, including without limitation, its formation,
validity, binding effect, interpretation, performance, breach or termination,
as well as non-contractual claims shall be filed solely and exclusively in the
appropriate courts having jurisdiction over such within Cebu City, with the
exclusion of all other courts.
THEREFORE, the conditions set forth herein shall faithfully complied
by the PARTIES as this Agreement is based on mutual faith.
