relatedwebsites,software,mobileapps,andotherservicesthatweprovide(together,theService)with

2.Eligibility

TheServiceisdesignedforusebypeoplewhoareatleast13yearsold.Ifyouarenotyet13,thenyou
cantusetheService.Ifyouare13orolder,youpromisetousthatyouhaveneverbeensuspendedfrom
theService,andpromisethatyouruseoftheServicewontbreakanylawsorregulations.Ifyouare
usingtheServiceonbehalfofacompany,organization,orotherkindofentity,yourepresenttousthat
youhaveauthoritytobindtheorganizationtotheseTermsonitsbehalf.
3.AccountsandRegistration

WhenyousignupfortheService,youhavetoregisteranaccount.Weaskthatyougiveussome
informationaboutyourselfaspartoftheregistrationprocess,someofwhichisrequiredinorderto
registertheaccount.Youpromisethatalltheinformationyouprovideisaccurateandthatyouwillkeep
itaccurateanduptodateinthefuture.Wealsoaskyoutoprovideapasswordtoprotectthesecurityof
youraccount.Itgoeswithoutsaying,butyouareresponsibleforkeepingyourpasswordsafeand
confidential.Anyactivitythathappensunderyouraccountwillbeyourresponsibility.Ifeveryouthink

4.LimitedLicense

ConditionedonyourcontinuedcompliancewiththeseTerms,wegrantyou(a)alimited,nonexclusive,
nontransferable,nonsublicensable,revocablelicensetouseonecopyoftheAppdownloadedfroma
legitimatemarketplace,inobjectcodeformat,onlyforyourpersonalandlawfulpurposes,and(b)
permissiontoaccesstheServiceonlyforyourpersonaluse.
5.UserContent

YOUOWNALLOFYOURUSERCONTENT.
1.GenerallySpeaking.TheServiceletsyouupload,post,andpublishwrittentext,images,weblinks,
locationinformation,andothercontent(UserContent).AnyUserContentthatyoumake
availableontheServicewillbelongtoyouoryourlicensors.Wewillnotclaimanyownershipin
yourUserContentitiscompletely,100%,yours.
2.LimitedLicensetoUs.Yougrantusaworldwide,nonexclusive,royaltyfreelicense(withthe
righttosublicense)tohost,store,transfer,display,perform,reproduce,modify,anddistributeyour
UserContent(inwholeorinpart)inanymediaformatsandthroughanymediachannels(now
knownorhereafterdeveloped).YouunderstandthatwewillnotpayyouforanyuseofyourUser
ContentbutwewillgiveyouattributionifweuseyourUserContentoutsideoftheService.
3.LimitedLicensetoOthers.YoualsograntotherusersoftheServiceanonexclusivelicenseto
accessanduseyourUserContentinordertofullyenjoythebenefitsandfunctionalitiesofthe
Service(suchasrepostingyouramazinglybrilliantliststoFacebookandTwitter).
4.RepresentationsandWarranties.YouaresolelyresponsibleforyourUserContentandany
consequencesthatoccurbecauseyouveuploaded,posted,orpublishedtheUserContentonthe
Service.Eachtimeyouupload,post,orpublishUserContent,yourepresentandwarranttousthat:
1.YouarethecreatorandowneroftheUserContentorhaveallnecessaryrightsfromother
peopleorcompaniestouse,andauthorizeotheruserstouse,yourUserContentonthe

anemailaddressassociatedwithyouraccountontheService,orinsomeotherway,andwewillletyou
knowwhenthenewversionoftheseTermswillgointoeffect.Wemayalsorequireyoutoagreetothe
newlyTermsbysignalingyourconsent.Ifweaskyoutosignalyourconsent,thechangeswillonly

12.OwnershipoftheService

ListApp,Inc.ownsandoperatestheService.Allofthesoftware,visualinterfaces,graphics,designs,
information,andallotherelementsoftheService(theMaterials)thatweprovideareprotectedby
intellectualpropertyandotherlaws.WeorourlicensorsownalloftheMaterialscontainedintheService
andyoucannotusetheMaterialsexceptasyouarespecificallypermittedundertheseTerms.
13.Indemnity

YouareresponsibleforyouruseoftheService.Youagreetodefendandindemnifyus,includingour
directors,officers,employees,consultants,affiliates,andagents(together,theListAppEntities),from
andagainstanyandallclaims,liabilities,damages,losses,andexpenses(includingreasonableattorneys
feesandcosts)arisingoutoforinanywayconnectedwith(i)youraccesstooruseoftheService(ii)
yourviolationoftheseTermsoranylaworregulation(iii)yourviolationofanyonesrights,including
intellectualpropertyrightsor(iv)anydisputesbetweenyouandathirdparty.Ifyoudohavetodefend
us,wewillhavetherighttoassumeexclusivecontrolofthematter(withoutlimitingyour

16.GoverningLaw

OuragreementundertheseTermsisgovernedbythelawsofCalifornia,withoutregardtoitsconflictof
lawsprinciples.IfalawsuitispermittedundertheseTerms,youandweagreetotheexclusive
jurisdictionofthestateandfederalcourtslocatedinLosAngelesCounty,California.
17.General

TheseTerms,alongwiththePrivacyPolicyandtheotherpoliciesthatareincorporatedintotheseTerms,
aretheentireagreementbetweenyouandusregardingyouruseoftheService.Exceptforourrightto
updatetheseTermsunderSection11above,theseTermscanonlybeamendedbyawrittenagreement
signedbybothyouandus.YouarenotallowedtoassignortransfertheseTerms,ortransferyouraccount
ontheService,toanyotherpersonorcompanywithoutourconsent,includinganytransferthatyouwant
tomakeinconnectionwithacorporateacquisition.WemayassigntheseTermswithorwithoutnoticeto
you.Anydelayorfailuretoenforceanyrightsunder,orrequireyourcompliancewith,theseTermswill
notaffectourrighttoenforcetherightsorrequireyourcomplianceatalatertime.Ifwewaiveany
breachbyyouoftheseTerms,wewillnotbewaivinganysubsequentbreachoryourobligationto
complywithanytermsthatyoubreached.Weveincludedparagraphandsectionheadingsforeaseof
reference,buttheseheadingsdonotaffecttheinterpretationoftheseTerms.Intheunlikelyeventthatany

partoftheseTermsisdeterminedbyajudgeorarbitratortobeunenforceable,theunenforceablepartwill
begiveneffectasmuchaspossibleandtheremainingpartswillremaininfullforceandeffect.When
theseTermsareterminated,anyprovisionthatbyitsnatureshouldsurvive(orthatspecificallystatesthat
itwillsurvive)willsurvivethetermination,includingthefollowing:Sections2,5,and7through21.
18.DisputeResolutionandArbitration

1.Generally.Intheinterestinresolvingdisputesbetweenyouandusinthemostefficientandcost
effectiveway,youandListApp,Inc.agreetoresolveanyandalldisputesarisinginconnection
withtheseTermsoryouruseoftheServicebybindingarbitration.Arbitrationislessformalthana
lawsuitincourt.Itusesaneutralarbitratorinsteadofajudgeorjury,mayallowforlimited
discovery(i.e.,pretrialfactfinding)thanincourt,andusuallyisnotappealableincourt.
Arbitratorscanawardthesamedamagesandreliefthatacourtcanaward.Ouragreementto
arbitrateclaimsarisingoutoforrelatingtoanyaspectoftheseTerms,includesallclaims,whether
basedincontract,tort,statute,fraud,misrepresentation,oranyotherlegaltheory,andregardlessof
whethertheclaimsariseduringoraftertheterminationoftheseTerms.YOUUNDERSTAND
ANDAGREETHAT,BYENTERINGINTOTHESETERMS,YOUANDLISTAPPARE
EACHWAIVINGTHERIGHTTOATRIALBYJURYORTOPARTICIPATEINACLASS
ACTIONLAWSUIT.
2.Exceptions.NotwithstandingSection18.a,webothagreethatnothingintheseTermswaivesor
limitseitherofourrightto(i)bringanindividualactioninsmallclaimscourt,(ii)pursue
enforcementactionsthroughfederal,state,orlocalagencies,(iii)seekinjunctiverelieforother
provisionalreliefinaidarbitrationfromacourtoflaw,or(iv)tofilealawsuitinacourtoflawto
addressintellectualpropertyclaims.
3.Arbitrator.AnyarbitrationbetweenuswillbeheldundertheCommercialDisputeResolution
ProceduresandtheSupplementaryProceduresforConsumerRelatedDisputes(collectively,AAA
Rules)oftheAmericanArbitrationAssociation(AAA),asmodifiedbytheseTerms,andwill
beadministeredbytheAAA.IfyouwouldlikeacopyoftheAAARules,theyareavailableonline
atwww.adr.org,bycallingtheAAAat18007787879,orbycontactingus.
4.NoticeandProcess.Ifoneofusintendstoseekanarbitration,thentheymustfirstsendawritten
noticeofthedisputetotheotherparty,bycertifiedmailorFederalExpress(signaturerequired),or,
ifwedonthaveaphysicaladdressonfileforyou,byemail(Notice).OuraddressforNoticeis:
ListApp,Inc.,608HamptonDr.,Venice,CA90290.AnyNoticemust(a)describethenatureand
basisoftheclaimordispute,and(b)describethespecificreliefrequested(Demand).Youand
weagreetousegoodfaitheffortstoresolveanyclaimdirectly,butifwedontreacharesolution
within30daysaftertheNoticeisreceived,youorListAppmaystartarbitrationproceedings.
Duringthearbitrationproceeding,theamountofanysettlementoffersbyyouoruswillnotbe
disclosedtothearbitratoruntilafterthearbitratormakesafinaldecisionandaward(ifany).Ifour
disputeisresolvedthrougharbitrationinyourfavor,wewillpayyouthegreaterof:(i)theamount
awardedbythearbitrator(ifany),(ii)thelastwrittensettlementofferedbyustosettlethedispute
priortothearbitratorsaward,and(iii)$1,000.
5.Fees.IfyoucommencearbitrationundertheseTerms,wewillreimburseyouforyourpaymentof
thefilingfeeifyourclaimisfor$10,000orless.Otherwise,thepaymentoffilingfeeswillbe
decidedbytheAAARules.Ifyourclaimisfor$10,000orless,youcanchoosewhetherthe
arbitrationisconducted(i)solelyonthebasisofdocumentssubmittedtothearbitrator,(ii)via
telephone,withnoinpersonhearings,or(iii)byaninpersonhearingasestablishedbytheAAA
Rulesinthecounty(orparish)ofyourbillingaddress.Ifyourclaimisformorethan$10,000,the

Demandisfrivolousorbroughtforanimproperpurpose(asmeasuredbythestandardsinFederal

RuleofCivilProcedure11(b)),thenthepaymentofallfeeswillbegovernedbytheAAARules
andyouagreetoreimburseusforanyamountswepreviouslypaidbutforwhichyouareobligated
topayundertheAAARules.Thearbitratorwillissueareasonedwrittendecisionsufficientto
explaintheessentialfindingsandconclusionsonwhichthedecisionandaward(ifany)arebased.
Thearbitratormaymakerulingsandresolvedisputesregardingthepaymentoffeesorexpensesat

APLAINTIFFORCLASSMEMBERINANYPURPORTEDCLASSORREPRESENTATIVE
PROCEEDING.Unlessyouandweagreeotherwise,thearbitratorcannotconsolidatemorethan
onepersonsclaimsandmaynotpresideoveranyformofrepresentativeorclassproceeding.
7.Modifications.Ifwemakeanyfuturechangestothisarbitrationagreement(otherthanachangeto
ouraddressforNotice),youcanrejectthechangesbysendinguswrittennotice(toouraddressfor
Notice)within30daysofthechange.Ifyoudoso,youraccountontheServicewillimmediately
terminateandthisarbitrationagreement,asineffectimmediatelypriortotheamendmentsyou
rejected,willsurvivetermination.
8.Enforceability.IfSection18.fisfoundtobeunenforceable,oriftheentiretyofthearbitration
agreementinthisSection18isfoundtobeunenforceable,thenthisSection18willbenulland
voidand,ifthishappens,youandweagreetosubmitanydisputesarisinginconnectionwiththese
TermsoryouruseoftheServiceintheexclusivejurisdictiondescribedinSection16.

YouconsenttoreceiveelectroniccommunicationsfromusasdescribedinourPrivacyPolicy.Please

maintenanceorsupportservicesregardingtheService.IftheServicefailstoconformtoanyapplicable
warranty,thenyoumaynotifyAppleandApplewillrefundtoyouanyapplicablepurchasepriceforthe
App(tothemaximumextentpermittedbylaw).Appleisnotresponsibleforaddressinganyclaimsby
youoranythirdpartyrelatingtotheServiceoryourpossessionoftheApporuseoftheService,
