SOFTWAREFREEDOMCONSERVANCY

FISCALSPONSORSHIPAGREEMENT
This Agreement is made by and between The Software Freedom Conservancy
(Conservancy) andBemanG.Dawes(theRepresentative)onbehalfoftheproject
knownasBoost(theProject).TheConservancyisaNewYorknonprofitpublicbenefit
corporation located in New York, New York, which has received recognition of
exemptionfromfederalincometaxunderSection501(c)(3)oftheInternalRevenueCode
(IRC) and classification as a public charity under IRC Sections 509(a)(1) and
170(b)(1)(A)(vi).
WHEREAS:
A. ThepurposeoftheProjectistoproduceanddistributesoftwarethatcanbefreely
copied,modifiedandredistributedbythegeneralpublic(FreeSoftware).
B.TheConservancydesirestoactasthefiscalsponsoroftheProjectbeginningonthe
Effective Date (as defined below) to assist the Project in accomplishing its purpose,
whichtheConservancyhasdeterminedwillfurthertheConservancy'scharitablegoals.
TheProjectdesirestomanageitselfunderthesponsorshipoftheConservancy.
C. TheConservancy'sBoardofDirectorshasapprovedtheestablishmentofafundto
receivedonationsofcashandotherpropertyearmarkedforsupportoftheProjectandto
make disbursements in furtherance of the Projects mission (the Project Fund).

NOW,THEREFORE,THEPARTIESHEREBYAGREEASFOLLOWS:
1. TermofAgreement. AsoftheEffectiveDate,theProjectjoinstheConservancy,
whichrelationshipwillcontinueunlessanduntilterminatedassetforthbelow.
2. ProjectManagementandActivities.
a. TheProjectWillBeFreeSoftware.TheConservancyandtheProjectagreethat
anysoftwaredistributedbytheProjectwillbedistributedsolelyasFreeSoftware.
b. TheCommitteeWillManagetheProject.Authoritytomanagethetechnicaland

artisticdirectionoftheProjectandtheprogramactivitiesoftheProjectisdelegated
totheCommittee(asdefinedinParagraph4herein),subjectatalltimestothe
directionandcontroloftheConservancy'sBoardofDirectors. TheConservancy
will only intervene in the program activities to the extent the Project is not in
compliancewithParagraph2(a)orParagraph5ofthisAgreement.
c. UltimateResponsibilityofProject.SubjecttoSection2(b)ofthisAgreement,all
communityprograms,publicinformationwork,fundraisingevents,processingand
acknowledgment of cash and noncash revenue items, accounts payable and
receivable, negotiation of leases and contracts, disbursement of Project funds
(includinggrants),andotheractivitiesplannedbytheProjectshallbetheultimate
responsibility of the Conservancy and shall be conducted in the name of the
Conservancy,beginningontheEffectiveDate.
d. ProjectNotAnAgentOfConservancy.TheProjectdoesnotandshallnotactas
an agent for the Conservancy unless specifically authorized in writing by the
Conservancytodosoorasotherwiseasspecifiedinthisagreement.
3. NoFees.TheConservancywillcollectnofeesfromtheProject.
4. ProjectFund/VariancePower. BeginningontheEffectiveDate,theConservancy
shall place all gifts, grants, contributions and other revenues received by the
ConservancyandidentifiedwiththeProjectintoaProjectFundtobeusedforthesole
benefitoftheProject'smissionasthatmissionmaybedefinedbytheCommitteefrom
time to time with the approval of the Conservancy. The Conservancy retains the
unilateralrighttospendsuchfundssoastoaccomplishthepurposesoftheProjectas
nearly as possible within the Conservancy's sole judgment, subject to any donor
imposed restrictions, as to purpose, on the charitable use of such assets. The
ConservancyexpectstomakesuchexpendituresatthedirectionoftheProjectinthe
ordinarycourseoftheProject'soperations.Thepartiesagreethatallmoney,andthe
fairmarketvalueofallproperty,depositedintheProjectFundbereportedasthe
income of the Conservancy, for both tax purposes and for purposes of the
Conservancy'sfinancialstatements.ItistheintentofthepartiesthatthisAgreement
beinterpretedtoprovidetheConservancywithvariancepowersnecessarytoenable
theConservancytotreattheProjectFundastheConservancysassetinaccordance
with Financial Accounting Statement No. 136 issued by the Financial Accounting
StandardsBoard,whilethisAgreementisineffect.
5. Project Fund Management / Performance of Charitable Purposes. All of the
assetsreceivedbytheConservancyunderthetermsofthisAgreementshallbedevoted
tothepurposesoftheProject,withinthetaxexemptpurposesoftheConservancy.

TheProjectagreesnottouseitsfundsoroperateinanywaywhichwouldjeopardize
thetaxexemptstatusoftheConservancy.Noitemofrevenueshallbeearmarkedfor
use in any attempt to influence legislation within the meaning of IRC Section
501(c)(3)andnoagreement,oralorwritten,tothateffectshallbemadebetweenthe
Conservancyandanyrevenuesource.TheConservancyshallnotuseanyportionof
the assets to participate or intervene in any political campaign on behalf or in
oppositiontoanycandidateforpublicoffice,toinduceorencourageviolationsoflaw
orpublicpolicy,tocauseanyprivateinurementorimproperprivatebenefittooccur,
nortotakeanyotheractioninconsistentwithIRCSection501(c)(3).
6. RepresentationoftheProjectintheConservancy.TheProjectwillbemanagedbya
Committee of moderators (the "Committee"), The Committee will elect a single
individual to communicate with the Conservancy (the "Representative") and shall
notifytheConservancypromptlyfollowingtheelectionofanewRepresentative.The
RepresentativewillhavetheauthoritytoinstructtheConservancyontheProject's
behalfonallmatters.
7. Termination. TheCommitteeortheConservancymayterminatethisAgreementat
anytimesubjecttothefollowingunderstandings:
a. Noticeand SuccessorSearch. EithertheConservancyor theCommitteemay
terminatethisAgreementon60days'writtennoticetotheotherparty,solongasa
Successorcanbefoundthatmeetsthefollowingrequirements:
i. theSuccessorisanothernonprofitcorporationwhichistaxexemptunderIRC
Section501(c)(3),
ii. theSuccessorisnotclassifiedasaprivatefoundationunderSection509(a),
iii.theSuccessoriswillingandabletosponsortheProject,and
iv. theSuccessorisapprovedinwritingbybothpartiesbytheendofthe60day
period,suchapprovalnottobeunreasonablywithheld.
b. AdditionalSearchPeriods.IfthepartiescannotagreeonaSuccessortosponsor
theProject,theCommitteeshallhaveanadditional60daystofindaSuccessor
willingandabletosponsortheProject.Uponwrittenagreementoftheparties,the
CommitteeshallhavefurtheradditionalperiodsinwhichtofindaSuccessor.Such
periodswillbeofadurationagreedtobytheparties.
c. TransfertoaSuccessor. If aSuccessorisfound,thebalanceofassetsinthe
Project Fund, together with any other assets held or liabilities incurred by the
ConservancyinconnectionwiththeProject,shallbetransferredtotheSuccessorby
theendofthenoticeperiodoranyextensionthereof,subjecttotheapprovalofany
thirdpartiesthatmayberequired.IftheProjecthasformedaneworganization

qualifiedasaSuccessorassetforthinthisSection,suchorganizationshall be
eligibletoreceiveallsuchassetsandliabilitiessolongassuchorganizationhas
receivedadeterminationletterfromtheInternalRevenueService,indicatingthat
suchqualificationshavebeenmet,nolaterthantheendofthenoticeperiodorany
extensionthereof.
d. TerminationWithoutaSuccessor. IfnoSuccessorisfound,theConservancy
may dispose of the Project assets and liabilities in any manner consistent with
applicabletaxandcharitabletrustlaws.
8. Miscellaneous.EachprovisionofthisAgreementshallbeseparatelyenforceable,and
theinvalidityofoneprovisionshallnotaffectthevalidityorenforceabilityofany
otherprovision.ThisAgreementshallbeinterpretedandconstruedinaccordancewith
thelawsoftheStateofNewYork.ThisAgreementconstitutestheonlyagreement,and
supersedesallprioragreementsandunderstandings,bothwrittenandoral,amongthe
partieswithrespecttothesubjectmatterhereof.ThisAgreementmaynotbeamended
ormodified,exceptinwritingandsignedbyallpartiestothisAgreement.
9. Counterparts / Facsimile. This Agreement may be executed in two or more
counterparts, each of which shall constitute an original, but all of which, when
together,shallconstitutebutoneandthesameinstrument,andshallbecomeeffective
whenoneormorecounterpartshavebeensignedbyeachpartyheretoanddeliveredto
theotherparty.Inlieuoftheoriginal,afacsimiletransmissionorcopyoftheoriginal
shallbeaseffectiveandenforceableastheoriginal.
INWITNESSWHEREOF,thepartieshaveexecutedthisFiscalSponsorshipAgreement
