IndependentContractorAgreement

This Independent Contractor Agreement (Agreement) is made and entered into by the
undersignedparties:NAME(knownastheCompany)andNAME(knownastheContractor).
Inconsiderationofthepromises,rightsandobligationssetforthbelow,thepartiesherebyagree
asfollows:
1.
Term
ThetermofthisAgreementshallbeginonDATE andcontinueuntil DATE,unlessterminated
earlierassetforthinthisAgreement.ThetermofthisAgreementmaybeextendedbymutual
agreementbetweentheparties.
2.
Services
TheContractorwillprovidethefollowingservices:
InsertdescriptionofServices
The Contractor shall take direction from [Report] or as directed by Companys Board of
Directors.Additionalservicesoramendmentstotheservicesdescribedabovemaybeagreed
uponbetweentheparties.
3.
Compensation
Subjecttoprovidingtheservicesasoutlinedabove,theContractorwillbepaidthesumof$ XX
perday/week/month/uponcompletionoftheservices,plusGST.TheCompanywillbeinvoiced
weekly/biweekly/monthly/uponcompletionoftheservices,withpaymentduewithinXXbusiness
daysofreceiptoftheinvoice.
4.
Relationship
The Contractor will provide the Contractors services to the Company as an independent
contractorandnotasanemployee.
Accordingly:
TheContractoragreesthattheCompanyshallhavenoliabilityorresponsibilityforthe
withholding,collectionor payment ofanytaxes,employment insurance premiumsor
Canada Pension Plan contributions on any amounts paid by the Company to the
Contractor or amounts paid by the Contractor to its employees or contractors. The
ContractoralsoagreestoindemnifytheCompanyfromanyandallclaimsinrespectto
the Companys failure to withhold and/or remit any taxes, employment insurance
premiumsorCanadaPensionPlancontributions.

The Contractor agrees that as an independent contractor, the Contractor will not be
qualifiedtoparticipateinortoreceiveanyemployeebenefitsthattheCompanymay
extendtoitsemployees.

TheContractorisfreetoprovideservicestootherclients,solongassuchotherclients
arenotincompetitionwiththeCompanyandsolongasthereisnointerferencewiththe
ContractorscontractualobligationstotheCompany.

The Contractor has no authority to and will not exercise or hold itself
out as having any authority to enter into or conclude any contract or to
undertake any commitment or obligation for, in the name of or on
behalf of the Company.

5.
ConfidentialityandIntellectualProperty
TheContractorherebyacknowledgesthatithasreadandagreestobeboundbythetermsand
conditions of the Companys confidentiality and proprietary information agreement attached
heretoasScheduleAandwhichformsanintegralpartofthisAgreement.IftheContractor
retains any employees or contractors of its own who will perform services hereunder, the
Contractor shall ensure that such employees or contractors execute an agreement no less
protectiveoftheCompanysintellectualpropertyandconfidentialinformationthantheattached
agreement.
TheContractorherebyrepresentsandwarrantstotheCompanythatitisnotpartytoanywritten
ororalagreementwithanythirdpartythatwouldrestrictitsabilitytoenterintothisAgreement
or theConfidentiality andProprietaryInformation Agreement or to perform the Contractors
obligationshereunderandthattheContractorwillnot,byprovidingservicestotheCompany,
breachanynondisclosure,proprietaryrights,noncompetition,nonsolicitationorothercovenant
infavorofanythirdparty.
The Contractor hereby agrees that, during the term of this Agreement and for one (1) year
followingtheterminationhereof,theContractorwillnot(i)recruit,attempttorecruitordirectly
orindirectlyparticipateintherecruitmentofanyCompanyemployeeor(ii)directlyorindirectly
solicit,attempttosolicit,canvassorinterferewithanycustomerorsupplieroftheCompanyina
mannerthatconflictswithorinterferesinthebusinessoftheCompanyasconductedwithsuch
customerorsupplier.
6.
Termination
The independent contractor relationship contemplated by this Agreement is to conclude on
DATE unless terminatedearlier as set forth below. The Contractor agrees that no additional
advancenoticeorfeesinlieuofnoticearerequiredintheeventtherelationshipterminateson
DATE.
The Contractor agrees that the Company may terminate this Agreement at any time without
noticeoranyfurtherpaymentiftheContractorisinbreachofanyofthetermsofthisAgreement.
TheCompanymayterminatethisAgreementatanytimeatitssolediscretion,uponprovidingto
theContractor XXcalendardaysadvancewrittennoticeofitsintentiontodosoorpaymentof
feesinlieuthereof.

TheContractormayterminatethisAgreementatanytimeatitssolediscretionuponprovidingto
theCompanyXXcalendardaysnoticeofContractorsintentiontodoso.Uponreceiptofsuch

notice the Company may waive notice in which event this Agreement shall terminate
immediately.

7.
ObligationsSurvivingTerminationofthisAgreement
AllobligationstopreservetheCompanysConfidentialInformation,IntellectualPropertyand
other warranties and representations set forth herein shall survive the termination of this
Agreement.
8.
EntireAgreement
This Agreement, together with the Confidentiality and Proprietary Information Agreement,
representstheentireagreementbetweenthepartiesandtheprovisionsofthisAgreementshall
supersedeallpriororalandwrittencommitments,contractsandunderstandingswithrespectto
thesubjectmatterofthisAgreement.ThisAgreementmaybeamendedonlybymutualwritten
agreementoftheparty.
9.
Assignment
ThisAgreementshallinuretothebenefitofandshallbebindinguponeachpartyssuccessors
andassigns.Neitherpartyshallassignanyrightorobligationhereunderinwholeorinpart,
withoutthepriorwrittenconsentoftheotherparty.
10.
GoverningLawandPrinciplesofConstruction.
This Agreement shall be governed and construed in accordance with Ontario law. If any
provisioninthisAgreementisdeclaredillegalorunenforceable,theprovisionwillbecomevoid,
leavingtheremainderofthisAgreementinfullforceandeffect.
INWITNESSWHEREOF,thepartiesheretohavecausedthisAgreementtobeexecutedby
theirdulyauthorizedrepresentatives,effectiveasofthedayandyearfirstabovewritten.

CONFIDENTIALITYANDPROPRIETARYINFORMATIONAGREEMENT
Inconsiderationofyourengagementasanindependentcontractororconsultantwith
[company] (the Company), the undersigned (the Consultant) agrees and covenants as
follows:
1. Engagement with the Company as an independent contractor or consultant
(Engagement) will give the Consultant access to proprietary and confidential
information belonging to the Company, its customers, its suppliers and others (the
proprietaryandconfidentialinformationiscollectivelyreferredtointhisAgreementas
Confidential Information). Confidential Informationincludes but is not limitedto
customer lists, marketing plans, proposals, contracts, technical and/or financial
information,databases,softwareandknowhow.AllConfidentialInformationremains
theconfidentialandproprietaryinformationoftheCompany.
2. Asreferredtoherein,theBusinessoftheCompanyshallrelatetothebusinessofthe
CompanyasthesameisdeterminedbytheBoardofDirectorsoftheCompanyfromtime
totime.
3. TheConsultantmayinthecourseoftheConsultantsEngagementwiththeCompany
conceive,developorcontributetomaterialorinformationrelatedtotheBusinessofthe
Company, including, without limitation, software, technical documentation, ideas,
inventions(whetherornotpatentable),hardware,knowhow,marketingplans,designs,
techniques,documentationandrecords,regardlessoftheformormedia,ifany,onwhich
suchisstored(referredtointhisAgreementasProprietaryProperty).TheCompany
shall exclusively own, and the Consultant does hereby assign to the Company, all
ProprietaryPropertywhichtheConsultantconceives,developsorcontributestointhe
course of the Consultants Engagement with the Company and all intellectual and
industrialpropertyandotherrightsofanykindinorrelatingtotheProprietaryProperty,
includingbutnotlimitedtoallcopyright,patent,tradesecretandtrademarkrightsinor
relating to the Proprietary Property. Material or information conceived, developed or
contributed to by the Consultant outside work hours on the Companys premises or
through the use of the Companys property and/or assets shall also be Proprietary
PropertyandbegovernedbythisAgreementifsuchmaterialorinformationrelatestothe
BusinessoftheCompany.TheConsultantshallkeepfullandaccuraterecordsaccessible
at all times to the Company relating to all Proprietary Property and shall promptly
discloseanddelivertotheCompanyallProprietaryProperty.
4. The Consultant shall, both during and after the Consultants Engagement with the
Company,keepallConfidentialInformationandProprietaryPropertyconfidentialand
shallnotuseanyofitexceptforthepurposeofcarryingoutauthorizedactivitieson
behalf of the Company. The Consultant may, however, use or disclose Confidential
Informationwhich:
(i)

isorbecomespublicotherthanthroughabreachofthisAgreement;

(ii)
(iii)

isknowntotheConsultantpriortothedateofthisAgreementandwithrespectto
whichtheConsultantdoesnothaveanyobligationofconfidentiality;or
isrequiredtobedisclosedbylaw,whetherunderanorderofacourtor
governmenttribunalorotherlegalprocess,providedthatConsultantinformsthe
CompanyofsuchrequirementinsufficienttimetoallowtheCompanytoavoid
suchdisclosurebytheConsultant.

The Consultant shall return or destroy, as directed by the Company, Confidential


Information,ProprietaryPropertyandanyotherCompanypropertytotheCompanyupon
requestbytheCompanyatanytime.TheConsultantshallcertify,bywayofaffidavitor
statutory declaration, that all such Confidential Information, Proprietary Property or
Companypropertyhasbeenreturnedordestroyed,asapplicable.
5. TheConsultantcovenantsandagreesnottomakeanyunauthorizedusewhatsoeverofor
tobringontotheCompanyspremisesforthepurposeofmakinganyunauthorizeduse
whatsoeverofanytradesecrets,confidentialinformationorproprietarypropertyofany
thirdparty,includingwithoutlimitationanytrademarksorcopyrightedmaterials,during
thecourseoftheConsultantsEngagementwiththeCompany.
6. AtthereasonablerequestandatthesoleexpenseoftheCompany,theConsultantshalldo
allreasonableactsnecessaryandsignallreasonabledocumentationnecessaryinorderto
ensuretheCompanysownershipoftheProprietaryProperty,theCompanypropertyand
allintellectualandindustrialpropertyrightsandotherrightsinthesame,includingbut
notlimitedtoprovidingtotheCompanywrittenassignmentsofallrightstotheCompany
andanyotherdocumentsrequiredtoenabletheCompanytodocumentrightstoand/or
registerpatents,copyrights,trademarks,industrialdesignsandsuchotherprotectionsas
theCompanyconsidersadvisableanywhereintheworld.
7. The Consultant hereby irrevocably and unconditionally waives all moral rights the
ConsultantmaynoworinthefuturehaveinanyProprietaryProperty.
8. TheConsultantagreesthattheConsultantwill,ifrequestedfromtimetotimebythe
Company, execute such further reasonable agreements as to confidentiality and
proprietaryrightsastheCompanyscustomersorsuppliersreasonablyrequiretoprotect
confidentialinformationorproprietaryproperty.
9. Regardlessofanychangesinposition,feesorotherwise,including,withoutlimitation,
termination of the Consultants Engagement with the Company, unless otherwise
stipulatedpursuanttothetermshereof,theConsultantwillcontinuetobesubjecttoeach
ofthetermsandconditionsofthisAgreementandanyother(s)executedpursuanttothe
precedingparagraph.
10. TheConsultantagreesthattheConsultantssoleandexclusiveremedyforanybreachby
theCompanyofthisAgreementwillbelimitedtomonetarydamagesandincaseofany
breach by the Company of this Agreement or any other Agreement between the
ConsultantandtheCompany,theConsultantwillnotmakeanyclaiminrespectofany
rightstoorinterestinanyConfidentialInformationorProprietaryProperty.

11. The Consultant acknowledges that the services provided by the Consultant to the
CompanyunderthisAgreementareunique.TheConsultantfurtheragreesthatirreparable
harm will be suffered by the Company in the event of the Consultants breach or
threatenedbreachofanyofhisorherobligationsunderthisAgreement,andthatthe
Companywillbeentitledtoseek,inadditiontoanyotherrightsandremediesthatitmay
haveatlaworequity,atemporaryorpermanentinjunctionrestrainingtheConsultant
from engaging in or continuing any such breach hereof. Any claims asserted by the
ConsultantagainsttheCompanyshallnotconstituteadefenceinanyinjunctionaction,
applicationormotionbroughtagainsttheConsultantbytheCompany.
12. ThisAgreementisgovernedbythelawsoftheProvinceofOntarioandthepartiesagree
tothenonexclusivejurisdictionofthecourtsoftheProvinceofOntarioinrelationtothis
Agreement.
13. IfanyprovisionofthisAgreementisheldbyacourtofcompetentjurisdictiontobe
invalidorunenforceable,thatprovisionshallbedeletedandtheotherprovisionsshall
remainineffect.
