EXECUTIVE SUMMARY

Nolan Pickens is a founding member of Tri-Eco-Vision, LLC. His first fictional

novel “Deeper: Certainty is Absurd” was published by traditional means
through a mainline book publisher. It took almost a lifetime to write the novel
and all of 4-years after the date of its completion to have it grace the literary
circuit. Naturally, after its publication sheer excitement pervaded the authors
every being, as his dreams were finally realized. At least until, a rude
awakening stemming from the harsh realities of a publishing contract
consigning the rights to and most of the royalties from his life’s works to that
of the publishing company took form. Prompting his recent course of action to
launch an author services company that provides aspiring writer’s with an
option to self-publish, which means more autonomy, self-efficacy, and control
of their work(s).

At Tri-Eco-Vision, LLC, we embrace “artrepreneurial” endeavors. Our

proclivity to harness new talent looking to hone their skills, manage change,
and explore uncharted territory plays an integral role in our mission to invest in
those that invest in themselves. Individuals looking to take ownership of their
work(s) will always have a partner in us. In that partnership, we intend to
minimize risks, maximize gains, and increase efficiencies through the use of
Print-On-Demand technology.

COMPANY DESCRIPTION

Tri-Eco-Vision, LLC, is set to launch in the New York Tri-State area, which
includes 29 counties throughout New York, New Jersey, and Connecticut. As
one of the most populated regions in the world, according to Metropolitan
Statistical Area (MSA), New York is estimated to harbor some 18,815,988
people, 75 Fortune 500 Companies, and a number 1 ranking for direct
marketing qualifying it as one of the major epicenters for business throughout
the world.

Therefore, it is the company’s mission to tap into this vast pool of talent by
offering premier digital publishing, printing and marketing services that nurture
undiscovered authorship respective of the area of literary entertainment. Our
blue-ribbon services will target niche markets specific to Academia, Children,
and Christian book industries.

Tri-Eco-Vision, LLC, is a Limited Liability Company (LLC), which means the

company and its members are mandated by the New York Department of State to
file an Articles of Organization with them serving as our designated agent for
service. In this case, New Jersey and Connecticut, as well. For a total fee of $445.
Though, New York is the state of domicile, the company will be recognized by all
three (3) states, as a legal entity subjecting it to each state laws that govern
corporate formalities like filing employees tax withholdings, fees, and annual
reports. Additionally, a notice of formation in two newspapers for six consecutive
weeks is required of the company to satisfy New York State law
(www.limitedliabilitycompanycenter.com).

Conversely, a lapse in judgment can constitute fraud. Just as failure to follow

corporate formality; commingling business and personal funds, and inadequate or
zero capitalization can result in legal actions brought up under the guise of a
theory called “piercing-the-corporate-veil” (www.llc-made-easy.com). In which
case, members of the company may be held personally liable for any and all debts
and financial obligations applicable.

Generally, operating as a Limited Liability Company has advantages like:

• Pass-through and/or member level taxation.

• Owner(s) protection from liability for acts and debts.
• Flexibility to elect taxation as a Sole Proprietor, Partnership, S-Corp. or
Corporation (Check-the-box taxation).
• No annual meeting requirement.
• No loss of power to board of directors.
• Legal entities that extend beyond illness and death.
• Much less administrative paperwork and recordkeeping.
• Assigned interest to members of LLC’s, and economic benefits of those
interests can be separated and assigned.

Similarly, operating as a Limited Liability Company has its disadvantages. One

major disadvantage that affect us is:

• The lack of uniformity among the state’s statutes (NY, NJ, & Conn.).

Unfortunately, businesses that operate in more than one state do not typically
receive consistent treatment.

PRODUCT

Since quality is the rule and flexibility is the exception, Tri-Eco-Vision, LLC,
prides itself on conducting a most rigorous selection process to winnow ideas
that produce quality. We also provide our authors with the autonomy of
retaining their copyrights. We insist upon their proactive participation in the
distribution, marketing and production process. This way, we consummate a
partnership that sustains viability, which contributes to more easily
customizable marketing campaigns to promote the their product(s). Our motto
is: “quality begets quality”. So, whether it involves designing the cover of a
book or editing the content within it; scheduling a book-signing event or
campaigning for media coverage; garnering book reviews or determining
formats; it is the collaborative effort between company staff and author that
effects a product that is greater than the sum of its parts.

MANUFACTURING AND DISTRIBUTION

Many options are available to satisfy Tri-Eco-Vision, LLC requirement for quality
manufacturing and reproduction of books. Tri-Eco-Vision, LLC will outsource
this function to Ingram/Spring Arbor. This company has been selected based on
their tradition for being the best in the Christian book industry. They also stock
over 113,000 titles including:

• 11,000 Children’s titles

• 4,000 Bibles
• 4,200 Video Selections
• 22,000 Music Selections

They also provide an inventory tracking system that keep retailers informed
about proper stock measures on opening day and beyond called the
Recommended Model Inventory (RMI) program. According to reports, it is
capable of:
• Eliminating guesswork on products that need to be ordered.
• Saving time and money by consolidating orders through one supplier.
• Providing opportunities to earn higher discounts and extended payment
terms.
• Allowing additional time to make product returns.

Overall, it affords us the opportunity to offset capital expenditures typically

allocated for inventory with that of marketing and advertising. A working
relationship with this company will allow Tri-Eco-Vision, LLC to charge a
book retail price of $27.95 per unit. For a traditional publisher that breaks down
to:

Cost Breakdown Whole dollar amt. % Royalties

Retailer Royalties $12.58 45%

Author Royalties $4.19 15%
Wholesaler $2.80 10%
Publisher (Pre- $2.83 12.7%
production)

Publisher (Printing) $2.83 10.125%

Publisher $2 7.15%
(Marketing)

Publisher Tot. $8.39 30%

In which case, we would see $6.99 in profits. While this is substantial, our POD
services, allows far more flexibility for the author while cutting the cost for pre-
production and printing, stock, storage, handling costs, and inventory accounting
costs which translate into more bang-for-the-buck. Another reason why we can
extend to our author’s 45% in royalties for direct sales, 20% in distribution sales,
70% in purchase discounts on personal books and a free printed copy of the
author’s first published book.

MARKETING AND PROMOTION

Chief among Tri-Eco-Visions, LLC goals is to design and provide creative and
effective marketing campaigns that add to our literary publishing services.
Promotion and marketing strategies will be formulated while the product is being
produced. It is crucial that the marketing plan for each new release is in motion
several weeks before the product is completed. Tri-Eco-Vision, LLC will employ
multifaceted strategies for its product releases including:

marketing plan.

and e-Books are steadily climbing).

sites that relate to topic, generate publicity, and promote sales.

CONCLUSION

Tri-Eco-Vision, LLC is here to serve the “artrepreneur” as curators of literary art.

Our facility located in Metropolitan New York, the epicenter of business
throughout the world, provides the ideal setting to capitalize on this ever-
expanding literary entertainment market.

Unlike traditional publishing companies, we are “pro-author” and have

strategically tailored our business model to generate profits through marginal cost
production and digital distribution. To that same extent, we focus on maximizing
the efforts of our customers by expediting a kinetic marketing plan that when
waged against promotional tact and online omnipresence increases revenue
streams, heightens exposure, and procures clientele.
At Tri-Eco-Vision, LLC, we see the big picture. We understand the recent
changes in media consumption habits. We also recognize the fact that online
content serves as a useful expedient to more convenient, readily accessible and
cost effective entertainment. We have thus adopted, integrated, and allowed Erik
Qualman’s theory of Socialnomics to manifest in our day-to-day operations.
According to his theory:

“Socialnomics is a massive socioeconomic shift. Yet, some of the core marketing and business
principals of the last few centuries will still apply; whilst other basic principles will become as
extinct as the companies that continue to try to force them on the unwilling public.”
Entertainment Media Publishing & Distribution by Kim Kraft: Full Sail University

Socialnomics represents a movement that calls for the celebration of the consumer

and laments the death of traditional means of business operations. Especially, as
digital publishers, in this new digital age is it imperative that we embrace this
socioeconomic shift and the new paradigms that come with it by entering the fray
with flexibility.
