totheminpreparingandsubmittingtheirproposalpursuanttotheBiddingDocumentsincludingthis
RFP (the"Bid"). This RFP includes statements, whichreflect various assumptions and assessments
arrivedatbySMCinrelationtotheProject.Suchassumptions,assessmentsandstatementsdonot
purporttocontainalltheinformationthateachBiddermayrequire.ThisRFPmaynotbeappropriatefor
all persons, and it is not possible for SMC, its employees or advisors to consider the investment
objectives, financial situation and particular needs of each party who reads or uses this RFP. The
assumptions,assessments,statementsandinformationcontainedintheBiddingDocumentsmaynotbe
complete,accurate,adequateorcorrect.EachBiddershould,therefore,conductitsowninvestigations
andanalysisandshouldchecktheaccuracy,adequacy,correctness,reliabilityandcompletenessofthe
assumptions,assessments,statementsandinformationcontainedinthisRFPandobtainindependent
advicefromappropriatesources.
InformationprovidedinthisRFPtotheBidder(s)isonawiderangeofmatters,someofwhichdepends
upon interpretation of law. The information given is not intended to be an exhaustive account of
statutoryrequirementsandshouldnotberegardedasacompleteorauthoritativestatementoflaw.SMC
acceptsnoresponsibilityfortheaccuracyorotherwiseforanyinterpretationoropiniononlawexpressed
herein.
SMC,itsemployeesandadvisorsmakenorepresentationorwarrantyandshallhavenoliabilitytoany
person,includinganyBidderunderanylaw,statute,rulesorregulationsortort,principlesofrestitution
orunjustenrichmentorotherwiseforanyloss,damages,costorexpensewhichmayarisefromorbe
incurredorsufferedonaccountofanythingcontainedinthisRFPorotherwise,includingtheaccuracy,
adequacy,correctness,completenessorreliabilityoftheRFPandanyassessment,assumption,statement
or information contained therein or deemed to form part of this RFP or arising in any way by
participatinginthisBiddingProcess.
SMCalsoacceptsnoliabilityofanynaturewhetherresultingfromnegligenceorotherwisehowsoever
causedarisingfromrelianceofanyBidderuponthestatementscontainedinthisRFP.
SMCmayinitsabsolutediscretion,butwithoutbeingunderanyobligationtodoso,update,amendor
supplementtheinformation,assessmentorassumptionscontainedinthisRFP.
TheissueofthisRFPdoesnotimplythatSMCisboundtoselectaBidderortoappointtheSuccessful
BidderorOperator,asthecasemaybe,fortheProjectandSMCreservestherighttorejectalloranyof
theBiddersorBidswithoutassigninganyreasonwhatsoever.
`TheBiddershallbearallitscostsassociatedwithorrelatingtothepreparationandsubmission
ofitsBidincludingbutnotlimitedtopreparation,copying,postage,deliveryfees,expensesassociated
withanydemonstrationsorpresentationswhichmayberequiredbySMCoranyothercostsincurredin
connectionwithorrelatingtoitsBid.AllsuchcostsandexpenseswillremainwiththeBidderandSMC
shallnotbeliableinanymannerwhatsoeverforthesameorforanyothercostsorotherexpenses
incurredbyaBidderinpreparationorsubmissionoftheBid,regardlessoftheconductoroutcomeofthe
BiddingProcess.

Shivpuri Municipal Council (SMC) invites bid from prospective bidders for conducting IEC
(Information,EducationandCommunication)activitiesforShivpuriMunicipalCouncilunderSwachh
BharatMissionfor6(Six)months(ormaybeextendedonsatisfactoryperformanceoftheAgency)for
ShivpuriMunicipalCouncil(SMC).

1. INTRODUCTION
1.1.
Background
1.1.1.
Shivpuri Municipal Council, Shivpuri (hereinafter collectively referred to as SMC

Authority)intendstoappointanAgencyforconductingIEC(Information,Educationand
Communication) activities for Shivpuri Municipal Council under Swachh Bharat Mission
(collectivelyreferredtoasthe Project).Thespecificobjectiveofthisprojectistocreate
awarenessleadingtoeradicationofopendefecation,involvementoflocalcommunity,ensure
motivationandskillupgradationofSlumdwellersandtosensitizethepeopletochangetheir
behaviorforbetterenvironmentforvariousservices.
1.1.2.
SMC intends to appoint an agency for conducting IEC (Information, Education and
Communication)activitiesunderSwachhBharatMission,forthevariousactivities/servicesas
mentionedintheRFP.InthatcontexttheAuthorityhasdecidedtocarryouttheprocessfor
selectionofagencyfortheperiodof6(Six)months(thismaybeextendedonthebasisof
satisfactoryperformanceofAgency).
1.2.
AboutShivpuriCity
1.2.1. The district is bounded on the North by Morena, Gwalior and Datia districts, on the East by
Jhansi district of U.P, on the West by Kota district of Rajasthan and on the South by Guna
district. The district headquarter Shivpuri is located on NH-3 (Agra-Bombay National Highway) at
a 113 Km from Gwalior and 98 Km from Guna. The district is mostly laid out over small hill tops
covered with deciduous forests where the slope is gentle with verdant vegetation and good
forests round about, the landscape is generally pleasing. .
1.3.
TheProject:AppointmentofAgencyforconductingIEC(Information,Educationand
Communication)activitiesforShivpuriMunicipalCouncilunderSwachhBharat
Mission
1.3.1.
TheagencyshallconductIECactivitiesasperthescheduleprovidedbySMCandbearallcost
ofactivitiesconductedduringtheContractPeriod.TheBidderwillbeselectedontheLeastCost
selection(LCS)basis (biddingparameter) forprovidingthesaidservicetoSMCfor6(Six)
months(ordurationmaybeextendedonthebasisofsatisfactoryperformanceofAgency)
(Contractperiod).
1.3.2.
TheAgencyshallbeappointedinitiallyforaperiodof6(six)monthsfromthedateofissuance
ofWorkOrder.However,theAuthoritymay,bygivingwrittennoticetotheAgencyandextend
theContractforafurtherperioduptothedatesetoutintheFormofContractonthebasisof
satisfactoryevaluationofperformanceandonthesametermsandconditionssetoutinthisRFP
andAgreement.After6(six)monthscontractmaybeextendedbyCMOasperrequirementof
theAuthority.
1.3.3.
Thescopeoftheprojectincludesthefollowing:
a. The scope includes conducting various types of promotional, awareness campaign and
communicationactivitiesasperthescheduleprovidedbySMC.
1.3.4. TheContractPeriodwillbefor6(Six)months.
1.3.5. DetailedScopeofWork:
SMC desires to develop and implement Information, Education & Communication (IEC) activity for
Swachh Bharat Mission (SBM). The following activities shall be undertaken by
Agency/NGOs/Firm/Company for successful outcome & implementation of the objectives of SBM
for IEC activity. The bidder has been provided with the schedule of activities in APPENDIX VII but
not limited to these mentioned activities, the scope may vary as per the requirement of SMC:
a. Conducting public consultation and awareness in both English & Hindi at specified
places along with the communication material provided by SMC.
b. Undertaking Awareness Drive in each of the slums and open defecation location on
bi-monthly basis.
c.
Undertake stakeholders consultation in every zone with elected representatives, self-help

group, institution like schools and colleges, Resident Welfare Associations, NGOs, Corporate
Offices under CSR, Railway Officials, UDA officials, CT/PT maintenance operator/sulabh etc.
d. Prepare the monthly impact assessment report for the communication activity undertaken.
e. Distribution of pamphlets of ODF and cleanliness communication material.
f.
Erect and display banners, flex etc. provided by SMC in all slum locations, proximity
areas and on identified spots by SMC.
g. Undertake road show with banners, posters, pamphlets and public address system on
special commercial vehicles with stoppage at four prominent places (minimum 15
min). Each slum location and near every identified OD spot. All the zones shall be
covered for public announcement in 7 days in months. Repeat the road show
covering each zone in another 7 days. The Agency/NGOs/firms/company shall
provide the commercial four wheeler at its own cost with appropriate facilities.
h. Conducting Nukkannataks, painting and other competition, cleanliness drive in
schools/colleges/institutes, Essay competitions, Exhibition stalls etc as per the
program schedule provided by SMC.
i.
Undertake the sanitation awareness drives as per the schedule mentioned in the table
below. Prior approval of the concerned Project Officer shall be taken for every
planned awareness drive.

b. All the information from SMC shall be given to Agency duly signed from the concerned
department.
c. Ifrequired,SMCshallprovideworkspaceinSMCpremisetoappointedagencystafftillthe
contractperiod.
d. Thecontentintheformofsheets/posters/pamphlets/banner/ hoardings inEnglishorHindi as
hard/softcopywhichshallbeprovidedtotheAgency.
e. All the content/materials will be printed by SMC and will be handed over to agency for
promotionalactivities.
f. AlldocumentstobeprovidedbySMCwillordinarilybeinEnglishorHindilanguage.
g. FacilitatingtheAgencyduringthecourseoftheprojectfornecessaryinformationandsupport.
1.4.
ContextoftheBiddingProcess
1.4.1.
TheShivpuriMunicipalCouncil(theSMC)intendstoimplementtheProjectbyinvolving
NGOs/firms/companiestoConductingIEC(Information,EducationandCommunication)
activitiesforShivpuriMunicipalCouncilunderSwachhBharatMission(theProject).
1.4.2.
SMC intends toqualify and select suitable Bidder throughanopen competitive etendering
systeminaccordancewiththeproceduresetoutintheBiddingDocuments.
1.4.3.
Biddermaybeentities registeredunder the IndianCompanies Act1956or anyother latest

CompaniesAct2013/NGOs/Firm.BiddingCompanymeansasingleentitywhichhasbeen
issuedtheRFPandwhichsubmitstheBidasasingleentitypursuanttotheBiddingDocuments.
Consortiumwillnotbeallowedtoparticipateinthisbid.
1.4.4.
TheSuccessfulBidder,(Agency),shallberesponsibleforConductingIEC(Information,
EducationandCommunication)activitiesforShivpuriMunicipalCouncilunderSwachh
BharatMissionunderandinaccordancewiththeprovisionsofanAgreementtobeexecuted
separatelybetweentheAgencyandtheShivpuriMunicipalCouncil,substantiallyintheform
enclosedasVolume2ofthisRFP(theAgreement).
1.4.5.
Thescopeofworkwillincludedaytodayorganizingevents/IECactivitiesinaccordancewith
theprovisionofAgreement.TheAgreementsetsforththedetailedtermsandconditionsforthe
workprovidedtotheAgencyforimplementingtheProject,includingthescopeoftheAgencys
servicesandobligations.
1.4.6.
The statements and explanations contained in this RFP are intended to provide a proper
understandingtotheBiddersaboutthesubjectmatterofthisRFPandshouldnotbeconstruedor
interpretedaslimitinginanywayormannerthescopeofservicesandobligationsoftheAgency
setforthintheAgreementorSMCsrightstoamend,alter,change,supplementorclarifythe
scopeofworktobeawardedpursuanttothisRFPorthetermsthereoforhereincontained.
Consequently,anyomissions,conflictsorcontradictionsintheBiddingDocumentsincluding
thisRFParetobenoted,interpretedandappliedappropriatelytogiveeffecttothisintent,and
noclaimsonthataccountshallbeentertainedbySMC.
1.4.7. SMCshallreceivethebidthroughtheetenderingsystemandevaluateBidsinaccordancewith
thetermssetforthinthisRFPandotherdocumentstobeprovidedbySMCpursuanttothis
RFP, as modified, altered, amended, reissued and clarified from time to time by SMC
(collectively the Bidding Documents), and all Bids shall be prepared and submitted in
accordancewithsuchtermsonorbeforethedatespecifiedinClause1.6forsubmissionofBids
(theBidDueDate).
1.5.
DetailsoftheBiddingProcess
1.5.1.
SMChasadoptedasinglestageprocess(referredtoasthe"BiddingProcess")forselecting
BiddersfortheawardoftheProjectthroughtheetenderingsystem.TheBiddingProcessshall
compriseoftwosteps,thefirstrelatingtoqualificationoftheBidderandthesecondrelatingto
theFinancialProposaloftheBidder.TheBiddershallpaytoSMCasumofRs2,000/(Rupees
TwoThousandonly)asthecostoftheRFPdocumentthroughtheetenderingsystemofSMC.
1.5.2.
AspartoftheBiddingProcess,theBiddersarebeingcalledupontosubmittheirBidsthrough
the etendering system of SMC in accordance with the terms specified in the Bidding
Documents.TheBidshallbevalidforaperiodofnotlessthan180daysfromtheBidDueDate.
1.5.3.
The Bidding Documents include this RFP and the Agreement. Subject to the provisions of
Clause2.1.2,theaforesaiddocumentsandanyaddendaissuedsubsequenttothisRFPdocument,
willbedeemedtoformpartoftheBiddingDocuments.
1.5.4.
UndertheQualification,theBidderswouldberequiredtofurnishalltheinformationspecified
inthisRFP.OnlythoseBiddersthatarequalifiedinconformancewithclause3.bandshort
listedbySMCshallhavetheirFinancialProposalsopened.
1.5.5.
UndertheFinancialProposal,theBidswillbeevaluatedaspertheprocessdetailedinClause
1.bofthisRFPdocument.TheevaluationshallbeontheLCSbasis.Thebidderscoringhighest
markswillbeawardedtheworkaspertermsandconditionsoftheRFP.Thetop3(three)
rankedBiddersshallberetainedtillthesigningoftheAgreementwiththeSuccessfulBidder.
[TheBidderbiddingtheLowestPriceshallbecalledSuccessfulBidder.]
1.5.6.
SubsequenttotheidentificationoftheSuccessfulBidder,theLetterofAward(LoA)wouldbe
issuedtotheSuccessfulBidderbySMC.Within7(seven)daysfromthedateofissueofthe
LoA, the Successful Bidder shall send an acknowledgement agreeing to comply with the
conditionssetouttherein.SMCwillpromptlynotifyotherBiddersthattheirFinancialProposals
havebeenunsuccessfulandtheirBidSecurityshallbereturnedwithin30(thirty)days,without
interest,ofthesigningoftheAgreementwiththeSuccessfulBidder.TheSuccessfulBidder
shallhavetoenterintotheAgreementwithin45(fortyfive)daysfromthedateofissueofthe
LoA.TheSuccessfulBidderonthedateofsigningoftheAgreementshall:
1. FurnishthePerformanceSecuritybywayofaFixedDepositReceipt(FDR)issuedbya
nationalized Bank in favour of Commissioner, Shivpuri Municipal Council, as required
under the Agreement or EMD of Successful bidder shall be included in Performance
Security.
Failure of the Successful Bidder to comply with the requirements mentioned in the above
paragraphshallconstitutesufficientgroundsfortheannulmentoftheLoA,andforfeitureofthe
BidSecurity.Insuchanevent,SMCreservestherightto:

1. EitherinvitethenextbestBiddertomatchtheBidsubmittedbytheSuccessfulBidder;OR
2. CallforfreshBidsfromtheremainingBidders;OR
3. TakeanysuchmeasureasmaybedeemedfitinthesolediscretionofSMC,including
annulmentoftheBiddingProcess.
1.5.7. BiddersarestronglyrecommendedtoexaminetheProjectingreaterdetail,andtocarryout,at
theircost,suchstudiesasmayberequiredforsubmittingtheirrespectiveBidsforawardofthe
workincludingoperationandmaintenanceoftheProject.SMCwillnotbeheldresponsiblefor
anyincorrectdecisionarrivedatbythebidderbasedonthedataprovidedinthisRFPdocument.
1.5.8. Bidders may note that the SMC will not entertain any deviations to the RFP at the time of
submissionoftheProposalorthereafter.TheProposaltobesubmittedbytheBidderswillbe
unconditionalandunqualifiedandtheBidderswouldbedeemedtohaveacceptedthetermsand
conditionsoftheRFPwithallitscontents.AnyconditionalProposalshallberegardedasnon
responsiveandwouldbeliableforrejectionanditsbidsecurityshallbeforfeited.
1.5.9. Any queries or request for additional information concerning this RFP shall be submitted in
writingorbyfaxandemailtotheAdd.Commissioner,SMC.TheBiddersarerequiredto
submit their queries on this RFP (i.e. all parts of the RFP) as per the Clause 1.6. The
envelopes/communicationsshallclearlybearthefollowingidentification/title:

2. INSTRUCTIONSTOBIDDERS
A.
GENERAL
2.1.
GeneraltermsofBidding
2.1.1.
NoBiddershallsubmitmorethanoneBidfortheProject.ABidderapplyingindividuallyorasa
Partnership firm shall not be entitled to submit another Bid either individually or as a
Partnershipfirm,asthecasemaybe.
2.1.2.
The Bidders are expected to carry out their own surveys, investigations and other detailed
examination of the Project before submitting their Bids. Nothing contained in the Bidding
DocumentsshallbebindingonSMCnorconferanyrightontheBidders,andSMCshallhave
no liability whatsoever in relation to or arising out of any or all contents of the Bidding
Documents.
2.1.3.
NotwithstandinganythingtothecontrarycontainedinthisRFP,thedetailedtermsspecifiedin
the Agreement shall have overriding effect; provided, however, that any conditions or
obligationsimposedontheBidderhereundershallcontinuetohaveeffectinadditiontoits
obligationsundertheAgreement.
2.1.4.
TheBidshouldbefurnishedintheformatsasspecifiedintheRFPandsignedbytheBidders
authorized signatory. The Successful Bidder may be subsequently invited for award of the
contract.TheBiddersshouldnotethattheformatsspecifiedintheRFPhavebeenprovidedfor
the convenience of the Bidders and may not exhaustively enumerate or describe various
informationrequiredtobeprovidedbytheBiddersundertheBiddingDocuments.TheBidders
shouldensurethatalltheinformationrequiredtobeprovidedbyitintermsoftheBidding
DocumentsisincludedinitsBidwhetherornotaparticularformatspecifiedhereinmakes
provisionforsubmissionofsuchinformationand/orwhetherornotaformatforsubmissionof
suchinformationisincorporatedintheBiddingDocuments.
2.1.5.
The Bidder shall deposit a Bid security of Rs. 125,000/ (Rupees One Lack Twenty Five
thousandonly)throughtheetenderingsystemofSMCandinaccordancewiththeprovisionsof
thisRFPfortheBidsubmitted(BidSecurity).
2.1.6.
TheBidderincaseofBiddingCompanyshouldsubmitaPowerofAttorneyaspertheformatat
AppendixIII,authorizingthesignatoryoftheBidtocommittheBidder.
2.1.7.
AnyconditionorqualificationoranyotherstipulationcontainedintheBidwhichisinconsistent
withthetermsoftheBiddingDocuments shallrender theBidliable torejectionasa non
responsiveBid.
2.1.8.
TheBidandallrelatedcorrespondenceanddocumentsinrelationtotheBiddingProcessshall
beinEnglishlanguage.SupportingdocumentsandprintedliteraturefurnishedbytheBidder
with the Proposal may be in any other language (according to UN Charter or Indian
Constitution)providedthattheyareaccompaniedbyappropriatetranslationsofthepertinent
passagesintheEnglishlanguage(Transliterationisnotallowed).Supportingmaterials,which
arenottranslatedintoEnglish,maynotbeconsideredforfixingthequalificationcriteria.Forthe

purposeofinterpretationandevaluationoftheProposal,theEnglishlanguagetranslation(no
transliterationisallowed)shallprevail.
2.1.9.
ThecurrencyforthepurposeoftheBidshallbeIndianRupeesonly.Incasetheconversionis
required,theconversiontothecurrencyshallbebasedontheexchangerate(RBIReference
Rate)aswasapplicableexactly7(seven)dayspriortoBidDueDate.Inallsuchcases,the
originalfiguresintherelevantforeigncurrencyandtheBidcurrencyequivalentthereofmustbe
given.Thedateusedandexchangeratethereofshallbeclearlystated.SMCreservestherightto
useanyothersuitableexchangerateforthepurposesofuniformlyevaluatingallBidders.
2.1.10. TheBiddingDocumentsincludingthisRFPandallattachedorotherdocuments,providedby
SMCareandshallremainorbecomethepropertyofSMCandaretransmittedtotheBidders
solelyforthepurposeofpreparationandthesubmissionofaBidinaccordancewiththeBidding
Documents.Biddersaretotreatallinformationasstrictlyconfidentialandshallnotuseitfor
any purpose other than for preparation and submission of their Bid. The provisions of this
Clause2.1.9shallalsoapplymutatismutandistoBidsandallotherdocumentssubmittedbythe
Bidders,andSMCwillnotreturntotheBiddersanyBid,documentoranyinformationprovided
alongtherewith.
2.1.11. TheProposalswouldbeevaluatedbasedonthedetailsanddatafurnishedintheBid.Mere
submission of information does not entitle the Bidder to meet an eligibility criterion. SMC
reservestherighttoverifyanyorallinformationsubmittedbytheBidder.SMCsdecision
regardinganyBidder'seligibilityorotherwiseshallbefinalandbindingandSMCwouldbe
undernoobligationtoinformanyBidderofthegroundsofsuchdecision.
2.1.12. Bidders shall provide evidence of their continued eligibility; in accordance with the
PrequalificationrequirementswhichissatisfactorytoSMC.TheSMCmayrequestadditional
informationfromtheBiddertillsigningofAgreement.ABiddermaybedisqualifiedifitis
determinedbySMCatanystageofthebiddingprocessthattheBidderwillbeunabletofulfill
therequirementsoftheProjectorfailstocontinuetosatisfythePrequalificationrequirement.
Supplementaryinformationordocumentationregardingqualificationsmaybesoughtfromthe
Biddersatanytimeandmustbeprovidedwithintimeframeperiodstipulatedinsuchrequests.
If the Bidder is unable to provide the information within the stipulated timeframe then the
Biddermaybedisqualified.
2.1.13. To assist in the examination, evaluation, and comparison of Proposals, SMC may, at its
discretion, ask any Bidder for clarification. The Authority may utilize the services of any
consultant or other advisor of the Bidder for the examination and evaluation of Bidders,
TechnicalOfferandFinancialOfferaspertheduediligenceprocess.However,clarificationsif
anyrequiredfromBidder,shallbeinwriting(typedanddulysignedbyauthorizedsignatory)
andshallbecommunicatedbytheBiddertotheAuthority.
2.1.14. Informationrelatingtotheexamination,clarification,evaluationandcomparisonofProposals
andrecommendationsfortheawardofacontractshallnotbedisclosedtoBiddersoranyother
personsnotofficiallyconcernedwithsuchprocessuntiltheawardtothePreferredBidderhas
beenannounced.AnyeffortbyaBiddertoinfluenceSMCoranyofitsconsultantsand/or
advisorsprocessingofProposalsorawarddecisionsmayresultintherejectionoftheProposal.
2.1.15. SMCoranyofitsconsultantsand/oradvisorswillcheckBidsdeterminedtobesubstantially
responsiveforanyarithmeticerrors.Whereverthereisdiscrepancybetweentheamountsin

figuresandinwords,theamountinwordswillgovern.Incaseofdifferencebetweenoriginal
andcopies,theinformation/data/Bidprovidedintheoriginalwouldbeconsideredcorrectand
binding.AnysuchcorrectionsmadebySMCshallbeconsideredasbindingupontheBidderand
willbedulynotifiedtotheBidderinwriting.IftheBidderdoesnotacceptthecorrectionsin
Bid,SMCmayrejecttheProposalandforfeittheBidSecurity.
2.1.16. ABiddershallnothaveaconflictofinterest(theConflictofInterest)thataffectstheBidding
Process.AnyBidderfoundtohaveaConflictofInterestshallbedisqualified.Intheeventof
disqualification, SMC shall be entitled to forfeit and appropriate the Bid Security and/or
PerformanceSecurity,asthecasemaybe,asliquidateddamages,withoutprejudicetoanyother
right or remedy that may be available to SMC under the Bidding Documents and/or the
Agreementorotherwise.Withoutlimitingthegeneralityoftheabove,determiningtheConflict
ofInterestshallbetheprerogativeofSMC.
2.1.17. Withoutlimitingthegeneralityoftheabove,aBiddershallbedeemedtohaveaConflictof
InterestaffectingtheBiddingProcess,if:
a. theBidder,itsMemberorAssociate(oranyconstituentthereof)andanyotherBidder,its
Memberor anyAssociatethereof(or anyconstituent thereof)havecommoncontrolling
shareholdersorotherownershipinterest;providedthatthisdisqualificationshallnotapply
incaseswherethedirectorindirectshareholdingofaBidder,itsMemberoranAssociate
thereof(oranyshareholderthereofhavingashareholdingofmorethan5%(fivepercent)of
thepaidupandsubscribedsharecapitalofsuchBidder,MemberorAssociate,asthecase
maybe)intheotherBidder,itsMemberorAssociate,islessthan5%(fivepercent)ofthe
subscribed and paid up equity share capital thereof; provided further that this
disqualificationshallnotapplytoanyownershipbyabank,insurancecompany,pension
fundorapublicfinancialinstitutionreferredtoinsection4AoftheCompaniesAct,1956.
For the purposes of this Clause 2.1.17, indirect shareholding held through one or more
intermediatepersonsshallbecomputedasfollows:
(i) where any intermediary is controlled by a person through management control or
otherwise,theentireshareholdingheldbysuchcontrolledintermediaryinanyotherperson
(theSubjectPerson)shallbetakenintoaccountforcomputingtheshareholdingofsuch
controllingpersonintheSubjectPerson;and
(ii) subjectalwaystosubclause(i)above,whereapersondoesnotexercisecontroloveran
intermediary,whichhasshareholdingintheSubjectPerson,thecomputationofindirect
shareholdingofsuchpersonintheSubjectPersonshallbeundertakenonaproportionate
basis;provided,however,thatnosuchshareholdingshallbereckonedunderthissubclause
(iii) iftheshareholdingofsuchpersonintheintermediaryislessthan26%(twentysix
percent)ofthesubscribedandpaidupequityshareholdingofsuchintermediary;
b. aconstituentofsuchBidderisalsoaconstituentofanotherBidder;
c. suchBidder,itsMemberoranyAssociatethereofreceivesorhasreceivedanydirector
indirectsubsidy,grant,loanorsubordinateddebtfromanyotherBidder,itsMemberor
Associate,orhasprovidedanysuchsubsidy,grant,loanorsubordinateddebttoanyother
Bidder,itsMemberoranyAssociatethereof;

d. suchBidderhasthesamelegalrepresentativeforpurposesofthisBidasanyotherBidder;
e. such Bidder, or any Associate thereof, has a relationship with another Bidder, or any
Associatethereof,directlyorthroughcommonthirdparty/parties,thatputseitherorbothof
theminapositiontohaveaccesstoeachothersinformationabout,ortoinfluencetheBid
ofeitheroreachother;or
f.
suchBidderoranyAssociatethereofhasparticipatedasaconsultant/agencytoSMCinthe
preparationofanydocuments,designortechnicalspecificationsoftheProject.
Explanation:
ForpurposesofthisRFP,Associatemeans,inrelationtotheBidder/Member,apersonwhocontrols,is
controlledby,orisunderthecommoncontrolwithsuchBidder/Member.Asusedinthisdefinition,the
expressioncontrolmeans,withrespecttoapersonwhichisacompanyorCouncil,theownership,
directlyorindirectly,ofmorethan50%(fiftypercent)ofthevotingsharesofsuchperson,orthepower
toappointmajorityofthedirectorsontheboardofdirectorsofsuchcompanyorCounciland/orthe
powertodirectthemanagementandpoliciesofsuchpersonbyoperationoflaw,agreementorotherwise
andwithrespecttoapersonwhichisnotacompanyorCouncil,thepowertodirectthemanagementand
policiesofsuchpersonbyoperationoflaw,agreementorotherwise.
2.1.18. ABiddershallbeliablefordisqualificationandforfeitureofBidSecurityifanylegal,financial
ortechnicaladviseroftheAuthorityinrelationtotheProjectisengagedbytheBidder,its
MembersoranyAssociatethereof,asthecasemaybe,inanymannerformattersrelatedtoor
incidentaltosuchProjectduringtheBiddingProcessorsubsequenttothe(i)issueoftheLOA
or(ii)executionoftheAgreement.IntheeventanysuchadviserisengagedbytheSelected
BidderorAgency,asthecasemaybe,afterissueoftheLOAorexecutionoftheAgreementfor
matters related or incidental to the Project, then notwithstanding anything to the contrary
containedhereinorintheLOAortheAgreementandwithoutprejudicetoanyotherrightor
remedy of the Authority, including the forfeiture and appropriation of the Bid Security or
Performance Security, as the case may be, which the Authority may have thereunder or
otherwise,theLOAortheAgreement,asthecasemaybe,shallbeliabletobeterminated
withouttheAuthoritybeingliableinanymannerwhatsoevertotheSelectedBidderorOperator
forthesame.Fortheavoidanceofdoubt,thisdisqualificationshallnotapplywheresuchadviser
wasengagedbytheBidder,itsMemberorAssociateinthepastbutitsassignmentexpiredor
wasterminated6(six)monthspriortothedateofissueofRFPfortheProject.Norwillthis
disqualificationapplywheresuchadviserisengagedafteraperiodof3(three)yearsfromthe
dateofFinancialoperationoftheProject.
2.1.19. ThisRFPisnottransferableandcanonlybeusedbythepersontowhomithasbeenissued.
2.1.20. AnyawardofContractpursuanttothisRFPshallbesubjecttothetermsofBiddingDocuments.
2.1.21. BysubmittingtheBid,theBiddershallalsobedeemedtohaveacknowledgedandagreedthatin
theeventofachangeincontrolofaMemberwhoseFinancialorTechnicalCapacitywastaken
intoconsiderationforthepurposesofshortlistingandqualificationunderandinaccordance
withtheRFP,theBiddershallbedeemedtohaveknowledgeofthesameandshallberequired
toinformSMCforthwithalongwithallrelevantparticularsaboutthesameandSMCmay,inits
solediscretion,disqualifytheBidderorwithdrawtheLoAfromtheSuccessfulBidder,asthe
casemaybe.IntheeventsuchchangeincontroloccursaftersigningoftheAgreementbutprior
tothecompletionofthecontractperiodfortheProject,itwould,notwithstandinganythingtothe
contrarycontainedintheAgreement,bedeemedtobeabreachoftheAgreement,andthesame

shallbeliabletobeterminatedwithoutSMCbeingliableinanymannerwhatsoevertothe
Agency.Insuchanevent,notwithstandinganythingtothecontrarycontainedintheAgreement,
SMCshallbeentitledtoforfeitandappropriatethePerformanceSecurity,asliquidated
damages,withoutprejudicetoanyotherrightorremedythatmaybeavailabletoSMCunder
theBiddingDocumentsorotherwise.
2.2.
CostofBidding
2.2.1.
TheBiddersshallberesponsibleforallofthecostsassociatedwiththepreparationoftheirBids
andtheirparticipationintheBiddingProcess.SMCwillnotberesponsibleorinanywayliable
forsuchcosts,regardlessoftheconductoroutcomeoftheBiddingProcess.
2.3.
UnderstandingtheScopeofProject
2.3.1.
Bidders are encouraged to submit their respective Bids after complete understanding of the
Projectscopeandascertainingforthemselvestheapplicablelawsandregulations,andanyother
matterconsideredrelevantbythem.
2.3.2.
ItshallbedeemedthatbysubmittingaBid,theBidderhas:
a. madeacompleteandcarefulexaminationoftheBiddingDocuments;
b. receivedallrelevantinformationrequestedfromSMC;
c. madeacompleteandcarefulexaminationofthevariousaspectsoftheProjectincludingbut
notlimitedto:
i.
TheProjectscope,existingfacilitiesthatSMCisgoingtoprovide;
ii.
ThecurrentscenarioofSMCarea;
iii.
ClearancesobtainedfortheProject;ifany
iv.
AllothermattersthatmightaffecttheBiddersperformanceunderthetermsofthis
RFP;and
v.
Acquiringitselfwithlocal/centrallawsandrules&regulationstheretoaswellas
otherapplicablerulesandregulationsrelevantoftheProject.
d. acceptedtheriskofinadequacy,errorormistakeintheinformationprovidedintheBidding
DocumentsorfurnishedbyoronbehalfofSMCrelatingtoanyofthemattersreferredtoin
Clause2.3.1above;
e. satisfieditself about all matters, things and information including matters referred toin
Clause2.3.1hereinabovenecessaryandrequiredforsubmittinganinformedBid,execution
oftheProjectinaccordancewiththeBiddingDocumentsandperformanceofallofits
obligationsthereunder;
f.
acknowledged and agreed that inadequacy, lack of completeness or incorrectness of

informationprovidedintheBiddingDocumentsorignoranceofanyofthemattersreferred
toinClause2.3.1hereinaboveshallnotbeabasisforanyclaimforcompensation,damages,

extensionoftimeforperformanceofitsobligations,lossofprofitsetc.fromSMC,ora
groundforterminationoftheAgreementbytheAgency;
g. acknowledgedthatitdoesnothaveaConflictofInterest;and
h. agreedtobeboundbytheundertakingsprovidedbyitunderandintermshereof.
2.3.3.
SMCshallnotbeliableforanyomission,mistakeorerrorinrespectofanyoftheaboveoron
accountofanymatterorthingarisingoutoforconcerningorrelatingtoRFP,theBidding
DocumentsortheBiddingProcess,includinganyerrorormistakethereinorinanyinformation
ordatagivenbySMC.
2.4.
VerificationandDisqualification
2.4.1.
SMCreservestherighttoverifyallstatements,informationanddocumentssubmittedbythe
BidderinresponsetotheRFPortheBiddingDocumentsandtheBiddershall,whensorequired
bySMC,makeavailableallsuchinformation,evidenceanddocumentsasmaybenecessaryfor
suchverification.AnysuchverificationorlackofsuchverificationbySMCshallnotrelievethe
BidderofitsobligationsorliabilitieshereundernorwillitaffectanyrightsofSMCthereunder.
2.4.2.
WithoutprejudicetoClause2.18.6,SMCreservestherighttorejectanyBidandappropriatethe
BidSecurityif:
a. atanytime,amaterialmisrepresentationismadeoruncovered,or
b. the Bidder does not provide, within the time specified by SMC, the supplemental
informationsoughtbySMCforevaluationoftheBid.
Such misrepresentation/ improper response shall lead to the disqualification/rejection of the
Bidder. If such disqualification/ rejection occurs after the Bids have been opened and the
SuccessfulBiddergetsdisqualified/rejected,thenSMCreservestherighttoinviteaBidder
amongstthequalifiedBiddersinthedescendingorderoftheirrankinaccordancewithClause
1.b.
2.4.3.
IncaseitisfoundduringtheevaluationoratanytimebeforesigningoftheAgreementorafter
their execution and during the period of subsistence thereof, including the Agency thereby
grantedbySMC,thatoneormoreofthequalificationconditionshavenotbeenmetbythe
Bidder,ortheBidderhasmadematerialmisrepresentationorhasgivenanymateriallyincorrect
or false information, the Bidder shall be disqualified forthwith if not yet appointed as the
AgencyeitherbyissueoftheLoAorenteringintooftheAgreement,andiftheSuccessful
BidderhasalreadybeenissuedtheLoAorhasenteredintotheAgreement,asthecasemaybe,
thesameshall,notwithstandinganythingtothecontrarycontainedthereinorinthisRFP,be
liabletobeterminated,byacommunicationinwritingbySMCtotheSuccessfulBidderorthe
Agency, as the case may be, without SMC being liable in any manner whatsoever to the
Successful Bidder or the Agency. In such an event, SMC shall be entitled to forfeit and
appropriate the Bid Security or Performance Security, as the case may be, as liquidated
damages,withoutprejudicetoanyotherrightorremedythatmaybeavailabletoSMCunderthe
BiddingDocumentsand/ortheAgreement,orotherwise.

2.4.4.
The Bidder acknowledges and agrees that provisions of this RFP which by their nature or
subjectmatterareintendedtosurvivethecompletionoftheBiddingortoapplythroughoutthe

Clarifications
2.6.1.
BiddersrequiringanyclarificationontheRFPmaynotifySMCinwritingorbyfaxandemail
in accordance with Clause 1.5.7. They should send in their queries on or before the date
mentionedintheScheduleofBiddingProcessspecifiedinClause1.6.
2.6.2.
SMCproposestoholdaPreBidmeeting,todiscussissuesrelatedtotheProjectwithallthe
prospective Bidders. SMC at its discretion may also hold further discussions with the
prospectiveBidderstofinalizethetechnicaland/orfinancialparametersandotherrelatedissues
fortheProject,beforesubmissionoftheProposals,whichwouldbecommonforalltheBidders.
2.6.3.
SMCshallendeavourtorespondtothequestionsraisedorclarificationssoughtbytheBidders.
Theresponseswillbesentbyfaxoremail.However,SMCreservestherightnottorespondto
anyquestionorprovideanyclarification,initssolediscretion,andnothinginthisClauseshall
betakenorreadascompellingorrequiringSMCtorespondtoanyquestionortoprovideany
clarificationincludingwithinanyspecifiedtimelimit.SMCwillforwardallthequeriesandits
responsesthereto,toallBidderswithoutidentifyingthesourceofqueries.

2.6.4.
SMCmayalsoonitsownmotion,ifdeemednecessary,issueinterpretationsandclarificationsto
allBidders.AllclarificationsandinterpretationsissuedbySMCshallbedeemedtobepartof
theBiddingDocuments.VerbalclarificationsandinformationgivenbySMCoritsemployeesor
representativesshallnotinanywayormannerbebindingonSMC.
2.6.5.
TofacilitateevaluationofProposals,SMCmay,atitssolediscretion,seekwrittenclarifications
from any Bidder regarding its Proposal through email or fax. Such clarification(s) shall be
provided within the time specified by SMC for this purpose. If a Bidder does not provide
clarificationssoughtwithintheprescribedtime,itsProposalshallbeliabletoberejected.Incase
the Proposal is not rejected, SMC may proceed to evaluate the Proposal by construing the
particularsrequiringclarificationtothebestofitseffortstofacilitateevaluationofProposals,
SMCmay,atitssolediscretion,seekwrittenclarificationsfromanyBidderregarding

SMCshallnotentertainanycorrespondencewithanyBidderinrelationtotheacceptanceor

2.7.
AmendmentofRFP
2.7.1.
AtanytimepriortotheBidDueDate,SMCmay,foranyreason,whetheratitsowninitiativeor
in response to clarifications requested by a Bidder, modify the RFP by the issuance of an
addendum to the RFP. SMC may also on its own motion, if deemed necessary, issue
interpretationsandclarificationstoallBidders.
2.7.2.
AnyAddendumthusissuedwillbesentinwritingtoallthosewhohavepurchasedtheRFP.All
clarifications&interpretationsissuedbySMCshallbedeemedtobepartofRFP.
2.7.3.
VerbalclarificationsandinformationgivenbySMCoritsemployeesorrepresentativesshallnot
inanywayormannerbebindingonSMC.
2.7.4.
InordertoaffordtheBiddersareasonabletimefortakinganaddendumintoaccount,orforany
otherreason,SMCmay,initssolediscretion,extendtheBidDueDate.

2.8.
FormatandSigningofBid
2.8.1.
TheBiddershallinitsBidprovidealltheinformationsoughtundertheBiddingDocument.

2.8.2.
TheBiddingDocumentsshallbetypedorwritteninindelibleinkandsignedbytheauthorized

2.10.1. BidsshouldbesubmittedonorbeforetheBidDueDateinthemannerandformasdetailedin

2.10.2. SMCmay,initssolediscretion,extendtheBidDueDatebyissuinganaddenduminaccordance
withClause2.7uniformlyforallBidders.
2.11.
LateBids
2.11.1. BidsreceivedbySMCafterthespecifiedtimeontheBidDueDateshallnotbeeligiblefor
considerationandshallbesummarilyrejected.
2.12.
ContentsoftheBid
2.12.1. WithoutprejudicetotheotherprovisionsoftheBiddingDocuments,theBidshallconsistofa
charges/ratesquotedbytheBidder.TheBiddershallspecifythecharges/ratestobepaidbyhim
toundertaketheProjectinaccordancewiththisRFPandtheprovisionsoftheAgreement.
2.12.2. Generally,theProjectwillbeawardedtotheLeastPricebidderasperLCScriteria.
2.12.3. The opening of Bids and acceptance thereof shall be substantially in accordance with the
BiddingDocuments.
2.12.4. TheAgreementenclosedwiththisRFPshallbedeemedtobepartoftheBid.
2.13.
Modification/substitute/withdrawalofBids
2.13.1. TheBiddermaymodify/substitute/withdrawitsBidbeforethefinalsubmissionthroughthee
tenderingsystem.NoBidshallbemodified,substitutedorwithdrawnbytheBidderafterthe
submissionoftheBid.
2.13.2. Anyalteration/modificationintheBidoradditionalinformationsuppliedsubsequenttotheBid
DueDate,unlessthesamehasbeenexpresslysoughtbySMC,shallbedisregarded.
2.14.
RejectionofBids
2.14.1. NotwithstandinganythingcontainedinthisRFP,SMCreservestherighttorejectanyBidandto
annultheBiddingProcessandrejectallBidsatanytimewithoutanyliabilityorany

obligation for such acceptance, rejection or annulment, and without assigning any reasons
therefore.IntheeventthatSMCrejectsorannulsalltheBids,itmay,initsdiscretion,inviteall
eligibleBidderstosubmitfreshBidshereunder.
2.14.2. SMC reserves the right not to proceed with the Bidding Process or to modify the Bidding
Processatanytime,withoutnoticeorliability,andtorejectanyBidwithoutassigningany
reasons.
2.15.
ValidityofBids
2.15.1. TheBidsshallbevalidforaperiodofnotlessthan180(onehundredandeighty)daysfromthe
Bid Due Date. The validity of Bids may be extended by mutual consent of the respective
BiddersandSMC,providedthattheSuccessfulBiddershallextendthevalidityoftheBiduntil
theexecutionoftheAgreement.
2.16.
Confidentiality
2.16.1. Informationrelatingtotheexamination,clarification,evaluationandrecommendationforthe
BiddersshallnotbedisclosedtoanypersonwhoisnotofficiallyconcernedwiththeBidding
ProcessorisnotaretainedprofessionaladvisoradvisingSMCinrelationtoormattersarising
outof,orconcerningtheBiddingProcess.SMCwilltreatallinformation,submittedaspartof
theBid,inconfidenceandwillrequireallthosewhohaveaccesstosuchmaterialtotreatthe
sameinconfidence.SMCmaynotdivulgeanysuchinformationunlessitisdirectedtodosoby
anystatutoryentitythathasthepowerunderlawtorequireitsdisclosureoristoenforceor
assertanyrightorprivilegeofthestatutoryentityand/orSMCorasmayberequiredbylawor
inconnectionwithanylegalprocess.
2.17.
CorrespondencewiththeBidder
2.17.1. SaveandexceptasprovidedinthisRFP,SMCshallnotentertainanycorrespondencewithany
BidderinrelationtoacceptanceorrejectionofanyBid.
D.
BIDSECURITY
2.18.
BidSecurity
2.18.1. TheBiddershallfurnishaspartofitsBid,aBidSecurityreferredtoinClause2.1.5hereinabove
throughtheetenderingsystemofSMC.
2.18.2. SMCshallnotbeliabletopayanyinterestontheBidSecuritydepositsomadeandthesame
shallbeinterestfree.
2.18.3. AnyBidnotaccompaniedbytheBidSecurityshallbesummarilyrejectedbySMCasnon
responsive.
2.18.4. TheBidSecurityofunsuccessfulBidderswillbereturnedbySMC,withoutanyinterest,within
60(sixty)days,afterexecutionoftheAgreementbytheSuccessfulBidderorwhentheBidding
ProcessiscancelledbySMC.TheBiddersshallhavetoapplyforBidSecurityrefundattheIT
DepartmentofSMC.SMCafterdueverificationshallrefundtheBidSecurityofunsuccessful
Bidders.TheSuccessfulBiddersBidSecuritywillbereturned,withoutanyinterest,uponthe

AgencysigningtheAgreementandfurnishingthePerformanceSecurityinaccordancewiththe
provisionsthereof.
2.18.5. SMCshallbeentitledtoforfeitandappropriatetheBidSecurityasliquidateddamagesinteralia
inanyoftheeventsspecifiedinClause2.18.6hereinbelowandpursuanttootherprovisionsof
thisRFPprovidingforaforfeitureofBidSecurity.TheBidder,bysubmittingitsBidpursuantto
thisRFP,shallbedeemedtohaveacknowledgedandconfirmedthatSMCwillsufferlossand
damageonaccountofwithdrawalofitsBidorforanyotherdefaultbytheBidderduringthe
periodofBidvalidityasspecifiedinthisRFP.NorelaxationofanykindonBidSecurityshall
begiventoanyBidder.
2.18.6. TheBidSecurityshallbeforfeitedasliquidateddamageswithoutprejudicetoanyotherrightor
remedy that may be available to SMC under the Bidding Documents and/ or under the
Agreement,orotherwise,underthefollowingconditions:
a. IfaBidderengagesinacorruptpractice,fraudulentpractice,coercivepractice,undesirable
practiceorrestrictivepracticeasspecifiedinSection4ofthisRFP;
b. IfaBiddermodifiesorsubstitutes(withoutthepriorwrittenapprovalofSMC)orwithdraws
its Bid during the period of Bid validity as specified in this RFP and as extended in
accordancewiththetermsoftheBiddingDocuments;or
c. InthecaseofSuccessfulBidder,ifwithinthespecifiedtimelimit
i.
itfailstosignandreturntheduplicatecopyofLoA;
ii. itrefusestosigntheAgreement;
iii. itfailstoprovidethePerformanceSecurityinaccordancewiththeBiddingDocument;
iv. theSuccessfulBidderfailsorrefusestoprovideanydocumentsrequiredtobeprovided
byitafteritsselection.

3. EVALUATIONOFBIDS
3.1.
OpeningandEvaluationofBids
3.1.1.
SMC will examine and evaluate the Bids in accordance with the provisions set out in this
Section3.
3.1.2.
TofacilitateevaluationofBids,SMCmay,atitssolediscretion,seekclarificationsinwriting
fromanyBidderregardingitsBidandsuchBiddershallprovideitsresponsewithinthetime
periodspecifiedbySMCinthisregard.
3.2.
Testsofresponsiveness
3.2.1.
Prior to evaluation of Bids, SMC shall determine whether each Bid is responsive to the
requirementsofthisRFP.ABidshallbeconsideredresponsiveonlyif:
a. PaymentofRs5,000/(RupeesFivethousandonly)ismadethroughetenderingsystemof
SMCwww.mpeproc.gov.intowardspurchaseofRFPdocument
b. PaymentofRs.125000/(RupeesOneLacksTwentyFiveThousandonly)ismadeasBid
SecuritythroughetenderingsystemofSMCwww.mpeproc.gov.in;
c. itisreceivedaspertheformatatAppendixIandAppendixVI;
d. itisreceivedbytheBidDueDateincludinganyextensionthereofpursuanttoClause2.10.2;
e. itissubmittedasstipulatedinClauses2.8and2.9;
f.
itisaccompaniedbythePower(s)ofAttorneyasspecifiedinClauses2.1.6;
g. itcontainscertificatesfromitsstatutoryauditorsintheformatsspecifiedatAppendixIand
AppendixVIoftheRFP;
h. itcontainsalltheinformation(completeinallrespects)asrequestedinthisRFPand/or
BiddingDocuments(andifformatshavebeenspecified,theninthoseformats);
i.
itdoesnotcontainanyconditionorqualification;and
j.
itisnotnonresponsiveorinconsistentintermsoftheBiddingDocuments.
k. ThebiddershallbeanNGO/Firm/Company.
l.
3.2.2.
Company or bidder should have valid documentary proof of Service Tax registration
number.
SMCreservestherighttorejectanyBidwhichisnonresponsiveandnorequestforalteration,
modification,substitutionorwithdrawalshallbeentertainedbySMCinrespectofsuchBid.

3.3. SelectionofBidder
3.3.1.
i.
SubjecttotheprovisionsofClause2.14.1,theBidderwhoseBidisadjudgedasresponsivein
termsofClause3.2.1andhasqualifiedasperthecriteriabasedonLCS(LeastCostSelection),
shallbedeclaredasthesuccessfulBidder(theSuccessfulBidder).IntheeventthatSMC
rejectsorannulsalltheBids,itmay,initsdiscretion,invitealleligibleBidderstosubmitfresh
Bidshereunder.
TheevaluationofBidsshallbeundertakeninthefollowingsequence:
1. EvaluationofQualification;
2. EvaluationofFinancialProposal
b.
EvaluationofQualification
i.
Forthepurposeofqualifyingunderenvelope1,theBiddershallhavetodemonstratetheminimum
Financial Capacity as stipulated under Clause ii.2 and minimum Technical Capacity as
stipulatedunderClauseiii.2ofthisRFPdocument.
ii.
EvaluationofFinancialCapacity
1.
TheTurnoveroftheBiddershallbeassessedunderthiscategory.
2.
Underthiscategory,theBiddershallhavetodemonstratethefollowingminimumTurnover(the
FinancialCapacity):
1. MinimumTurnoverofRs.10,00,000/(RupeesTenLakhsonly)atthecloseofthelast3
(three)FinancialYearseach;and
3.
IftheBidderdoesnotmeettheminimumFinancialCapacityasspecifiedinClause2,thenthe
BiddershallbedisqualifiedfromtheBiddingProcessandtheBidSecurityoftheBiddershallbe
returnedasperClause2.18.4.
a. TheBiddershallprovideacertificatefromitsauditorspecifyingtheTurnoverofthe
Bidderineachofthelast3(three)FinancialYears.
4.
TheBidmustbeaccompaniedbytheauditedannualreportsoftheBidderforthelast3(three)
FinancialYears,precedingtheyearinwhichtheBidismade.
5.
IncasetheannualaccountsforthelatestFinancialYeararenotauditedandthereforetheBidder
couldnotmakeitavailable,theBiddershallgiveanundertakingtothiseffectandthestatutory
auditororcharteredaccountantshallcertifythesame.Insuchacase,theBiddershallprovide
theauditedannualreportsfor3(three)yearsprecedingtheyearforwhichtheauditedannual
reportisnotbeingprovided.
6.
TheBiddermustestablishaminimumTurnoverasspecifiedinClause2,andprovidedetailsas
performatatAnnexIIofAppendixI.
7.
Notwithstandinganythingtothecontrarycontainedherein,intheeventthattheBidDueDate
fallswithin3(three)monthsoftheclosingofthelatestFinancialYearofaBidder,itshall
ignore such Financial Year for the purposes of its Bid and furnish all its information and
certificationwithreferencetothe3(three)FinancialYears,precedingitslatestFinancialYear.

Fortheavoidanceofdoubt,theFinancialYearshall,forthepurposesofaBidhereunder,mean
accountingyearfollowedbytheBidderinthecourseofitsnormalbusiness.

ABidderincludinganyMembershould,inthelast5(five)FinancialYears,haveneitherfailed
toperformonanycontract,asevidencedbyimpositionofapenaltybyanarbitralorjudicial
authorityorajudicialpronouncementorarbitrationawardagainsttheBidder,Member,asthe
case may be, nor has been expelled from any project or contract by any public entity or
Government Instrumentality nor have had any contract terminated by any public entity or
GovernmentInstrumentalityforbreachbysuchBidderorMember.
5.
InadditiontothedocumentssubmittedbytheBiddersunderClause7,theBiddersshallsubmit
thecertificate(s)fromitsstatutoryauditorsortheconcernedclient(s)statingthetimeperiodof
thecompleted/ongoingEligibleProjectsinrespectoftheprojectsspecifiedabove.Incasea
particularjob/contracthasbeenjointlyexecutedbytheBidder(asapartofaPartnership),he
shouldfurthersupporthisclaimfortheshareintheworkdoneforthatparticularjob/contractby
producingacertificatefromitsstatutoryauditorortheclient.
6.
TheBiddershouldfurnishthedetailsofEligibleProjectexperienceforthelast5(five)Financial
YearsimmediatelyprecedingtheBidDuedate.
7.
TheBiddersmustprovidethe necessaryinformationrelatingtoexperience as per formatat

AnnexIofAppendixV.ThecredentialsofeligibleBiddersshallbemeasuredintermsoftheir
experience.
8.
SMC,however,atalltimesretainstherighttorejectaBidincaseswhereSMC(initssole
opinion), considers the Bid materially inconsistent, deficient, technically unsound or
unacceptableinanyotherrespect.
9.
TheBidders meeting the Technical Capacity as specifiedinClause 2 shall be qualified for

evaluationoftheirFinancialProposals.
b.
EvaluationofFinancialProposal
i. TheFinancialProposalevaluationseekstoselecttheBidderofferingthebestfinancialterms.
ii. TheFinancialProposalsofqualifiedBidderswouldbeevaluatedonthebasisoftheLeastcost
bidfor6monthsofwork.TheformatoffinancialproposalisindicatedinAppendixVIfor
reference.
iii. ThebidquotedshallnothaveanyconditionalityordeviationsfromtheAgreementorRFP.Bids
withconditionsattachedshallbetreatedasnonresponsive.
iv. IntheeventthattwoormoreBiddersquotethesameamountofbid(theTieBidders),SMC
shallidentifytheSuccessfulBidderbydrawoflots,whichshallbeconducted,withpriornotice,
inthepresenceoftheTieBidderswhochoosetoattend.
c.
IssueofLOAandexecutionoftheAgreement

i. SubsequenttotheidentificationoftheSuccessfulBidder,aletterofaward(LoAorLetterof
Award)wouldbeissuedtotheSuccessfulBidderbySMC.Within7(seven)daysfromthe
dateofissueoftheLoA,theSuccessfulBiddershallsendanacknowledgementagreeingto
complywiththeconditionssetouttherein.SMCwillpromptlynotifyotherBiddersthattheir
CommercialProposalshavebeenunsuccessfulandtheirBidSecurityshallbereturnedwithin30
(thirty)days,withoutinterest,ofthesigningoftheAgreementwiththeSuccessfulBidder.The
SuccessfulBiddershallhavetoenterintotheAgreementwithin45(fortyfive)daysfromthe
dateofissueoftheLoA.TheSuccessfulBidderonthedateofsigningoftheAgreementshall:
1. FurnishthePerformanceSecuritybywayofanFixedDepositReceipt(FDR)issuedbya
nationalized/ScheduledBankinfavourofShivpuriMunicipalCouncil,asrequiredunder
theAgreement;and
Failure of the Successful Bidder to comply with the requirements mentioned in the above
paragraphshallconstitutesufficientgroundsfortheannulmentoftheLoA,andforfeitureofthe
BidSecurity.Insuchanevent,SMCreservestherightto:
1. EitherinvitethenextbestBiddertomatchtheBidsubmittedbytheSuccessfulBidder;OR
2. CallforfreshBidsfromtheremainingBidders;OR
3. TakeanysuchmeasureasmaybedeemedfitinthesolediscretionofSMC,including
annulmentoftheBiddingProcess.
ii. AftertheissueoftheLoAbySMC,
iii. TheBiddershallexecutetheAgreementwithintheperiodprescribedinClause1.6(unlesssuch
periodisextendedbySMC).UponorpriortosuchexecutionbytheBidderitshallsubmitto
SMCthePerformanceSecurityinaccordancewiththeBiddingDocuments.Thesuccessful
BiddershallbearallcostassociatedorrelatedtotheexecutionoftheAgreementfortheProject
includingbutnotlimitedtostampduty,registrationchargesetc.
iv. SMCreservestherighttocanceltheawardincasetheSuccessfulBidderrefusestosignthe
Agreement and/or does not submit the Performance Security and/or the other documents
mentionedintheBiddingDocuments.
d.
ContactsduringBidEvaluation
i. Bidsshallbedeemedtobeunderconsiderationimmediatelyaftertheyareopenedanduntilsuch
timeSMCmakesofficialintimationofaward/rejectiontotheBidders.WhiletheBidsareunder
consideration, Bidders and/or their representatives or other interested parties are advised to
refrain, saveand except as required under the BiddingDocuments, from contacting byany
means, SMC and/or their employees/representatives on matters related to the Bids under
consideration.

1. FRAUDANDCORRUPTPRACTICES
4.1
The Bidders and their respective officers, employees, agents and advisers shall observe the
higheststandardofethicsduringtheBiddingProcessandsubsequenttotheissueoftheLoAand
duringthesubsistenceoftheAgreement.Notwithstandinganythingtothecontrarycontained
herein,intheLoA,theAgreement,SMCmayrejectaBid,withdrawtheLoA,orterminatethe
Agreement,asthecasemaybe,withoutbeingliableinanymannerwhatsoevertotheBidderor
Operator,asthecasemaybe,ifitdeterminesthattheBidder,asthecasemaybe,has,directlyor
indirectly or through an agent, engaged in corrupt practice, fraudulent practice, coercive
practice,undesirablepracticeorrestrictivepracticeintheBiddingProcess.Insuchanevent,
SMCshallbeentitledtoforfeitandappropriatetheBidSecurityand/orPerformanceSecurity,as
thecasemaybe,asliquidateddamages,withoutprejudicetoanyotherrightorremedythatmay
beavailabletoSMCundertheBiddingDocumentsand/ortheAgreementorotherwise.
4.2
Without prejudice to the rights of SMC under Clause 4.1 hereinabove and the rights and
remedieswhichSMCmayhaveundertheLoAortheAgreement,orotherwise,ifaBidderor
Agency,asthecasemaybe,isfoundbySMCtohavedirectlyorindirectlyorthroughanagent,
engagedorindulgedinanycorruptpractice,fraudulentpractice,coercivepractice,undesirable
practiceorrestrictivepracticeduringtheBiddingProcess,oraftertheissueoftheLoAorthe
executionoftheAgreement,suchBidderorOperatorshallnotbeeligibletoparticipateinany
tenderorRFPissuedbySMCduringaperiodof2(two)yearsfromthedatesuchBidderor
Agency,asthecasemaybe,isfoundbySMCtohavedirectlyorindirectlyorthroughanagent,
engagedorindulgedinanycorruptpractice,fraudulentpractice,coercivepractice,undesirable
practiceorrestrictivepractices,asthecasemaybe.
4.3
For the purposes of this Clause i, the following terms shall have the meaning hereinafter
respectivelyassignedtothem:
(a)
corruptpracticemeans(i)theoffering,giving,receiving,orsoliciting,directlyor
indirectly,ofanythingofvaluetoinfluencedirectlyorindirectlytheactionsofany
person connectedwiththe Bidding Process (for the avoidance of doubt, offeringof
employment to or employing or engaging in any manner whatsoever, directly or
indirectly,anyofficialofSMCwhoisorhasbeenassociatedinanymanner,directlyor
indirectlywiththeBiddingProcessortheLoAorhasdealtwithmattersconcerningthe
Agreementorarisingtherefrom,beforeoraftertheexecutionthereof,atanytimeprior
to the expiry of 1 (one) year from the date such official resigns or retires from or
otherwiseceasestobeintheserviceofSMC,shallbedeemedtoconstituteinfluencing
theactionsofapersonconnectedwiththeBiddingProcess);or(ii)actingcontraryto
applicableantibriberyoranticorruptionlaws;
(b)
fraudulentpracticemeansamisrepresentationoromissionoffactsorsuppressionof
factsordisclosureofincompletefacts,inordertoinfluencetheBiddingProcess;
(c)
coercive practice means impairing or harming or threatening to impair or harm,

directlyorindirectly,anypersonorpropertytoinfluenceanypersonsparticipationor
actionintheBiddingProcess;
(d)
undesirablepracticemeans(i)establishingcontactwithanypersonconnectedwith
oremployedorengagedbySMCwiththeobjectiveofcanvassing,lobbyingorinany

mannerinfluencingorattemptingtoinfluencetheBiddingProcess;or(ii)havinga
ConflictofInterest;and
(e)
restrictive practice means forming a cartel or arriving at any understanding or

arrangementamongBidderswiththeobjectiveofrestrictingormanipulatingafulland
faircompetitionintheBiddingProcess.

2. PREBIDCONFERENCE
5.1
PreBidconferencesoftheBiddersshallbeconvenedatthedesignateddate,timeandplaceas
prescribedinClause1.6.OnlydulyauthorizedrepresentativesoftheBiddersshallbeallowedto
participateinthePreBidconference.Amaximumof2(two)representativesofeachBidder
shallbeallowedtoparticipateonproductionofauthorityletterfromtheBidder.
5.2
DuringthecourseofPreBidconference,theBidderswillbefreetoseekclarificationsandmake
suggestionsforconsiderationofSMC.SMCshallendeavortoprovideclarificationsandsuch
furtherinformationasitmay,initssolediscretion,considerappropriateforfacilitatingafair,
transparentandcompetitiveBiddingProcess.

3. MISCELLANEOUS
6.1
TheBiddingProcessshallbegovernedby,andconstruedinaccordancewith,thelawsofIndia
andtheCourtofShivpuri/Indoreshallhaveexclusivejurisdictionoveralldisputesarisingunder,
pursuanttoand/orinconnectionwiththeBiddingDocumentsand/ortheBiddingProcess.
6.2
SMC,initssolediscretionandwithoutincurringanyobligationorliabilityorassigningany
reason,reservestheright,atanytime,to:
(a)
suspend,withdrawand/orcanceltheBiddingProcessand/oramendand/orsupplement
theBiddingProcessormodifythedatesorothertermsandconditionsrelatingthereto;
6.3
(b)
consultwithanyBidderinordertoreceiveclarificationorfurtherinformation;
(c)
retainanyinformationand/orevidencesubmittedtoSMCby,onbehalfof,and/orin
relationtoanyBidder;
(d)
independentlyverify,disqualify,rejectand/oracceptanyandallsubmissionsorother
informationand/orevidencesubmittedbyoronbehalfofanyBidder
(e)
amend,modifyorreissuetheBiddingDocumentsoranypartthereof;
(f)
toacceptorrejectanyoralloftheBids;and/or
(g)
includeadditionalevaluationcriteriaortomodifytheeligibilitycriteriaforthefurther
shortlistingofpersonforissueoftheBiddingDocumentsduringtheBiddingProcess.
(h)
toconsideranyvariationintheBidsubmittedbytheBidderprovidedsuchvariationis
aspertheprojectscope,projectstructureandasperthetermsandconditionsoftheRFP
It shall be deemed that by submitting the Bid, the Bidder agrees and releases SMC, its
