To Ihe Board of Directors of PATELS AIRTEMP (INDIA) LTD.

We have reviewed the accompanying statement of unaudited financial results ("the

statement") of PATELS AIRTMEP (INDIA) LTD ' the company' for the quarter ended
31s1 December 2016. attached herewith,being submitted by the company pursuant to
the requirements of Reg ulation 33 of the SEBI (Listing obligations & Disclosure
Requirements) Regulation,201S,read with SEBI circu lar NO.CIR/CFD/FAC/62/2016
dated 05'" July,2016.

This statement is the responsibility of the Company's management and has been
approved by the Board of Directors in the ir meeting held on 03f l:l February, 2017. OUf
responsibility is to issue a report on these financial statements based on our review.

We conducted our review in accordance with the Standard on Review Engagement

(SRE) 2410, uRevlew of Interim Financial information performed by the Independent

Auditor" issued by the Institute of Chartered Accountants of India. This standard

requires that we plan and perform the review to obtain moderate assurance as to

whether the financial statements are free of material misstatement. A review is limited

primarily to inquiries of company personnel and analytical procedures applied to

financial data and thus provide less assurance than an audit. We have not performed

an audit and accordingly, we do not express an audit opinion.

Without qualifying our opinion, we draw your attention to;

i) Balance of Secured Loans, Unsecured Loans, Debtors, Loans & Advances

& Creditors are subject to

1/) The closing slock as al 31.12.2016 is as laken, valued and certified by Ihe
Management and taken as correct.

iii) The company has provided for Deferred Tax Liabmty of Rs 3.93 Lacs
and made a Provision for Taxation of Rs.89.10 Lacs for the quarter ending
on 31$1 December,2016 on estimated basis. We have been informed that
the final provision for taxation and Deferred Tax,i' any will be made at the
time of finalization of accounts at the end of the financial year.

Based on our review conducted as above, nothing has come to our attention that
causes us to believe that the accompanying statement of unaudited financial
results prepared in accordance with Accounting Standard as per Section 133
of the Companies Act,2013 read with Rule 7 of the Companies (Accounts )
Rules 2014 (as amended) and other accounting principles generally
accepted in India and other recognized accounting practices and pol icies has
not disclosed the information required to be disclosed in terms of Regulation 33
of the Securities and Exchange Board of India(listing Obligations and
Disclosure Requirements) Regulation,2015 read with SESI Circular No
CIR/CFD/CMD 1512015 Dated November 30,2015 and SESI Circular No
CIR/CFD/FAC /62/2016 Dated July,05,2016 including the manner in which it is
to be disclosed , or that it contains any material misstatement.
