15 obligations newly listed company has to immediately comply with:

1. Adoption of various policies:

Archival Policy as per Regulation 30 of SEBI (LODR) Regulations,


Policy for determination of Material Events as per Regulation 30 of

SEBI (LODR) Regulations, 2015.

Policy for preservation of documents as per regulation 9 of SEBI

(LODR) Regulations, 2015.

Policy on Related Party Transactions as per Regulation 23 of SEBI

(LODR) Regulations, 2015.

In case the Company has any subsidiary, then a policy on material

subsidiary as per regulation 16(1)(c) of SEBI (LODR) Regulations,

Policy on Board Diversity by Nomination and Remuneration

Committee of the Board as per SEBI (LODR) Regulations, 2015.

Nomination and Remuneration Policy in accordance with Section

178 of Companies Act, 2013 read along with applicable rules
thereto and Regulation 19 read with Schedule II, Part- D (A) of
SEBI (LODR) Regulations, 2015.

Risk Management Policy as per Section 134(3)(n) of Companies

Act, 2013 and Regulation 17(9)(a) of SEBI (LODR) Regulations,
2015 to lay down procedure of Risk Assessment and Risk

Prevention of Sexual Harassment Policy as per Sexual

Harassment of Women at Workplace (Prevention, prohibition and
Redressal) Act, 2013.

Corporate Social Responsibility Policy, if applicable, as per Section

135 (4) of Companies Act, 2013 and rules framed thereunder.

2. Formulation of various codes under SEBI Regulations:

The Code of Conduct for regulating, monitoring and Reporting
trading by an Insider pursuant to Regulation 9(1) of SEBI
(Prohibition of Insider Trading) Regulations, 2015.
Code of Practices and Procedures for fair disclosure of
Unpublished price sensitive information pursuant to Regulation
8(1) of SEBI (Prohibition of Insider Trading) Regulations, 2015.

3. Conducting of Familiarization Programme for Independent

Directors as per Regulation 25 and 46 of SEBI (LODR)
Regulations, 2015.

4. Uploading and updating website

Besides above information as mentioned in 1, 2 and 3, Company

also need to enter, upload and update following policies on its
website as per Information Technology Act, 2000 and Rules framed
Privacy Policy
Cookie Tracking
Collection of Information
Distribution Information
Information pertaining to data security
Terms and Conditions pertaining to regulating relationship between
Company and platform used for hosting company website.

5. Appointment of Share Transfer Agent

The listed entity can appoint a share transfer agent or they can
manage the share transfer facility in-house also. However, in case
the total number of security holders exceeds one lakh, they either
register themselves with SEBI as a Category II share transfer
agent or appoint Registrar to an issue and share transfer agent
registered with SEBI.

6. Approval of all material related party transactions in first Annual

General Meeting

Now as per regulation 23(8), all the existing material related party
contracts or arrangements entered into prior to the date of
notification of these regulations and which may continue beyond
such date shall be placed for approval of the shareholders in the
first General Meeting subsequent to notification of these
regulations. Now the ordinary resolution will suffice the purpose of
approval from shareholders

7. Quarterly Disclosures:

Statement of Grievance Redressal Mechanism-within 21 days from

the end of each quarter- as per Chapter III Regulation 13(3).

Compliance Report on Corporate Governance- duly signed by

CEO or compliance officer of the Company within 15 days from the
end of quarter- Chapter IV Regulation 27(2)(A).

Securities and shareholding pattern- within 21 days from the end

of each quarter and within 10 days of any capital restructuring
resulting in a change exceeding 2%of the total paid up capital.
However, in case of listed entities which have listed their specified
securities on SME exchange, this statement shall be submitted on
half yearly basis within 21 days from the end of each half year. As
per Chapter IV Regulation 31(1)(a) to (c).

Statement indicating deviations, if any, in the use of proceeds from

the objects mentioned in offer document or explanatory statement
for the general meeting- within 21 days from the end of each
quarter-Chapter IV- Regulation 32(1)(A).

Statement indicating category wise variations (Capital Expenditure,

Sales and Marketing, Working Capital Etc), between projected
utilization of funds, made in offer document or explanatory
statement for the general meeting and actual utilization of funds-
within 21 days from the end of each quarter- as per Chapter IV
Regulation 32(1)(B).

Quarterly standalone Financial Results- within 45 days from the

end of each quarter as per Chapter IV Regulation 33(3)(a).

8. Half Yearly

Compliance Certificate signed by Compliance officer and

authorized representative of Share Transfer Agent- within one
month from the end of each half financial year-Chapter III
Regulation 7(3)
Statement of assets and liabilities by way of a note to the
standalone or consolidated financial results for the half year- within
45 days from the end of half year- Chapter IV Regulation 33 (3)(f)

STA shall produce a certificate from a PCScertifying all certificates

have been issued within 30 days from the date of lodgement of
transfer/subdivision/ consolidation/renewal/exchange/endorsement
of calls/allotment of monies- immediately or within one month-
Chapter IV Regulation 40(9) and (10).

9. Annually

Audited Standalone financial results for financial year within 60

days from the end of Financial Year alonwith Audit Report- Chapter
IV Regulation 33 (3)(d)

Annual Report- within 21 days of it being approved and adopted in

an AGM as per Companies Act, 2013 and Chapter IV Regualtion
34 (1)

Annual Information Memorandum- in manner yet to be specified by

SEBI- Chapter IV Regulation 35

Details regarding Voting Results of General Meeting- within 48

hours from conclusion of General Meeting- as per Chapter IV
Regulation 44(3)

Lisitng Fees- within one month from the end of financial year-
Chapter III- Regulation 14.

10 There are certain event based compliances like:

Prior intimation to stock exchange has to be given in cases like

proposal for buyback or voluntary delisting, financial results, rights
issue, record date for bonus or rights issue or dividend etc.

Mandatory disclosure of information or events like change in Share

Transfer Agent, acquisitions, scheme of arrangement, outcome of
meeting of Board of Directors, revision in ratings, joint venture
agreement, family settlement agreement, change in
directors/KMPs/CS/Compliance officer etc.
Disclosure of events or information as per Companys policy on
materiality of events

11 As per Part A of Schedule II to the SEBI (LODR) Regulations,

certain minimum information is required to be placed before the
Board of Directors.

12 CEO & CFO shall provide the compliance certificate to the Board
of Directors as specified in Part B to of Schedule II to SEBI
(LODR) Regulations.

13 Performance evaluation of Independent Directors shall be done by

ENTIRE Board of Directors.

14 Constitution of Risk Management Committee shall be mandatory

only for top 100 listed Companies.

15 All RPT shall require prior approval of audit committee.
