TERMS AND CONDITIONS OF SUBSCRIBERS

1. Interpretation

1.1 The following words shall have the meaning herein assigned to them unless the context otherwise indicates-

Subscriber means the Subscriber named on the application form.

The Pre-paid system means the digital mobile information system defined as Pre-paid System (PPW Administration) operated by VMobile.

Wallet account Account created for individual Subscribers in which the airtime credit is transferred on a monthly basis.

Pin number means the recharge number received when a person requested air time via a sms to 0814806739- VMobile.

Denominations means the different denominations currently available at MTC and Telecom

Services means the Services rendered by VMobile to Agents, Subscribers and possible clients via the system, telephone and speech.

Charges means the subscription charges, monthly payments charges, annual fee charges, administrative and/or reconnection charges, call charges and any other
charges determined by VMobile and notified to the Agent and/or subscriber from time to time and which are payable by the Agent and/or Subscriber to
VMobile in consideration for the provision of the services by VMobile. .
2. Governing Law

2.1 This agreement shall be governed by and construed and interpreted in accordance with the laws of the Republic of Namibia.

3. Duration of Services

3.1 The services between VMobile and the subscriber shall commence on the date as indicated in the application form, which is the starting date of debit order.
3.2 The services shall endure on a month to month basis as long as the subscriber is an active member on the Pre-paid system by way of monthly debit order deduction and utilization of
airtime.

4. Payment on Application

4.1 The Subscriber shall upon approval of the application on the date of first deduction as indicated in the application form, pay to VMobile an amount of N$ 49-00 subscription fee once off
and the full airtime limit amount as indicated in the application form. Future monthly debit order deduction as determined by the subscriber shall be payable monthly in advance.

4.2 An annual fee of N$30-00 shall be payable to VMobile by the subscriber on 1 September each year.

5. Undertaking by the subscriber

5.1 The subscriber acknowledge that the information supplied by him/her to VMobile as appearing overleaf is correct and may be submitted by VMobile to any credit reference agency.

6. Rights of VMobile in respect of application

6.1 VMobile shall have the right, without furnishing any reason therefore, accept or reject the application. In the event of the Application being rejected by VMobile, VMobile shall forthworth
notify the Subscriber of such rejection. In the event of the Application being accepted by VMobile such acceptance may be unconditional, subject to this terms of conditions.

7. Provision of services by VMobile

7.1 VMobile shall:-


7.1.1 Use its best endeavours to provide and maintain the availability of the System to the Subscriber with effect from the commencement date provided that the Subscriber
shall have paid the subscription and monthly airtime payment.
7.1.2 Ensure that the services are provided without any interruption but do not warrant that the same will be provided without interruption or will not be suspended/
disconnected.
7.2.3 Rectify any fault in the system at the earliest possible time;
7.2.4 Employ qualified staff as to render the service and provide for the efficient and effective operation of the system;
7.2.5 Provide the subscriber with proper instruction in relation on how to request airtime anytime anywhere;
7.2.6 Maintain a suitable information system to properly control the provision of the Services to the subscriber.
7.2.7 Provide a 30 day free funeral cover to subscribers within the age of 14-65 who purchase airtime on a continuous month to month basis;
N$100-N$150 monthly airtime = N$2,000 funeral cover
N$155-N$200 monthly airtime = N$3,500 funeral cover
N$205 and more = N$5,000 funeral cover
6 months waiting period on natural cause of death.
7.2.8 The Terms and Conditions as set out in the Funeral Cover Policy of the subscriber, Sanlam Namibia shall apply Mutatis Mutandis to this terms and conditions.

8. Obligations of Subscriber

8.1 The subscriber shall:-


8.1.1 Inform VMobile in writing of any change in his/her address and/or banking particulars;
8.1.2 Not do or omit to do any act, or act in any way which may damage the name of VMobile or property or system or however cause the quality of the Services to be impaired;
8.1.3 Not use or allow others to use the Services for any improper, immoral or unlawful purpose

9. Suspension and reconnection

9.1 VMobile shall have the right to suspend the clients account without providing any such notice to the client in the event that the clients debit order is dishonoured.
9.2 VMobile shall cancel the service immediately upon receiving such instruction from the client, provided that the client gives such instruction at least 48 hours prior to the deduction of the
debit order from the clients bank account.
9.3 In the event that the aforementioned suspensions occurred the reconnection in clause 4 (four) of this Agreement shall apply Mutatis Mutandis

10. Termination

10.1 VMobile may terminate this agreement by giving notice to the subscriber with immediate effect in any of the following circumstances;-
10.2 Should the subscriber fail to comply with any of the terms of this conditions including but not limited to failure to pay any charges on Due Date.
10.3 Should the Subscriber fail to pay any charges in terms of this application, or should VMobile terminate this application from whatever cause arising or should VMobile institute action
against the Subscriber pursuant to a breach by the Subscriber of this application, then VMobile shall be entitled to recover all legal and other cost incurred by it, which shall include but
not be limited to:
10.3.1 Cost in connection with the tracing of the subscriber.
10.3.2 All legal cost on the attorney and own clients scale
10.3.3 Collection commission that may legally be recovered from the Subscriber by VMobile attorney or collection agent on the amount collected.

11. Business Subscriber


11.1 Businesses which sign up their employees will be held responsible for the full monthly payment of such employee(s).

12. Notices and Domicillium

12.1 For all purpose of this application, the parties do hereby choose their domicililia et executandi as follows:

13. Whole Application

13.1 This application constitutes the agreement between the parties as to the subject matter hereof and no agreement, representation or warranties between the parties regarding the
subject matter hereof other than those set out herein are binding on the parties.
