 Investment contract

THIS AGREEMENT is made as of this ___ of April 2016 by and between Ms. Bernadette
Pardinas, an individual resident of Lucena City, Philippines (hereinafter referred to as
(investor) and SMARF Partnership, Inc. (hereinafter referred to as SMARF Partnership, Inc.)
regarding an investment of _____ in consideration of acquiring the right to share in the profit of
the cy-brary namely PASTIME ACADEMY to be operated by SMARF Partnership, Inc.

The Parties hereby agree as follows:

1. INVESTMENT OF CONSIDERATION

Investor agrees to invest with SMARF Partnership, Inc. the sum of P5, 886,044
concurrently with execution of this agreement and an additional P1, 471,511 within
60 days execution of this agreement. SMARF Partnership, Inc. shall be use said sum for
development, pre- production, daily operation, and promotion and advertising.

2. USE OF CONSIDERATION

The SMARF Partnership, Inc. may use funds specified in clause 1 above, for the
following expenses attach in this agreement.

3. INVESTORS MONETARY CONTRIBUTION

The Investor must put invested amount in the account of the company designated
Company Account and shall deliver a cashiers check for the additional investment in
the amount P ____ to the SMARF Partnership, Inc. payable to the companys
designated account.

4. COMPENSATION

Repayment of investment, percentage shares of profits: In consideration of the

Investor making that financial contribution called for in clause 3 hereof, the SMARF
Partnership, Inc. shall pay or cause to be paid to the investor of the following:
A. Repayment of Investment: Shall in any case the Investor want to reimburse the
investment amount or terminate the contract, SMARF Partnership, Inc. will pay
back the invested amount only.
B. Net Profit Participation: Fifty Percent (50%) of total invested amount annually of
the SMARF Partnership, Inc. Pastime Academy. The net profits participation of
 the investor as described in this paragraph shall continue so long as the SMARF
Partnership, Inc. is generating net profits and duration of the agreement except
that the investor shall have no interest in the SMARF Partnership, Inc.

5. INVESTOR APPROVAL RIGHT

The Investor shall be actively involved on a regular basis and in a, material manner in
significant decisions relating to the expansion, selling of the building and other
operation. In this regard, the Investor shall have the right to approve the final budget
and distribution arrangements for the theme park.

 Pastime Academy

Pastime Academy is a resource and research center where learning is just like
rejuvenating. It is a cy-brary a combination of cyber library with its mini-canteen. It
will provide updated information through the use of technology and as well as updated
resource materials (books, magazines, atlas, newspapers, etc.). Its priority is to give aid to
Lucenahins, especially students by creating and promoting programs that will change
study habits and will bring back their enthusiasm for learning.

The Pastime Academy will have its own book gallery and mini-canteen. Its
book gallery will have the most updated and complete categories of books, magazines,
and other resource materials.

The mini-canteen will offer food for the brain and drinks for the smart. It will
have the best meriendas that will surely boost ones enthusiasm for learning.

This will be the first private center in Lucena, where you can learn while having
your spare time. This is where you can learn in the most relaxing and rejuvenating way.

Mission

The Pastime Academy shall give aid to student by providing a wide range of
resource materials. It will promote programs that will improve students in a way that their
enthusiasm in learning will rise in accordance to their belief of being successful.

Vision

The Pastime Academy envisions to be the one of the most well-known research center
in Lucena, to be the number one of updated information and empowering students by changing
their study habits that can change them into a successful human being.
