AGREEMENT

This agreement entered into on this the ------- day of ----------Two thousand and

referred to as the Institute which expression shall mean and include,


wherever the

context so requires or admits, its assigns, nominees, successors-in-interest


and

administrators)

And:

in by its Proprietor (Name of the Proprietor) (hereinafter referred to as the

Contractor, which expression shall mean and include, wherever the context
so

requires or admits, its successors-in-interest, administrators and executors)

WITNESSES AS FOLLOWS:

I. WHEREAS the Institute established under the Aegis of the (Name of the trust)
,

is engaged in conducting entrepreneurship development


programmes and other

rural development activities.

II. WHEREAS the Institute is desirous of engaging the services of contractors


in

respect of civil works for proposed construction of Building for SIRD at (Place)

for consideration to be mutually agreed upon by the parties. Whereas the

Institute is desirous of appointing (Name of the contractor), as its Contractor to


carry out works specified in Annexure I Contract document / tender schedule

and the contractor is desirous of being appointed thus;

Now this agreement witnesses that in consideration of the above and of the

covenants of the parties contained herein, the Institute hereby engages (Name

the contractor), as its contractor for performing work, the scope of which is

specified in Annexure I / Contract document / tender which appointment is


hereby

accepted by the Contractor, on the mutual terms and conditions contained


below:

1. ENGAGEMENT

The Institute hereby engages (Name of the contractor), the Contractor above

named for performing the works specified in Annexure I / Contract document

/ tender and employing labour perform the said works in respect of proposed

building for (Name of the RSETI).

2. DURATION/TENURE OF CONTRACT AGREEMENT.

The engagement of the contractor by the Institute under this agreement shall

be for a period of _____ months (including rainy season) certain, date of

commencement of which is as per Clause No.24 (page No.7) of tender

document. This agreement shall automatically stand terminated upon expiry

thereof unless extended by mutual agreement.

3. FUNCTIONS, DUTIES AND RESPONSIBILITIES OF THE


CONTRACTOR.

3.1 The contractor shall perform all the works specified in Annexure I / contract
document / tender to this agreement and may engage contract labour for the

said purpose, the minimum number to be specified by the Institute.

3.2 The contractor shall and hereby agrees and confirms to comply with all the

provisions of labour laws and industrial laws in respect of the labour

employed thereof.

3.3 The contractor shall apply for and obtain license as provided for under

Section 12 of the contract labour (regulation and abolition) Act, 1970

whenever it employs 20 or more workmen on any day in a year and also

obtain renewal form time to time;

3.4 The contractor shall apply for and obtain license as provided under section

12 of contract labour (regulation and Abolition) Act, 1970 for each contract

separately.

3.5 The contractor shall strictly comply with all the terms and conditions that
the

licensing authority may impose at the time grant of license and the Institute

shall not be responsible for the same.

3.6 The contractor shall be solely responsible for the payment of wages,

including overtime wages to the workmen and ensure its timely payment

thereof.

3.7 The contract shall duly maintain a register giving particulars of the contract

labour employed, nature of work, rate of wages, etc.


3.8 The contractor shall also ensure the compliance of the following labour

legislations:

(i) Minimum Wages Act *

(ii) Employees Provident Fund

(iii) Employees State insurance Act *

(iv) Workmens compensation Act, if the ESI Act does not apply*.

3.9 The contractor shall obtain an independent code number under the

Employees State insurance Act, and the Employee Provident Fund.

3.10 The contractor shall ensure that the compliance with the provisions of the

contract labour (regulation and abolition) Act, 1970 and other labour

legislations is current and up to date at all times during the performance of

the works specified in Annexure I / contract document / tender.

3.11 The contractor shall be solely responsible to adhere to all the rules and

regulations relating to labour practices and service conditions of its workmen

and at no time it shall be the responsibility of the Institute.

3.12 The contractor or its workmen shall not at any point of time have any
claim

whatsoever against the Institute.

3.13 The contractor shall indemnify the Institute in so far as liability incurred by

the Institute on account of any default by the contractor.

3.14 Neither the contractor nor his workmen can be treated as employees of
the
Institute for any purposes. They are not entitled for any claim, right,

preference etc over any job/regular employment of the Institute.

3.15 If the contractor fails to discharge his duties or neglects to perform the

work agreed to done under the agreement, the Institute is entitled to

terminate this agreement as per clause 6 and get the work done by / through

others and claim reimbursement of actual expenses incurred and also

damages for the loss incurred on account of failure on the part of the

contractor to discharge the duties or to perform the work under the

agreement.

4. REMUNERATION

4.1 The Institute shall pay the contractor, remuneration for services rendered

under the provisions of this Agreement. Provided however, that such

remuneration shall be payable only if the contractor has duly performed all

its obligations and covenants under this agreement and has discharged all

its functions and responsibilities to the satisfaction of the Institute.

4.2 The remuneration payable by the Institute shall be as per contract


document

/ tender.

4.3 The remuneration payable shall be subject to deduction of tax at source.

5. MISCELLANEOUS

5.1 The contractor shall not assign, delegate, transfer, etc., any of their right/s
and / or obligation/s under this agreement to any third person/s, concern/s,

firm/s, company/ies or entity/ies.

5.2 The contractor shall at all times during the agreement and thereafter,

indemnify and keep indemnified the Institute, its officers, employees and

representatives, from all or any claims, losses, demands, damages, etc.,

which the Institute, its officers, employees and representatives may or are

likely to suffer by reason of acts, defaults, deeds, things, omissions and

commissions committed by the contractor, while performing the conditions of

this agreement.

5.3 Any amendment and/or modifications to this agreement shall be valid and

binding on either party, only if such amendment/modification is mutually

agreed to in writing and executed by both parties.

5.4 If any provision contained herein should be held unlawful, becomes

incapable of performance by either party, is rendered void or unenforceable

for any reason, that provision shall be severed from this agreement and the

other provisions shall continue to be valid and performed, as if the severed

provision was never a part of this agreement.

5.5 If any provision is not contained here in or in tender document specifically,

the same shall be dealt with in accordance with the latest IBA construction

work manual and binding on either parties.


6. TERMINATION

If the contractor, in the opinion of the Institute, fails or neglects to fulfill any or

all terms and conditions of the agreement, the Institute shall be entitled to

terminate this agreement, without assigning any reason, by a written notice

of thirty (30) days to the contractor and the contractor shall not have any right

to claim any damage / compensation from the Institute for the same.

7. NOTICES

All notices required to be given under this agreement shall be deemed to be

sufficiently given if they are forwarded by registered post A.D./hand delivery

with acknowledgment to:

8. GOVERNING LAW AND JURISDICTION

This agreement shall be constructed and interpreted in accordance with the

laws of India. The courts is __________ district alone, to the exclusion of all

other courts elsewhere in India, shall have jurisdiction to try any dispute

arising out of this Agreement.

9. DISPUTE RESOLUTION

In case any dispute/s or difference/s arises between the Parties in


connection with any matter relating to this agreement including termination

thereof then at the option of the Institute, the same shall be referred to

arbitration by a Sole Arbitrator appointed by the controlling office of (Name of

the Trust/Society) at (Place). The decision of the sole arbitrator shall be final

and binding on the Parties. The provisions of the Arbitration and Conciliation

Act, 1996 and amendments, if any, thereto shall be applicable to such

Specification General

Highway Street Lighting

When the Contract contains a street lighting relocation and/or installation


component, the

Contractor shall coordinate construction activities with the applicable utility


owner/operator.
When there are existing street lighting facilities within the right-of-way which
are to be revised or

added to by other forces, the Contractor shall liaise with the other forces and
the applicable

Utility Company to ensure that there are no undue delays to the scheduling.
Particular care

shall be taken to ensure that the required underground electrical conduit as


shown on the

drawings is installed in a timely manner and that the underground electric


cable and pole bases

are installed by the other forces in advance of the final embankment finishing.

To facilitate grading operations and conduit installation, it may be required that


the power supply

be provided via temporary overhead power lines while the existing


underground power cables

are disconnected. Procedural arrangements for the provision of temporary


overhead power

service and detour lighting will be made with the Utility Company by the
Consultant.

Railway Crossing Construction.

General

When any work is undertaken within the limits of the railway right-of-way
including, but not

limited to, the construction of new crossings, the rehabilitation of existing


crossings, or haul of

embankment construction material across the railway tracks, the Contractor


shall coordinate his

operations with the railway company and shall ensure that the following
precautionary measures

are observed.

(a) Prior to commencing equipment operations within the railway right-of-way,


the Contractor

shall provide 3-weeks notice to the Track Maintenance Supervisor of the


applicable railway

company as listed in the special provisions.


The Contractor shall determine from the railway company possible additional
measures

which may be required for the protection of their personnel and facilities,
including any

supplementary insurance coverage beyond that stipulated

Insurance.

The cost of this insurance coverage will not be paid for separately, but shall be
considered

to be included in the applicable unit prices bid.

(b) At the discretion of the Track Maintenance Supervisor, flagperson(s) will be


employed to

protect the trains and operating equipment. Normally the railway company will
provide the

flagperson(s) upon receipt of 3-work days notice to the Track Maintenance


Supervisor. If a

flagperson is required and the railway company does not provide one, the
Contractor shall

supply flagperson(s) meeting the railway companys requirements; some


additional training

may need to be coordinated with the Track Maintenance Supervisor.


Regardless of who

supplies the flagperson, the Department will pay the cost of the flagperson(s).

The Contractor shall schedule and coordinate flagging requirements with the
applicable

railway company on a daily basis. On a weekly basis, the Contractor shall


submit a report

to the Consultant containing the following information on the previous week's


activities:

- The number of hours per day the Contractor requested flagging by the
Railway due to

anticipated work within the railway's specified minimum "clearance box";

- The number of hours per day the Railway Company provided flagging;

(c) The crossing shall only be used by rubber-tired equipment.

(d) A temporary mat shall be placed over the rails to facilitate the movement of
tracked

equipment.

(e) The railway shall be maintained free of dirt, debris and obstructions at all
times.

(f) The crossing shall not be used for other than the purpose herein provided.

(g) The Contractor shall determine the exact location and depth of any
underground railway

signal or telecommunication cables prior to commencing construction


operations. These

cables shall be located by means of hand digging by the Contractor's forces


under direct

supervision of a representative of the railway company.

No extra payment will be made or charges allowed for work done in connection
with

locating the cables. Additionally, the Contractor shall be held wholly and solely
responsible

for any damages to these cables that may be attributed to his operations.

(h) The Contractor shall be fully responsible for his work operations adjacent
to the rail line

when working within the railway right-of-way and indemnify and hold harmless
the

Department in accordance with Section 1.2.42, Due Care, Claim Settlement and
Hold

Harmless.

1.2.50 ENVIRONMENTAL MANAGEMENT

1.2.50.1 Environmental Legislation, Regulations, Approvals, and Permits

The Department will obtain the environmental approvals, permits, licences,


and/or

authorizations required for the tendering of the project.


The Contractor shall familiarize himself with all applicable federal and
provincial legislation and

regulations concerning environmental protection and shall conduct his


activities in accordance

with such legislation and regulations, including, but not limited to, the
provincial Environmental

Protection and Enhancement Act and Water Act, and the federal Fisheries Act
and Navigable

Waters Protection Act.

The Contractor shall comply with the conditions of all environmental


approvals, permits, licences

and authorizations issued for the project that pertain to the Contractors work.
The Contractor

shall obtain any further environmental approvals, permits, licences and/or


authorizations for his

temporary works as may be required for the Contractors work.

The Contractor shall provide the Department with written confirmation of his
full compliance with

all approvals, permits, licences and/or written authorizations before the full
amount of holdback

will be released.

The Contractor shall familiarize himself with Regulatory Requirements


(Chapter 3) and the

Environmental Approvals Framework (Appendices A C, and 1 19) as set out


in the most

recent edition of the Alberta Transportation manual entitled Environmental


Management

System Manual.

In the event of conflicting statements between the various Acts,


Authorizations, Permits, and

Codes of Practice, the more stringent requirement shall apply.

1.2.50.2 Environmental Construction Operations Plan

The Contractor shall prepare and implement an Environmental Construction


Operations Plan for

the Contractors project activities in accordance with the Department manuals


entitled

"Environmental Construction Operations Plan (ECO Plan) Framework" and


Environmental

Protection Plan for the Planning and Construction of Water and Transportation
Projects;

Copies of which are available on the Departments web site.

The Environmental Construction Operations Plan is intended to deal with


temporary erosion

control measures under the control of the Contractor during construction; not
permanent or long

term environmental or erosion control devices specified in the Contract.

The Contractor shall submit his ECO Plan to the Consultant at least 14-
calendar days prior to

the pre-construction meeting. The Consultant will review the ECO Plan and
communicate any

concerns to the Contractor at least 7-calendar days prior to the pre-


construction meeting. The

Contractor shall address any issues or concerns with regard to the proposed
ECO Plan to the

satisfaction of the Consultant prior to the commencement of the Work.

The finalization of the ECO Plan to the mutual satisfaction of the Consultant
and the Contractor

does not constitute an approval or assurance from the Consultant or the


Department

this invitation as it sees fit, and may reject any or all of the Tenders
received with no obligation to disclose its reasons.

The cost of Tender preparation shall be borne in full by the Tenderer,


who shall have no

recourse to the University for this or any related expense.

Currency, VAT and Summation

The currency of the Contract shall be UK Pounds, and costings shall be


prepared on this

basis.

All sums entered in the Tender are to be exclusive of VAT.

All costs which may be directly or indirectly related to the satisfactory


completion of the

Contract and for which remuneration would be sought shall be clearly


detailed and summarised in your tender, or in accompanying paperwork.
No other additional charges which could reasonably have been
anticipated shall be accepted.

Delivery and Installation

The University is working to a target of site installation before ###.

This date may become critical and influence our selection; please
consider this when

calculating lead times. Please include a detailed schedule which you will
implement in

order to meet the site installation requirement.

Installation and acceptance protocols and procedures are to be


provided.

Your offer must include all delivery and on-site installation costs
including adequate
insurances.

Proposed Sub-contractors

Details of proposed sub-contractors must be supplied, with associated


workscopes.

Fitness for Purpose

The Tenderer shall be deemed to have reasonable knowledge of and


satisfied itself as to the nature of the Universitys requirement, and any
conditions which may affect its tender to supply, in order that the goods
and related services offered shall be fit for purpose (see note 12,
Contact for Queries).

Training and Documentation

Details of on/off-site training required for full local operation to be


included, together with

Proposals relating to how this should be funded.

Please detail user manuals and servicing documentation that will be


provided to the

University at no charge.

Equipment Lifetime Factors

A commitment is required that the tenderer will support this equipment


throughout its

lifetime. An estimate of the expected life of this product in normal


working use is required.

Details of maintenance, servicing and breakdown costs including


extended warranties are

to be included.

Please include a list of consumables and parts liable to wear, their


current costs, and the

expected annual costs in normal working use.

Alternative Proposals

10.1 You may wish to submit Alternative Proposals which include


preferential costings based on
closer association of partner organisations, an innovative approach to
the supply or

alternative means of delivering best value for money.

10.2 Alternative Proposals must be clearly marked so, and be submitted


as separate appendix

to your main tender.

Change in Status of Tenderer

In the event that after the date of this Invitation to Tender and prior to
the award of any

Contract, the status or identity or circumstances of the Tenderer is


changed in any

material way, including but not limited to merger, amalgamation, take-


over or any other reorganisation, change of name, or involvement in any
action relating to receivership, liquidation, bankruptcy, winding-up or
similar action, such change will be notified to the University
immediately. Failure to comply with this may result in Tenderers being
disqualified, or in the event of any award of Contract shall be deemed to
be in breach of Contract.

Tender which has not been submitted in accordance with the instructions

PERFORMANCE BONDS

1. The contract documents for all buildings let by the County Council which

exceed a value of 250,000 are to include for the provision of a performance

bond. However, the successful Contractor may elect to deposit with the

Councils bankers a sum of money in lieu of a bond. This Deposit by Way of

Security will be 10% of the Contract Sum and the Contractor will be required to

enter into a formal Agreement with the Council.

If the Contractor does not procure execution and delivery of the bond (or a

Deposit by Way of Security), then, notwithstanding any other term of the

Contract, the Council may deduct

from the sums that would otherwise be due to the Contractor

under the Contract.

2. The clauses to be included in the Preliminaries to bills of

quantities/schedules of work/specifications/employers requirements are to be

as shown on Appendix A attached. A separate item is also to be included


on the General Summary for pricing/identifying the cost of providing the bond

or for stating that the Contractor will enter into a Deposit by Way of Security

(for which there is no administrative charge).

Appendix A

3. Tenderers are required at the time of tendering to state the name and

address of the Surety with whom they propose to enter into a bond and the

Councils standard documentation makes provision for this (see E339

Specimen Bond). (Should a tenderer be undecided as to whether to enter

into a bond or a Deposit by Way of Security, the name and address of the

Surety must be stated).

Tenderers are expected to ensure that their Surety will accept the Councils

bond wording without amendment prior to submitting their bid. Failure to do

so and which results in any increase in the cost of a bond (to the successful

Contractor) post contract award, will be wholly absorbed by the Contractor

and will not be added to the tender price/Contract Sum.

4. When tenders are received and the priced bills of quantities/schedules of

work/specifications/employers requirements are checked a check is also to

be made that the cost of the bond (where a Deposit by Way of Security will

not be entered into has been shown separately from other costs and, if not, a

separate statement is to be obtained from the tenderer
