With reference to the captioned subject, this is to inform you that the Company Petitions
bearing Company Petition Numbers CP(CAA) No.14/230/HBD/2017 and CP(CAA) No.15/230/HBD/2017
connected with Company Application Numbers 16410f 2016 and 1642 of 2016 filed by Wiki Kids Limited
and Avantel Limited with the Hon'ble National Company Law Tribunal, Bench at Hyderabad for obtaining
the approval and sanction of the Hon'ble Tribunal to the Scheme of Amalgamation between Avantel
Limited (Transferee Company) and Wiki Kids Limited (Transferor Company) and their respective
shareholders and the creditors ("Scheme"), came up for hearing on 21.03.2017.

Upon hearing the submissions made by the undersigned, the Hon'ble Tribunal was pleased to
allow the Petitions by approving the aforesaid Scheme without any modifications and by granting the
prayers and issuing directions as prayed for in the respective Petitions.

The certified copy of the order allowing the Petitions is awaited and the same shall be provided
to you as soon as the same is received.
