Building permit was then secured by Reyes Construction Firm for the planned
construction of mansion. Construction contract was then signed by both parties
stipulating thereto the construction period of 10 months or 300 days from March 15,
2016 to January 9, 2017.

swimsuit so we could swim there.. I heard you have Jacuzzi too.. Can we just stay in
your mansion Tasha in time for your wedding..

najd.. And finishing nalang mana.. Kaya rajd na xa mahuman in 1 month.. So
makaya rajd bya atty ang 10 months na construction period.

Engr. Alan Peter: Kini beyond our control atty kay although naa na ang materials
didto sa US,nagbagyo bagyo man at that time. Naa super typhoon naghit sa US..
mao nadelay ang shipment kay nadelay ang cargo vessel na moship sa construction
materials.. mao to naabot ang materials lampas na sa contract period..

Atty. Georgina: When man jd naabot ang construction materials?

Engr. Alan Peter: First week of March to xa.. March 3, 2017.

Engr. Pantaleon: Dapat ato ni iaver atty. na dili ni sala sa construction firm kay
tungod man to sa delay sa supplier.. Dili man tungod sa Construction. Infact, sa
pagdemand nila Don Facundo, giplace dayon ang order after mafinalize ang
variations and changes sa contract price. Unya pag abot, gipaspasan jd og buhat so
nahuman jd xa on April 9, 2017.

Atty. Georgina: Okay.. Ato ni tubagon noh.. Within 15 days magfile ta og


counterclaim pd sa ila.. Ako ni studyhan and ako na bahala ani Engr. Pantaleon.

The respondent then filed their answer and counterclaim against Don Facundo
within 15 days from receipt of complaint and request for arbitration. Copy of the
answer was then transmitted to the Claimant and CIAC.

Afterwhich, the parties agreed that the dispute shall be resolved by an Arbitral
Tribunal composing of 3 arbitrators where each party nominated 6 arbitrators from
the list of CIAC-accredited arbitrators. As there was no common nominee, CIAC
appointed one arbitrator from claimants nominees, Engr. Greco Palma, and another
arbitrator from respondents nominees, Engr. Bong Pardo . The third arbitrator was
chosen by the two previous nominees within 15 days from their appointment. The
two arbitrators chose Atty. Bruce Pascual as the third arbitrator. They agreed among
themselves that Atty. Bruce Pascual will be the Chairman of the Arbitral Tribunal.

The case was then set for preliminary conference within 15 days after the
appointment of arbitrators.

Scene 12 (Preliminary Conference)

Preliminary Conference Proceeding:

Atty. Pascual: Good Morning everyone. We are gathered here today for the
preliminary conference of the construction complaint filed by Don Rodrigo Facundo
against Reyes Construction Firm.

Before we proceed, allow us to briefly introduce ourselves. I am Bruce Pascual, a


practicing lawyer and duly accredited by the CIAC as one of its Arbitrators. I am also
an active member of the Philippine Institute of Construction Arbitrators and
Mediators (PICAM). As agreed by the arbitral tribunal, I will act as the Chairman of
the arbitral proceedings. May I also ask my fellow arbitrators to introduce
themselves.

Engr. Greco Palma: Good Morning everyone. I am Engr. Greco Palma, a civil engineer
by profession and has been in the practice of mediation and arbitration proceedings
for nearly 5 years now.

Engr Bong Pardo: Good morning. I am Engr. Bong Pardo, a civil engineer and an
advocate of Alternative Dispute Resolutions particularly in construction industry. I
have been accredited by the Construction Industry Arbitration Commission (CIAC)
for a decade already.

Atty. Pascual: May I now request the parties to this arbitration proceedings to
introduce themselves starting with the complainant and then the respondent.

Atty. Miriam Bautista: Good Morning to our panel of arbitrators as well as to the
other pary. I am Atty. Miriam Bautista, counsel of the complainant, Don Facundo.
Here with us is Don Rodrigo Facundo and his fiance, Ms. Fantasha Sosyalera.

Atty. Georgina Ocampo: Good Morning everyone. I am Atty. Georgina Ocampo,


counsel of the Reyes Construction Firm owned by Engr. Pantaleon Reyes who is here
with us and Engr. Alan Peter Morales, the project manager tasked to construct the
mansion of Don Rodrigo Facundo.

Atty. Pascual: Okay, thank you everyone. Before we proceed, I would like to stress
the impartiality and independence of this arbitral tribunal. We have already stated
in the disclosure reports, which i believe the parties were already furnished with, our
backgrounds, personal qualifications, financial and other personal interests which I
believe will not in any way affect our impartiality and that we have no financial,
fiduciary or other interest in the controversy or cause to be decided or in the result
of the proceeding, or has any personal bias which might prejudice the right of any
party to a fair and impartial award.

So, may I ask if any of the parties and counsel to this matter know of any potential
conflicts between the arbitrators and any party, counsel or witness in this matter?
(Counsels will reply none) There being none, we may proceed. But I would like to
remind the parties that if any of you would like to challenge any of the arbitrators
on our qualifications and on our partiality, you may do so, but before the lapse of
the original 10-day period for submission of memoranda or draft decision.

Moreover, as Chairperson, I confirm that I together with my fellow arbitrators have


already executed our oath as arbitrators and accordingly submitted it to CIAC. Okay.
May I therefore request Engr. Palma to briefly apprise the parties of the general
rules of procedure of this Arbitral Tribunal.

Engr. Palma: For the information of the parties, the following are the general rules
governing the procedure of the CIAC in adjudicating cases:

1. CONFIDENTIALITY OF PROCEEDINGS. In accordance with Sec. 7.1 of the E.O


1008, the Arbitration proceedings are CONFIDENTIAL and shall not be
published except:
a. When the parties consent thereto; or
b. When necessary in case resort to Court is made under the Rules of Court.

If the violator is lawyer, an administrative action or proceeding may be had at


the instance of the CIAC, without prejudice to suspension or disbarment
action before the Integrated Bar of the Philippines.

If the violator is a duly licensed and registered professional, an administrative


or disciplinary action may also be instituted before the Professional
Regulation Board (PRC) at the instance of the CIAC.
2. Arbitrators shall not be civilly liable for acts done in the performance of their
official duties except in a clear case of bad faith, malice or gross negligence.
(Sec. 8.4)
3. An Arbitrator may be challenged by a party at any time after his appointment
but before the lapse of the original 10-day period for submission of
memoranda or draft decision. However, the challenge must be based upon
the following grounds only:
a. Relationship by blood or marriage within the sixth degree of either party
to the controversy, or to counsels within the fourth degree, computed
according to the rules of civil law;
b. Financial, fiduciary or other interest in the controversy.
c. Partiality of bias;
d. Incompetence, or professional misconduct.
Engr. Pardo: In addition to what my colleague has just mentioned, this Arbitral
Tribunal will prepare a Terms of Reference at the end of this Preliminary Conference,
if it is necessary,which shall contain the following:

a. A summary of the parties respective claims;


b. Full statement of admitted facts and documents;
c. The issues to be resolved in question form;
d. The place where the arbitration proceedings shall be held;
e. Such other particulars necessary for the proper and speedy adjudication of
the case.

Atty. Pascual: Let us now hear the facts surrounding the claim of Don Rodrigo
Facundo.
(Counsel will summarily narrate the facts)

Atty. Miriam Bautista:

Reyes Construction Firm committed a breach to the construction contract it entered


into with my client. It is stipulated in the contract that the subject mansion
constructed at Dao, Pagadian City would be completed in 10 months or 300 days,
from March 15, 2016 to January 9, 2017 taking into consideration all the choice of
construction materials, whether high end, rare or not. There were revisions made
by my client during the course of the construction particularly on the construction
materials for the exterior cladding of the mansion but those were requested in
writing to the Reyes Construction Firm which was accordingly accepted by them
without request for extension. In fact, the construction was delayed for 3 months.

As provided for in the Construction Contract signed by both parties, Section 3.4.3 on
the Variations and Alterations. It is stated that the Builder shall state whether the
alterations or variations requested will lead to an extension of time for the
completion of the works and he/she shall give the owner his/her best estimateof the
extra time required. Further, it is provided in Section 3.5 on the Extension of Time,
it is stated that, As soon as the builder recognizes that the work will not be finished
in the time agreed upon, he/she shall inform the owner of the need for more time to
complete the works and the reason for the request for the increased time. (Clims,
please show in the powerpoint the Section 3.4.3 and 3.5 of the construction
contract) (one separate slide just like the arbitration clause).

Reyes Construction Firm did not request for extension due to the alterations and in
fact Engr. Alan Peter confidently confirmed to my client that the mansion will be
completed on time despite the change of materials. Because of the foregoing, my
clients, engaged couple, Don Facundo and Ms. Fantasha Sosyalera set the venue of
their wedding at the mansion on February 14, 2017. But as a result of the delay in
the completion of the Mansion, the wedding was postponed and my clients suffered
social humiliation, besmirched reputation, wounded feelings and sleepless nights.

Clearly, Reyes Construction Firm acted in bad faith in confirming to my client the
completion of the project on time and showed neglect of duty by not requesting for
extension which was clearly stipulated in the construction contract.

Claim:

Thus, we are instituting this action to claim for Liquidated Damages equivalent to
1/10 of 1% per day of the value or cost of the works delayed or Php 900,000.00
(10,000,000.00 x 1/10 of 1% x 3 mos. or 90 days); Moral Damages in the amount of
P5,000,000.00 and Attorneys fees of P590,000.00;

Atty. Georgina Ocampo:

First, Reyes Construction Firm would like to stress that Don Rodrigo Facundo is their
valued client and that the best services that the firm could offer were given to Don
Facundo.
However, due to the following circumstances, the project was delayed:
1. The specified materials for the exterior cladding of the mansion in the bill of
materials as agreed are sandstones which are available in the Philippines.
2. After the signing of the contract and agreement as to the construction materials
to be used, Reyes Construction Firm already placed their orders from their

chosen suppliers especially for the marble and sandstones which are limited and
rare in the market. The action of the firm signifies good faith and their
willingness to complete the project on time and deliver excellent service to their
loyal and valued client, Don Rodrigo Facundo.
3. On October 11,2016, three months before the completion of the project, Ms.
Fantasha Sosyalera, fiance of Don Facundo requested to include in the
construction materials aside from sandstones as agreed, quartzite, slate and
travertine for the exterior cladding of the mansion. The additional natural stones
requested were of those high end variety which are only available in the US
particularly from the firms supplier, Modern Builders Supply in New York City.
4. As my client would really want to give the best services, upon receiving the
written request from Don Rodrigo Facundo, project manager instantly called the
supplier for the confirmation of the availability of the natural stones. Thereafter,
firm priced the variations accordingly and both parties agreed as to the increase
in contract price. After the agreed increase in price, Engr. Alan Peter then placed
their order for the additional natural stones requested with Modern Builders
Supply on October 17, 2016.
5. Modern Business Supply upon receipt of the order online, confirmed again the
availability of the materials ordered also on October 17, 2016.
6. Thereafter, Reyes Construction Firm deposited the amount of P5M on October 24,
2016 to the BDO account of Sta. Isabel Construction Supply Firm in Makati, the
local partner of Modern Business Supply in the Philippines as 50% downpayment.
7. Official Receipt dated 10/24/2016 for the payment made was received from
Modern Business Supplly online on October 27, 2016.
8. However, due to the Super Typhoon Jake that hit the US in the first week of
November, the shipment was delayed. It was only on January 5, 2017 that the
supplier confirmed the shipment of the construction materials to the Philippines.
Materials reached the Philippines on February 14, 2017 but shipment was
received by the construction firm in Pagadian City only in March 3, 2017.
9. P5M or the 50% of the amount of construction materials was then deposited on
March 6, 2017 to their BDO account of which online OR was received from
Modern Business Upply dated March 6, 2017.
10.Afterwhich, day and night construction of the mansion continued which was
finally done on April 9, 2017. In the utmost desire of my client to satisfy their
most valued client, additional manpower were hired to double their time in the
completion of the project.

Counter Claim:

Thus, my client is praying for the denial of the claim of Don Facundo as the delay
was due to circumstances beyond their control. On the other hand, my client is
interposing his counter claim for actual damages in the amount of P2,500,000.00
which is the actual cost of additional manpower that were hired to work day and
night for the speedy completion of the project due to the delay which was beyond
their control and the cost of sandstones that were rejected due to the change of
materials which was not considered in the pricing of alterations. My client is also
claiming for attorneys fee of P250,000.00.

Engr. Palma: Okay, before we proceed, are the parties open for the possibility of
amicable settlement?

Atty. Miriam: No.


Atty. Georgina: No.

Atty. Pascual: Okay, after hearing the facts concerning your claims and in the light
of speedy adjudication of cases, we shall now proceed with the admission of facts.
Please proceed Engr. Palma and Engr. Reyes.

(Engr. Palma to facilitate admission of facts by Engr. Reyes)

Engr. Palma: Thank you. For the Reyes Construction Firm, do you admit that this
Construction Contract submitted by Don Facundo is the very same contract you
have signed and agreed to?

Atty. Georina Ocampo: (Evaluates the Contract) Yes, your honor, this is our
construction contract.

Engr. Palma: Do you admit that the project was indeed delayed for 3 months or 90
days from the stipulated contract and that the project was completed on April 9,
2017 instead of January 9, 2017.

Atty. Georgina Ocampo: Yes, your honor.

Engr. Palma: Do you admit that there was no request for extension sent to Don
Facundo in consideration of the alterations made?

Atty. Georgina: No request for extension but they were informed of the delay of
shipment due to the typhoon that hit the US in the first week of November.

Engr. Palma: Do you admit that Engr. Alan Peter confidently confirmed to Don
Facundo that the mansion will be completed on time despite the change of
materials.

Atty. Georgina: No, your honor.

(Engr. Pardo to facilitate admission of facts by Don Facundo)

Engr. Pardo: Okay for the complainant. Counsel of Don Facundo, does your client
admit that On October 11,2016, three months before the completion of the project,
Ms. Fantasha Sosyalera requested to include in the construction materials aside
from sandstones as agreed, quartzite, slate and travertine for the exterior cladding
of the mansion and that the high end variety chosen are available only in the US.

Atty. Miriam: Yes, your honor.

Engr. Pardo: Do you also confirm to this body that you were notified on the delay of
shipment of materials due to the typhoon that hit the Us in the first week of
November?

Atty. Miriam: Yes, your honor but we aver that the notice of delay in shipment is not
tantamount to a formal notice of extension as the contract provides that in cases
of variations that will lead to an extension of time for the completion of the works,
he shall give the owner, his/her best estimate of the extra time required. No such
thing was done and infact Engr. Alan Peter Pantaleon confidently confirmed to my
clients that project will be completed on time despite the alterations.

Atty. Pascual: Okay, thank you for the stipulations and admissions. I will now
summarize what has been stipulated and admitted. The parties agreed to the
following:
1. Both parties agreed that the contract submitted before us is the same
contract subject of this arbitration.
2. In the contract, it was agreed that Reyes Construction Firm will construct a
mansion in Dao, Pagadian City for 300 days or from March 15, 2016 to
January 9, 2017 for Don Rodrigo Facundo.
3. On October 11, 2016, three months before the completion of the project, Ms.
Fantasha Sosyalera requested to include in the construction materials aside
from sandstones as agreed, quartzite, slate and travertine for the exterior
cladding of the mansion which are available only in the US.
4. There was delay in the shipment of construction materials requested due to
the typhoon that hit the US in the first week of November.

5. Project was completed on April 9, 2017, or 3 months delay from what was
stipulated in the contract which should have been on 1/9/2017.

Issues to be resolved:

1. Whether or not delay is excusable based on the facts admitted.


2. Whether or not notice of delay in shipment is tantamount to the notice of
extension required in the contract.
3. Whether or not Reyes Construction Firm confirmed to Don Rodrigo Facundo
that project will be completed on time despite the alterations.

Based on the foregoing facts and issues, we will finalize the Terms of Reference.
This TOR shall be finalized not later than 5 days which will be sent to both parties
including their counsel for their signature. For now, this preliminary conference is
hereby terminated.

After 3 days the TOR was finalized which was signed by the parties and the counsel.
Schedule of the hearing as agreed by the parties and the arbitral tribunal was
provided in the TOR. Arbitration proceeding then commenced as agreed. Evidences
were then presented to support their claims. Don Facundo presented as evidence
the following documents: 1. the construction contract 2. written request for the
alteration of construction materials 3. Project Completion Report and presented as
witnesses Ms. Leni Torres who testified on the cancellation of the wedding and the
humiliation suffered by Don Facundo and Ms Sosyalera and Don Joseph Atacador as
witness on the confirmation of Engr. Alan Peter of the completion of project on time,
despite the change in materials.

On the other hand, Reyes Construction Firm presented the following documents as
evidences: Purchase Order, Official Receipts from Modern Business Supply Inc., BDO
Deposit Slips, Newspaper pages attesting to the typhoon that hit the US in the first
week of November. The presented as witness Engr. Alan Peter with the affidavit
denying the confirmation that project will be completed on time.After the
submission by the parties of the final memorandum of arguments, the proceedings
is considered closed. Thirty days after...

Scene 13 (PRONOUNCEMENT OF JUDGMENT)

Atty. Pascual: Good Morning. We are gathered here today for the pronouncement of
judgment.

(Engr. Palma will read the selected portion of the judgment)

Based on the admission of facts during the Preliminary Conference, the signed
Contract of Agreement, and the respective documentary evidences submitted by
both parties, the Arbitral Tribunal resolved the issues:

1. Whether or not delay is excusable based on the facts admitted.


- Excusable because the root cause of the delay is the delay in the
shipment of materials from the supplier due to Typhoon Jake that hit the
US in the first week of November.
- *Rey please explain in substance citing jurisprudence or laws.
2. Whether or not notice of delay in shipment is tantamount to the notice of
extension required in the contract.
- No, based on the contract there should be notice of the new timetable or
new schedule of completion.

- *Rey please further explain taking into consideration the contract of the
parties. I will send link for the resolution of cases like this.
3. Whether or not Reyes Construction Firm confirmed to Don Rodrigo Facundo
that project will be completed on time despite the alterations.
- Based on the evidence and affidavit of witnesses, Project Manager Alan
Peter is faulted due to his confirmation made to Don Facundo that
completion date will not be reset.
*Further explain

Dispositive Portion:

1. Award of P1M moral damages and not P5M to Don Facundo due to the fault
of the contractor of not following the stipulations in the contract of informing
them of the best estimate that the project will be completed given the
alterations. P1M based on equity.
2. Award of P2.5M actual damages to the contractor which is equivalent to the
cost of the rejected sandstone and additional manpower as the delay was
excusable.
3. No award as to Attys Fees. Cite Art. 2208 of the Civil Code. Award of the
Attorneys fees is the exception other than the rule.

Art. 2234.
