thecharacterofitscreationconfersuponiteitherexpresslyorasincidentaltoitsveryexistence.

DutyNottoDelegate

ExtraordinaryGeneralMeeting

Anygeneralmeetingofacompanyisconsideredtobeanextraordinarygeneralmeeting,exceptthestatutory
meeting,anAnnualGeneralMeetingoranyadjournmentmeeting.Suchtypesofmeetingscanbefixedbythe
directorsatanytimethatseemsappropriatetothedirectors.However,themeetingsmustbeheldinaccordance
withtheguidelinesmentionedinthearticlesofassociationofthecompany.

Thesemeetingsareheldgenerallyforthetransactionofthebusinessofaspecialcharacter.Various
administrativeaffairsofacompany,whichcanbetransactedonlybyresolutionspassedingeneralmeetings,are
carriedoutinthesemeetings.

ItisnotpossibleforthemembersofthecompanytowaitforthenextAnnualGeneralMeetingforclearanceof
suchissues.Thearticlesofassociationofacompany,therefore,providesfreedomtoconductextraordinary
generalmeetingstosortoutsuchissues.

Bytheboardofdirectorsorontherequisitionsofmembers.
Bytherequisitioniststhemselvesonthefailureoftheboardtocallforameeting.

BytheBoardofDirectors

Ifsomebusinessofspecialimportancerequiresanapprovalofthemembersofthecompany,theboardof
directorsmaycallforanextraordinarygeneralmeetingofthecompany.Goinginaccordancewiththearticlesof
associationofthecompany,theboardofdirectorsofacompanymaycallforanextraordinarygeneralmeeting
whenevertheyfeelappropriate.

Thepowerofadirectortoconveneanextraordinarygeneralmeetingmustbeexercisedataboardofdirectors

Accordingtotheprovisionofthearticles,ifaresolutionissignedbyallthemembersoftheboardandisas

Thusincaseofinsufficientnumberofdirectors,anydirectororanytwomembersofthecompanycancallfor
thegeneralmeetinginthesamewayascalledbytheboardofdirectors.

OnRequisitionofMembers

Themembersofthecompanymayalsorequestforanextraordinarygeneralmeetingtobeconducted.Arequest
forholdinganextraordinarygeneralmeetingcanbemadebythemembers

Holdingatleast10%ofthecompanyspaidupsharecapitalandhavingtherighttovoteonthecontextof
themattertobediscussedatthemeeting.

Holding10%ofvotingpowersofthemembersincasethecompanyhasnocapital.

Preferenceshareholderscanalsocallforageneralmeetingiftheproposedresolutionisgoingtoaffect
theirinterest.

Ifamemberceasestowithdrawaftertherequisitionismade,thewithdrawalwillnotinvalidatethe
requisition.

ThemeetingheldbytheBoardofDirectorsisanimportantaspectforthesmoothfunctioningandworkingofa
company.Forensuringthattheactionsapprovedbytheboardareintheinterestofthecompany,theCompanies
Act,1956,incorporatesseveralstatutoryprescriptions.

PeriodicityoftheBoardMeetings

Accordingtosection285oftheCompaniesAct,theboardmeetingsshouldbeheldeverythreemonths.The
boardofdirectorscanmeetanydaybetweenthe1stJanuaryandthe31stofMarch.Accordingly,thenext

oftheboard.

andonlyif,onepartypromisestheotherpartytosaveitfromanylossesincurredduetothecontractorany
otherspecificreasons.Thepartywhichmakesthepromiseistermedasindemnifier.Thepartywhichis
