ARTICLES OF INCORPORATION

ALPHA SIGMA LEX

(Alliance of Students/Scholars/Servants of the Law)

KNOW ALL MEN BY THESE PRESENTS:

The undersigned incorporators, all of legal age and all of whom

are residents of the Philippines, have voluntarily agreed to form a non-
stock and non-profit association under the laws of the Republic of the
Philippines;

AND WE HEREBY CERTIFY:

FIRST: That the name of the said association shall be ALPHA SIGMA
LEX;

SECOND: That the purposes for which said association is incorporated

are:

To bind all members of the ALPHA SIGMA LEX, an

exclusive Fraternal and Sororal Order of the law students,
law graduates and law professors of Northwestern
University College of Law; To promote the general welfare
and interests of the members, by conducting programs and
projects for social, fraternal, sororal, recreational and other
like ventures, as the members occasionally may deem
proper; To assist and help improve the lives of the
members, the common man and the community through
relevant outreach projects, charity works and legal
services; To acquire and hold, by purchase, lease,
exchange, donation or bequest, such real and personal
property, as may be necessary for the furtherance of the
purposes of the association; To accept, endorse and
execute promissory notes, bills of exchange and such other
negotiable and transferable instruments for the
furtherance of the purposes of the association; and To do
and perform such other acts permitted by the laws of the
Republic of the Philippines unto corporations of like classes
and kinds.

Provided that the corporation shall not solicit, accept or

take investments/placements from the public neither
shall it issue investment contracts.

THIRD. That the principal office of the association is located at

FOURTH. That the term for which said corporation is to exist is

of incorporation;

SIXTH: That the number of trustees of the association shall be FIFTEEN

(15) and that the names, nationalities and residences of the first
trustees of the association are as follows:

SEVENTH: That the capital of the association was contributed by the

incorporators and trustees, who are also members of the association,
as follows:

EIGHT: That no part of the income which the association may obtain
as an incident to its operations shall not be distributed as dividends to
its members, trustees, or officers, subject to the provisions of the
Corporation Code on dissolution. Any profit obtained by the association
as a result of its operation, whenever necessary or proper, shall be
used for the furtherance of the purposes enumerated Article II, subject
to the provision of Title IX of the Corporation Code of the Philippines.

NINTH: That PATRICIA SALAGUBAN has been appointed by the

members as Treasurer of the association, to act as such until his
successor is duly appointed and qualified, in accordance with the by-
laws; and that as such Corporate Treasurer, he has been authorized to
receive for and in the name, and for the benefit of the association, all
contributions or donations paid or given by the members.

TENTH: That the incorporators undertake to change the name of the

corporation immediately upon receipt of notice or directive from the
Securities and Exchange Commission that another corporation,
partnership or person has acquired a prior right to the use of that
name or that the name has been declared misleading, deceptive, or
confusingly similar to a registered name, or contrary to public morals,
good customs or public policy.

ELEVENTH: That the association shall comply with the requirements

for non-stock corporations in the course of its operation.

IN WITNESSETH WHEREOF, we have hereunto signed this Articles of

Incorporation, this ___________, in the City of Laoag, Republic of the
