CONTRACT TO SELL

Know All Men By These Presents:

[], of legal age, married, Filipino Citizens, with residence and postal
address at [], hereinafter referred to as VENDORS,

- and

[], of legal age, married, Filipino Citizens, with residence and postal
address at [], hereinafter referred to as VENDEES;

WITNESSETH THAT:

WHEREAS, the VENDORS are the registered owners of a piece of


land with improvement consisting of [] SQUARE METERS, located at [], and
covered by Transfer Certificate of Title No. [], issued by the Registry of Deeds of
[]and more specifically described as follows:

WHEREAS, the VENDEES have offered to buy and the VENDORS have
agreed to sell the above mentioned property under the terms and conditions
herein below set forth;

NOW THEREFORE, for and in consideration of the total sum of []


PESOS (Php[]) Philippine Currency and of the covenants hereinafter set forth,
the VENDORS agree to sell and the VENDEES agree to buy the aforesaid
property subject to the following terms and conditions:

1. PAYMENT. The total consideration shall be [] (Php []) Philippine


Currency, payable as follows:

a) The amount of [] PESOS (Php [].00) Philippine Currency,


representing an earnest money shall be payable by the VENDEES
to the VENDORS upon the signing of this Contract to Sell;

b) The amount of [] PESOS (Php [].00) Philippine Currency, serving


as full down payment shall be payable by the VENDEES to the
VENDORS on or before [];

c) The remaining balance of [] PESOS (Php [].00) Philippine


Currency, shall be payable by the VENDEES to the VENDORS
upon the release of the loan proceeds from [] which shall accrue
directly to the VENDORS.

2. TAXES AND FEES. Capital Gains Tax and Brokers Professional Fee
shall be to the account of the VENDORS;

3. OTHER FEES. Documentary Stamps Tax, Transfer Tax, Registration


Fee, registration expenses, and all other miscellaneous fees and
expenses shall be to the account of the VENDEES;

4. POSSESSION. Possession to the subject property shall be delivered


by the VENDORS to the VENDEES upon the release of the letter of
guarantee from [] and full payment of the down payment;

5. TRANSFER OF OWNERSHIP. Upon the release of the letter of


guarantee from the bank and the full payment of the down payment,
the VENDORS shall sign and execute a DEED OF ABSOLUTE SALE
in favor of the VENDEES. The VENDORS shall likewise execute
and/or deliver any and all documents, including but not limited to the
original owners copy of transfer certificate of title, tax declaration,
electrical, plumbing, blue prints, architectural design and all other
documents necessary for the transfer of ownership to the VENDEES.

6. DEFAULT. In case of default in the payment of the down payment as


indicated above OR in case when letter of guarantee from [] is not
released for any reason whatsoever, this Contract to Sell shall be
automatically rescinded and the VENDORS shall have the authority to
sell the subject property to any other third party.

7. EARNEST MONEY. In case of default in payment as indicated above,


the earnest money provided for above shall be returned by the
VENDORS to the VENDEES less 20 percent of the said amount (Php
[]) which shall be retained by the VENDORS.
