CONSENT JUDGMENT

Defendant William M. Hunter ("Hunter"), has stipulated to the following:

HWlter admits and stipulates to the factual allegations in


SCI's First Amended Petition and SCI's Motion for
Suuunary Judgment Against HWlter & SupplyWorks
("Motion for Summary Judgment"),' including the
allegation that SupplyWorks was HWlter's alter ego during
the time periods discussed in the Motion for Summary
Judgment;

HWlter stipulates and admits that SCI is entitled to recover


$3,874,605.40 in damages against HWlter and
SupplyWorks;

Hunter stipulates and admits that SCI is entitled to recover


$28,089.73 as actual damages in the salary and benefits that
SCI paid Hunter from mid-August 2009 through November
2009;

Hunter stipulates and admits that SCI is entitled to recover


$1,143,783.00 in actual damages as the amount that BAE
refused to pay SCI for its work under six purchase orders
due in part to Hunter's and SupplyWorks' misconduct;

HWlter stipulates and admits that SCI is entitled to recover


$2,702,732.72 as the profits of Hunter and SupplyWorks
that should be disgorged and which equal the cumulative
total of payments that BAE Systems Tactical Vehicle

I SCI's First Amended Petition and SCI's Motion for Summary Judgment Against Hunter & SupplyWorks
in this lawsuit arc incorporated herein in their entirety (including exhibits).

Systems LP has made to Hunter, SupplyWorks, or A20
Engineering since October 2009;

Hunter stipulates and admits that they are liable to SCI for
the causes of action for which SCI sought summary
judgment relief in SCI's Motion for Summary Judgment,
including SCI's claims for fraud, breach of fiduciary duty,
breach of contract, tortious interference with contract,
tortious interference with prospective economic relations,
lmjust enrichment, and conversion.

Hunter admits that such wrongful acts, omissions, and


breaches of duty caused SCI to incur actual damages that
exceed $3,874,605.40.

For these reasons, this Court finds that Hunter and SupplyWorks are jointly and severally

liable to SCI for the claims in SCI's Motion for Summary Judgment for fraud, breach of

fiduciary duty, breach of contract, tortious interference with contract, tortious interference with

prospective economic relations, unjust enrichment, and conversion.

Judgment is entered against Defendants William M. Hunter and SupplyWorks, LLC,

jointly and severally, in this case in favor of Plaintiff Superior Controls, Inc. in the amount of

$3,874,605.40 in actual damages, together with prejudgment interest at 6% per annum from

April 29, 2010, to the date of this judgment, compounded annually, in accordance with TEX. FIN.

CODE 302.002, and postjudgment interest at 5% accruing from the date of this jUdgment,

compounded annually, in accordance with TEX. FIN. CODE 304.001, 304.003, and 304.006.

The Court grants SCI's request to nonsuit Defendant A20 Engineering, LLC ("A20")

and dismisses without prejudice SCI's causes of action against A20.

The Court orders the severance of this Consent Judgment from the remaining litigation in

this lawsuit between SCI and Defendants BAB Systems Global Tactical Systems LLC and BAE

Systems Tactical Vehicle Systems LP, thereby rendering this Consent Judgment final.
