Gala No. 3, Opposite Municipal Market, 343, S.V. Road, Andheri (W), Mumbai 400 058;
hereinafter called the Provider (which term shall mean and include their successors and assigns)
is as follows:
Whereas Provider has their business in the name and style of INFOBIZ and having their office at
the address mentioned herein above.

wants to join as a Independent contract freelancer for the specific work of contract as per the
assignment mentioned separately in the Providers Brochure and strictly act according to the
Terms and Conditions mentioned therein;

has undertaken to do the said Task with utmost care and in strict confidence with the Provider and
shall not use the materials supplied or information given to him to any other similar Company
doing similar Business or rendering such services as of the same Nature as the Provider herein
does.
In consideration therefore of the said Provider having at our request agreed to allow me to render
the services as mentioned overleaf and with the enclosed application form as per the terms and
conditions agreed thereby. I/we hereby jointly and severally agree and undertake to indemnify
and keep indemnified, saved, defended, harmless you and your successors and assigns for all time
hereafter against all losses, costs, claims, actions, demands, risks, charges, expenses, damages
etc., whatsoever which you may suffer and/or in our by reason of your at my/our request, for
rendering the services by me as agreed upon to the Provider along with all the rights available as
the indemnifier.
Now, therefore, the condition of the above written Bond or obligation is such that if indemnifier,
their successors or assigns shall from time to time and at all times hereafter be kept safe and
saved harmless and indemnified in respect of the aforesaid Services from anybody through them,
from any action, loss, charges and expenses, demands and damages whatsoever, then and in such
case the above written bond or obligation shall cease, otherwise the same shall remain in full
force and virtue.
Pursuant to the said Agreement and in the premises aforesaid the Guarantor/ Indemnifier do
hereby guarantee to and covenant with the Company that in the event of the said Indemnifier not
performing and observing the terms and conditions of the said agreement between the Company
and the said GUARANTOR/ INDEMNIFIER and the latter committing breach of any term or
conditions thereof then and in that event and without prejudice to the other rights of the Company
under the said agreement to take any other action, the Guarantor/ Indemnifier shall Terminate the
contract/bond with immediate effect.

Terms and Conditions:

Number of data packets applied for are to be submitted within thirty five days of your Task start
date to redeem credit as per the respective accuracy chart your data packets fall into.
Implied Accuracy Criterion: All completed forms as per the form count per data packet are to be
submitted to redeem credit as per the accuracy chart your data packet falls into. Minimum
accuracy of ninety percent per data packet is to be maintained else the particular data packet
would be disqualified.
Scenarios wherein all the data packets applied for cannot be submitted within the stipulated time
frame as mentioned above, the candidate can then avail the facility of an extension by submitting
a written request to infobizprop@gmail.com; fifteen days prior to the Task end date.
Extension can be availed only once for thirty five days when minimum eighty percent of all the
applied data packets are submitted within the stipulated time frame mentioned above. Total credit
can be redeemed post the submission of all the data packets that were applied by the candidate.
Credit for the number of data packets submitted prior to an extension would be according to the
accuracy chart as per the data packet type per the accuracy of the data packet submitted. Credit
for the data packets submitted post an extension can be redeemed provided a minimum packet
accuracy of above ninety five percent is maintained per data packet submitted; the corresponding
credit as per the accuracy chart as per the data packet would then be divided in half and the
corresponding total per data packet per accuracy chart would be paid to the user.
Post availing an extension the user should then submit all the future data packets applied within
thirty five days of the Task start date and maintain a minimum accuracy of above ninety five
percent per data packet for eighty percent of all the data packets applied for; non compliance
would result in contract termination with immediate effect. Registration fees is a non-refundable
amount; apart from the claimable refund for rupees one thousand five hundred only when the
following criterion is fulfilled i.e. all the data packets submitted for the number of times the data
packets are applied for are submitted within the stipulated time frame as mentioned above without
availing an extension and a minimum accuracy of above ninety five percent per data packet per
task is maintained for a total period of nine months.
A minimum of fifty percent of all the data packets applied for should be submitted with a
minimum accuracy desired and within the stipulated time frame as mentioned above for a user to
continue to receive data packets for future assignments; non compliance would result in contract
termination with immediate effect. Fair Use Policy: Provider shall reserve the right to provide the
number of data packets per license. Independent contract freelancer shall possess the sole right of
suggesting the number of data packets as required per license. The right to grant those data
packets shall remain solely with the Provider and the Independent contract freelancer is obligated
to oblige with the Franchisor.
The copyright in this software and its documentation is owned by INFOBIZ (The owner). You
shall be deemed to agree with the owner to be bound by the terms hereinafter mentioned.
TERMS OF LICENCE:
INFOBIZ is granting you a non-exclusive license to use the software in accordance with the
following terms. INFOBIZ retains title and all ownership rights to the software.
You may use the software on single machine.
You may make back-up copies of the software for that machine, provided that:
(a) These copies are for your own use, and
(b) Only one copy is in use at a time.
This software is protected by both the Indian copyright law and International copyright treaty
provisions. Therefore you must treat this software like any other copyrighted material such as a
book or a musical recording, except that you may copy it onto a computer to be used and you may
make archival copies of the software for the sole purpose of protecting your investment from loss.

SCOPE OF THIS LICENSE AGREEMENT:

You may not download or transmit the software electronically (either by direct connection or
telecommunication transmission) from one computer to another, except as may be specifically
allowed in using the software on a computer network. Except as stated in this paragraph, you may
not otherwise transfer, rent, lease, sub-lease, time-share, or lend the software, diskettes or
documentation. Your use of the software is limited to acts that are essential steps in the use of the
software on your computer or computer network as described in the documentation. You may not
otherwise modify, alter, adapt, merge, decompile or reverse engineer the software, and you may
not remove or obscure the INFOBIZ copyright or trade mark notices or the logo.
TERMS:
Failure to comply with any of these terms mentioned in the Application Form will terminate this
agreement and your right to use the software. Upon termination of the agreement you must
immediately destroy the software and all copies of it.

GOVERNING LAW AND GENERAL PROVISIONS:
The license agreement shall be construed, interpreted and governed by the laws of the
Republic of India. If any provision of this agreement is found to be unenforceable, it will not
affect the validity of the balance of this agreement which shall remain valid and enforceable
according to its terms. If any remedy provided is determined to have failed in its essential
purpose, all limitations of liability and exclusions of damages set forth in the limited warranty
shall remain in full force and effect. This agreement may only be modified in writing and signed
by you and an authorized officer of INFOBIZ Use, duplication, or disclosure by the Government
of India will be subject to the restricted rights applicable to commercial computer software. All
rights not specifically granted in this agreement are reserved by INFOBIZ.
INFOBIZ warrants the physical diskette(s) and physical documentation enclosed herein
to be free of defects in workmanship and materials for a period of 30 days from the date of
purchase by you.
INFOBIZ and its suppliers sole responsibility and your exclusive remedy under this limited
warranty will be to receive a replacement of the diskette(s). If INFOBIZ receives notifications
from the registered licensee within the limited warranty period of defects in materials or
workmanship, and such notification is determined by INFOBIZ to be correct only then. INFOBIZ
will replace the defective diskette(s) or documentation.
INFOBIZ specially disclaims all other warranties, express or implied including but not
limited to any implied warranty of merchantability or fitness for a particular purpose.
Specially, INFOBIZ makes no representation or warranty that the software is fit for any particular
purpose and any implied warranty of merchantability is limited to the thirty (30) days duration of
the limited warranty covering physical diskette(s) and physical documentation only (and not the
software) and is otherwise expressly and specifically disclaimed.
The express terms of agreement are in lieu of all warranties, conditions, undertakings,
terms and obligations implied by any statutes, trade usage or otherwise, all of which are hereby
excluded to the fullest extent permitted by law.
The INFOBIZ do not warrant that the software will meet your requirements or that the
operation of the software will be uninterrupted or error-free or the defects in the software will be
corrected. You shall load and use the software at your own risk without any liability of the
INFOBIZ for any loss or damage of any kind including a loss of property or otherwise.
OWNERSHIP:
You own only the diskette (or authorized replacement) on which the software is recorded.
You may retain the diskette on termination of this agreement provided the software has been
erased. The software as recorded on the original diskette belongs to the INFOBIZ. INFOBIZ
warranties and telephone support service under this agreement are available only to the original
registered user who has signed the original license.
