This Agreement for <YOUR SERVICE NAME HERE> - Basic Service Level is made as of
<DATE> , by and between
________________________________________ ("Consultant") and
________________________________________ (Client"). All of the terms of the
Agreement are expressly incorporated herein. All capitalized terms herein shall
have the meaning ascribed to them in the Agreement, unless expressly defined
otherwise herein.
1. Services; Payment Terms. Consultant agrees to perform for Client the following
services (<YOUR SERVICE NAME HERE> - Basic Service Level) for the following
monthly fixed fees:
In addition to the monthly fees set forth above, Client agrees to pay an initial
setup fee for monitoring services (Setup Services) in the amount of
$____________.
Client shall pay the Setup Services fee (if any) upon execution of this agreement,
the pro-rated Managed Service fee for the remainder of the current month, and the
full Managed Service fee for the next upcoming month. Managed Service fees are due
on the first day of each calendar month thereafter.

For PCs: Unlimited Phone Support, Unlimited Remote Support, Microsoft Application
Support, Patch Management, Anti-Virus Management, Spyware Monitoring.
For Networks: Purchasing Assistance, ISP Management, Web Host Support, 3rd Party
Vendor Management, 24x7 Network Monitoring, Router Management, Antivirus
Management, Firewall Management, VPN Management, Asset Lifecycle Management, Asset
Reporting.
In the event of an occurrence that falls outside the scope of these service
offerings, or a physical visit by a support representative of Potters eSolutions
is required, a regular hourly fee of $______________ will be charged per man hour
during regular business hours (defined as 8:00 am 6:00 pm M-F). An extended
hourly fee of $____________ will be charged per man hour for after-hours (after
6:00 M-F), weekend (12:00 am Sat 8:00 am Mon) or holiday support.
5. Consultant agrees to ensure that Virus Definition and Security Patch Updates
are being performed provided that Client has Anti-virus software.
(a) This Agreement shall commence on the date set forth above and shall continue
(i) for a period of 1 year; or (ii) until the termination of the Agreement. A
contract renewal review shall be completed between the Client and the Consultant at
the end of each contract expiration. Either party may cancel contract at any time
during the term of this contract with 30 days prior written notice. No pre-payment
or termination fees will apply.
(b) Upon termination of this Agreement, Consultant shall uninstall all remote
monitoring and management software from all Client equipment. Client acknowledges
that this may leave its computers and other equipment without adequate systems for
updates to operating systems, software, and virus scanning programs. Consultant
shall not be held responsible for any damages or consequences resulting from the
removal of remote monitoring and management software.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date
first written above.
