Agreement for Continuance of Service

This Agreement is entered into ------------ between ---------------------- (------------)


(hereinafter called the Company) and ------------------ a Indian inhabitant residing at
<<Present Address of the Employee>> and having permanent residing at <<Permanent
address of the Employee>> (herein after referred to as Employee) of the other part

WHEREAS

A: The Employee, as part of the consideration for the training efforts and costs involved,
agreed to sign a bond for not leaving the services of the Company for a minimum period
of ----------------- years from the date of his/her joining the services of the Company.

B: Company has fully rights to terminate the employee from his/her service due to any
violation actions, low performance, misconduct and disabilities by giving notice as per
the terms of appointment letter.

NOW THIS AGREEMENT WITNESSETH AS BELOW:

1. The Employee acknowledges that substantial costs have been/will be invested


on training him/her specifically for effective handling of the job responsibilities
and also he/she will be privy to lot of confidential and proprietary information
while working on the ongoing projects, handling of confidential Company data,
any discontinuance of the employment before the expiry of the -------------- term
would unfairly prejudice the Company, and, as such, the Employee undertakes
not to leave the services of the Company, for any reason whatsoever, for a
minimum period of -------------- from the date of his/her joining the services of the
Company.
2. The Employee agrees that during the Employment Period he/she shall devote
his/her full business time to the business affairs of the Company and shall
perform his/her duties faithfully and efficiently subject to the direction of the
management team of the Company.
3. In case, The Employee for any reason leaves the services of the Company
before the signed period of ------------ years, then he/she shall forthwith pay a
sum of Rs. ----------------- being the indemnification of the cost of training to the
Company. The Employee undertakes not to dispute the amount, and shall pay
the amount, before requesting for formal relieving order from the Company.
4. Confidentiality: leak, copy, and alter of any information/company
asset/Intellectual properties for personal use is strictly prohibited. If employee will
find to do such activities, then company can claim on employee for cost which
depends on companys asset and intellectual properties.
5. Mutual Termination of bond: This Agreement may be amended or cancelled by
only by mutual agreement of both the parties (employer and employee) without
the consent of any other person.
6. Any dispute or difference arising out of this Agreement shall be resolved through
Arbitration. The sole Arbitrator, appointed in consultation with parties shall
conduct such Arbitration. The venue shall be at company address. In case the
dispute is not addressed by way of Arbitration the same shall be subject to
Jurisdiction of --------------
7. Disabilities: Due to any action or any circumstances if employee will not able to
perform his/her duties as per work profile and expectation then company is able
to terminate the employee from his/her service and liable to pay till the date of
termination.

I ACKNOWLEDGE THAT BY SIGNING BELOW, I HAVE READ AND


UNDERSTAND ALL OF THE RULES, PROVISIONS, TERMS AND CONDITIONS
WHICH ARE WRITTEN ABOVE IN THIS EMPLOTMENT BOND.
