CONSTITUTION AND BY-LAWS

Preamble

We, the students of the College of Business Administration and Accountancy,


realizing the need for a Council to serve as our medium of expression and aspiration, to
promote and protect our welfare, to nurture a dynamic and a responsible studentry
and to strengthen the common tie that binds us altogether, do hereby ordain and
promulgate this Constitution and By-laws.

ARTICLE I
NAME AND DOMICILE

Section 1. Name. The Council shall be officially known as the Business Administration
and Accountancy Student Council (BAASC).
Section 2. Seal. The Council shall adopt its official seal.
Section 3. Domicile. The principal office of the Council shall be at the Business
Administration and Accountancy Student Council Office at the College of
Business Administration and Accountancy, MSU-Main Campus, Marawi
City.
ARTICLE II
PRINCIPLES AND OBJECTIVES

Section 1. Principles. The Business Administration and Accountancy Student Council


believes in the following:
a. All decisions and acts of the Council shall emanate from and
belong ultimately to the students of the College of Business
Administration and Accountancy;
b. All agreements of the Council shall be based from the majority
vote concept, otherwise, the agreement is null and void;
c. The rights to free expression and freedom of inquiry of the students
of the College of Business Administration and Accountancy shall at
all times be respected;
d. The Council shall be a self-governing body and will therefore enjoy
full autonomy and freedom in its operations;
e. The Council shall stand neutral in matters which are judged to be
too religious in nature.

Section 2. Objectives. The Business Administration and Accountancy Student Council


aims to:
a. Encourage and promote the study of Business Administration and
Accounting as fields of discipline;
b. Defend and promote the rights and general welfare of the students
of the College of Business Administration and Accountancy and of
the University as a whole;
c. Serve as an active forum for Business Administration and
Accountancy students ideas and sentiments;
d. Encourage and promote camaraderie and brotherhood among
Business Administration and Accountancy students through
wholesome activities and programs;
e. Bring about healthy and productive interaction between students
and faculty of the College of Business Administration and
Accountancy;
f. Assist the College of Business Administration and Accountancy in its
effort to upgrade its public services;
g. Develop a strong sense of social responsibility and national
consciousness among the students of the College of Business
Administration and Accountancy with the end view of contributing
to the establishment of a just and humane society;
h. Uphold the ideas of the University geared towards ensuring a well-
rounded intellectual, social, cultural and physical development for
the studentry.

ARTICLE III
MEMBERSHIP

Section 1. All bona fide students of the College of Business Administration and
Accountancy constitute the Business Administration and Accountancy
Student Council.
Section 2. Membership Fee. No membership fee shall be collected to be part of the
Council.

ARTICLE IV
DUTIES AND OBLIGATIONS OF MEMBERS

Section 1. Duties of members. It is the duty of every member to:


a. Uphold the declared principles and objectives of the Business
Administration and Accountancy Student Council;
b. Participate and cooperate in every agreed activity, program and
understanding of the Council, otherwise may be subjected to
penalty which depends upon the Councils agreement;
c. Attend all general meetings and assemblies of the Council
otherwise may be subjected to penalty which depends upon the
Councils agreement.
Section 2. Obligation of Members. It is the duty of every member to pay all fees
agreed upon by the Council.

ARTICLE V
RIGHTS AND PRIVILEGES OF MEMBERS

Section 1. Rights of Members. Every member has the following rights:


a. To exercise the right to vote;
b. To propose amendments and resolutions;
c. To access and scrutinize the records and accounts of the Council
provided a reasonable reason to do so exists;
d. To call attention of the Council officers and members for proper
actions on matters that tends to adversely affect the interest of the
interest of the studentry and the University;
e. To enjoy freedom of expression and inquiry.

ARTICLE VI
THE PARLIAMENT

Section 1. Definition. The Business Administration and Accountancy Student Council


shall adopt a parliamentary democracy form of government, holding the
Parliament accountable to the members of the Council;
Section 2. Composition. The Parliament shall be composed of 51 members consisting
of 3 representatives per year level from each department of the College
of Business Administration and Accountancy: Accountancy Department,
Economics Department, Management Department, and Marketing
Department;
Section 3. The Parliament shall serve both as the executive and legislative branch of
the Council.
Section 4. Structure. The Parliament shall have the following structure:
a. Prime Minister
b. Deputy Prime Minister
c. Cabinet Members
i. Minister of Education and Research
ii. Assistant Minister of Education and Research
iii. Minister of Culture and Sports
iv. Assistant Minister Culture and Sports
v. Minister of Membership
vi. Assistant Minister of Membership
vii. Minister of Treasury and Finance
viii. Assistant Minister of Treasury and Finance
ix. Minister of Public Relations and Communication
x. Assistant Minister of Relations and Communication
xi. Minister of Audit
xii. Assistant Minister of Audit
xiii. Records and Documentations
xiv. Assistant Minister of Records and Documentations
d. Common Members

Section 5. Executive Board. The Parliament excluding the common members shall
form the Executive Board. The Executive Board shall be the principal
governing body of the Council. It shall also exercise the general
management of the Council and shall handle its business transactions.
Section 6. Term of Office. All members of the Parliament shall hold office for a term
of one year starting from May1 to April 31.

ARTICLE VII
DUTIES AND RESPONSIBILITIES OF MEMBERS OF THE PARLIAMENT

Section 1. Prime Minister. The Prime Minister is the Head of the Parliament and
generally the chief executive officer of the Business Administration and
Accountancy Student Council. He shall have the following duties and
responsibilities:
a. To take active supervision and control over properties, interests,
business and affairs of the Council.
b. To preside in all meetings of the Executive Board, of the Parliament
and of the Council;
c. To supervise, direct and control subordinates in the in the discharge
of their duties and authorities;
d. To lead the members in carrying out the activities and objectives of
the Council and enforce the provision of this constitution and By-
Laws and all the rules and regulations enacted by the Executive
Board, by the Parliament and by the Council;
e. To delegate to any subordinates any of his authorities and duties
whenever in his judgment such delegation is expedient and
practicable;
f. To authorize, with the approval of the majority of the Parliament,
expenditures necessary in carrying out the Councils activities and
programs;
g. To render annual report of the Councils activities fir internal and
external users;
h. To act as one of the signatories in all cash disbursements from the
bank account credited to the Councils funds;
i. To perform other duties inherent to the position.
Section 2. Deputy Prime Minister. The Deputy Prime Minister shall have the following
duties and responsibilities:
a. To assist the Prime Minister in the formulation of the activities of the
Parliament and of the Council;
b. To perform and discharge the powers and duties of the Prime
Minister in the latters absence or inability;
c. To perform other duties inherent to the position or other duties that
may be assigned to him by the Parliament.
Section 3. Cabinet Members. The duties of every cabinet member shall be in line
with their divisions as follows:
a. Minister of Education and Research
i. To organize and coordinate academic activities and
projects of the Council;
ii. To perform other duties inherent to the position or other
duties that may be assigned to him by the Parliament and
by the Executive Board.
b. Assistant Minister of Education and Research
i. To assist the Minister of Education and Research in carrying
out his/her duties and responsibilities;
ii. To perform and discharge the powers and duties of the
Minister of Education and Research in the latters absence
or inability.
c. Minister of Culture and Sports
i. To plan and coordinate activities for the development of
social, physical and cultural awareness of the members;
ii. To spearhead the preparation and coordination of sports-
related, literary and cultural activities during College and
University Foundation Days.
iii. To perform other duties inherent to the position or other
duties that may be assigned to him by the Parliament and
by the Executive Board.
d. Assistant Minister of Culture and Sports
i. To assist the Minister of Culture and Sports in carrying out
his/her duties and responsibilities;
ii. To perform and discharge the powers and duties of the
Minister of Culture and Sports in the latters absence or
inability.
e. Minister of Membership
i. To keep a complete list of directories of the members of the
Council;
ii. To issue notices of all regular and special meetings of the
Council;
iii. To monitor the attendance, performance and the degree of
participation of members in the Council meetings and
functions;
iv. To perform other duties inherent to the position or other
duties that may be assigned to him by the Parliament and
by the Executive Board.
f. Assistant Minister of Membership
i. To assist the Minister of Membership in carrying out his/her
duties and responsibilities;
ii. To perform and discharge the powers and duties of the
Minister of Membership in the latters absence or inability.
g. Minister of Treasury and Finance
i. To keep in charge of the safekeeping of Council properties
and funds;
ii. To take charge in the preparation and issuance of the
financial statements of the Prime Minister;
iii. To settle the financial obligations of the Council;
iv. To be responsibilities with the proper disbursement of funds;
v. To render periodic report the financial standing of the
Council to the Parliament and members;
vi. To devise effective methods of generating funds for the
Council;
vii. To perform other duties inherent to the position or other
duties that may be assigned to him by the Parliament and
by the Executive Board.
h. Assistant Minister of Treasury and Finance
i. To assist the Minister of Treasury and Finance in carrying out
his/her duties and responsibilities;
ii. To perform and discharge the powers and duties of the
Minister of Treasury and Finance in the latters absence or
inability.
i. Minister of Public Relations and Communication
i. To inform the members of the activities and programs of the
Council;
ii. To be responsible for the release of the College publication
at least twice in an academic year;
iii. To handle all publicity, advertisements and such promotions
of an activity, program and function of the Council;
iv. To make available any Council record of activities to any
interested individual or party provided a reasonable purpose
to do so exists;
v. To perform other duties inherent to the position or other
duties that may be assigned to him by the Parliament and
by the Executive Board.
j. Assistant Minister of Public Relations and Communication
i. To assist the Minister of Public Relations and Communication
in carrying out his/her duties and responsibilities;
ii. To perform and discharge the powers and duties of the
Minister of Public Relations and Communication in the
latters absence or inability.
k. Minister of Audit
i. To examine and periodically audit the books and financial
statements of the Council and require the production of
supporting documents;
ii. To immediately inform the members of the Executive Board
any transaction deemed to be inimical to the interest of the
Parliament and the Council and to do such acts and
measures to protect such interest;
iii. To perform other duties inherent to the position or other
duties that may be assigned to him by the Parliament and
by the Executive Board.
l. Assistant Minister of Public Relations and Communication
i. To assist the Minister of Public Relations and Communication
in carrying out his/her duties and responsibilities;
ii. To perform and discharge the powers and duties of Minister
of Public Relations and Communication in the latters
absence or inability.
iii. To perform and discharge the powers and duties of the
minister of audit in the latters absence or inability.
m. Minister of Records and Documentations
i. To act as the custodian of the records and documents of
the council;
ii. To prepare all notices of meetings and keep accurate
records of such notices;
iii. To keep accurate records of minutes of every meeting;
iv. To receive official correspondence from members and
outside entities;
v. To perform other duties inherent to the position or other
duties that may be assigned to him by the parliament and
by the Executive Board.
n. Assistant Minister of records and documentations
i. To assist the minister of records and documentation in
carrying out of his/her duties and responsibilities;
ii. To perform and discharge the powers and duties of the
minister of records and documentation in the latters
absence or inability.
Section 4. Common Members. The common members shall be the members of the
parliament who are not elected in any position of the executives Board.
They shall have the following duties:
a. To actively participate in any undertakings of the Parliament.
b. To actively participate on deliberations and other decision-making
activities of the parliament;
c. To fairly represent their respective year levels and departments on
any issue and affair of the parliament;
d. To performs others duties inherent to the position or other duties
that may be assigned to him by the parliament and by the
Executive Board.

ARTICLE VII
ELECTIONS
Section 1. Nature. Election of members of the Executives Board of the parliament
shall be in accordance with the democratic representation and
processes.
Section 2. Method. The member of the Executive Board of the parliament shall be
elected through a popular election by the members using secret
balloting. Such secret balloting shall be conducted subject to the rules
and provision agreed upon beforehand by the members of the
parliament themselves.
Section 3. Qualification. The minimum requirement s for a member of the parliament
to be qualified as candidate for the positions in the Executive Board shall
be as follow:
a. Prime Minister
i. Must be a regular fourth year student with a good moral
character;
ii. Must not be under loaded or overloaded for any of the two
semesters of the current academic year;
iii. Must not hold any major position in any organization after
elected;
iv. Must not have any failing grade in the previous semester;
v. Must not have committed an offense during his stay in
college;

b. Deputy Prime minister


i. Must be a regular third year student with a good moral
character;
ii. Must not be under loaded or overloaded for any of the two
semesters of the current academic year;
iii. Must not hold any major position in any organization after
elected;
iv. Must not have any failing grade in the previous semester;
v. Must not have committed an offense during his stay in
college such as failure to pay BAASC fees, department fees
and other fees and threatening the life of a student or a
faculty or staff of the college;
c. Ministers
i. Must be regular third year student with a good moral
character;
ii. Must not be under loaded or overloaded for any of the two
semesters the current academic year;
iii. Must not hold any major position in any organization after
elected;
iv. Must not have any failing grade in the previous semester;
v. Must not have committed an offense during his stay in
college such as failure to pay BAASC fees, department fees
and other fees and threatening the life of a student or a
faculty or staff of the college;
d. Assistant Minister
i. Must not be under loaded or overloaded for any of any of
the two semester of the current academic year;
ii. Must not hold any major position in any organization after
elected;
iii. Must not have committed an offense during his stay in
college such as failure to pay BAASC fees, department fees
and other fees and threatening the life of a student or a
faculty or staff of College.
Section 4. Electoral Board. There shall be an electoral Board composed of the
incumbent Prime Minister, Deputy Prime Minister, Minister of Audit, Minister
of Records and Documentation and one of the members of the Board of
Advisers. Such Board shall ensure the peaceful and orderly conduct of the
of election. However, if any of the Deputy Prime Minister, Minister of Audit
and Minister of Records and documentation aspires for any position,
he/she shall be automatically disqualified to be members of the Board
and shall be filled in by any of the others minister chosen by the
incumbent members of the Executive Board.
Section 5. Date, Time and Place. The election shall be conducted every first week of
march after the election following the ratification of his constitution and
by-Laws .For the first year representatives, election shall be done every last
week of June. The place and time shall be decided upon by the Election
Board.
Section 6. Assumption of Office. The elected Executive Board shall assume office on
May 1 following their election to their respective positions.

ARTICLE IX
BOARD OF ADVISERS

Section 1. Board of Advisers. There must be a Board of Advisers composed of the


Dean of the college and two faculty of the college, one of which is
chosen the Executive Board and the other appointment by the Dean.
Section 2. Qualifications. The two faculty advisers shall be of at least three years of
service in the college and shall be unbiased and independent. They must
also comply with the provision of this constitution and By-Laws.
Section 3. Rights and responsibilities. The Board of Adviser shall have the following
right and responsibilities:
a. They shall have the right to be informed of all activities and projects of the
council.
b. They shall have the right to attend the meetings of the Executive Board and give
their opinions in all matters pertaining to the council but the final decision should
rest on the Executive Board and the parliament;
c. They shall have the right to have a copy of the financial statement of the council
and any report from the council when requested;
d. They shall have the responsibility to serve as the link between the council and the
faculty and the staff of the college;
e. They shall have the responsibility to call on the attention of the Executive Board if
the need arises;
f. They shall have all the rights and responsibilities inherent to the position.

ARTICLES X
MEETING AND GENERAL ASSEMBLIES

Section 1. Meetings. The Executive Board shall hold a regular meeting at least twice
a month;
Section 2. Assembles. The Parliament shall hold a general assembly at least twice a
semester intended to solicit ideas and feedbacks and to brief the
members on the operations of the Council;
Section 3. Quorum. At least 50 per centum plus one of the members of the Executive
Board shall constitute a quorum of every Executive Board meeting
provided that the notice of meeting is given widest possible dissemination.
For every general assembly of the Parliament, any attendance constitutes
a quorum provided that the members of the Parliament are well informed
at least forty eight hours prior to the assembly and the member of the
Executives Board are in quorum.
Section 4. Emergency Meeting and Assembles. Executives Board meetings and
Parliament assemblies may be called in any time by the Prime Minister
provided that a reasonable purpose to do so exists. The quorum in such
emergency meetings or assemblies shall be that well- informed at least 24
hours prior to an emergency assembly.

ARTICLE XI
IMPEACHMENT

Section 1. Grounds. Any officer of the Council shall be removed from office for the
following grounds:
a. Gross violation of this Constitution and By-Laws, internal rules and
regulations of the Council and/or that the College and University;
b. Grave abuse of authority;
c. Immoral acts;
d. Guilt negligence of duties and responsibilities;
e. Gross insubordination;
f. Guilt of acts involving moral turpitude;
g. Failure to enroll in the semester during his/her term;
h. Lack of independence
Section 2. Gross Negligence and Insubordination. Gross negligence and/or
insubordination shall include failure to attend two regular meetings of the
Executives Board of the Parliament without prior notification and for a
justifiable reason.
Section 3. Method. The following rules shall be observed for impeachment:
a. There shall be a letter of complaint filed by any member of the
Parliament to the Prime Minister with a copy furnished to the Board
of Advisers. Such letter of complaint must be signed by at least 15
members of the parliament;
b. There shall be a notice served to the defendant stating the charges
against him/her at least seven days prior to the general assembly of
the members of the parliament called for such purpose;
c. The defendant shall have a chance to defend himself at such
general assembly and to seek the assistance of the council if he so
desires;
d. There shall be impeachment when two-thirds of all members of the
parliament present in the assembly called for the purpose
approved.
Section 4. Effects of Administrative Measures. The removal of any officer of the
Council shall be without prejudice to any administrative measure of the
College and of the University.
ARTICLE XII
FUNDS

Section 1. Source. The general funds of the council shall come from the fees to be
paid by the College of Business Administration and Accountancy students
at the start of the semester. The Council shall also raise funds to finance its
projects and activities from other legal sources.
Section 2. Amount. The amount of fees to be collected shall depend upon the
deliberation of the Executive Board and approved by the Parliament with
consultation with the Board of Advisers.
Section 3. Safekeeping. The funds of the Council shall be deposited at the nearest
banking institution as a joint account of the Prime Minister, Minister of
treasury and finance and one of the Board of Adviser.
Section 4. Use of Funds. The funds of the Council shall be budgeted and used in
accordance with its projected programs and shall be paid out in
pursuance to the said programs and activities as duly approved by the
majority of the members of the Executive Board.
Section 5. Donation and Financial Assistance. In emergency cases, donations and
financial assistance may be extended to any College of Business
Administration and Accountancy student only upon approval by the
majority of the members of Executive Board.
Section 6. Financial Statement. There shall be a public presentation of the financial
statement s every end of the semester. Failure to do so without justifiable
cause would constitute as a ground for impeachment.

ARTICLE XIII
GENERAL PROVISIONS

Section 1. Forfeiture of Rights and Privileges. The right of privileges of the College of
Business Administration and Accountancy students shall be fortified upon
failure to comply with any provision of this constitution and by-Laws.
Section 2. Resignation. Any Executive Board Member who desires to resign shall
submit a formal letter resignation addressed to the Executive Board
through the Prime Minister stating the reasoned of his resignation subject
to the approval of the majority of the members of the Executive Board. In
the case of resignation of the Prime Minister, such letter shall be addressed
to the deputy Prime Minister.
Section 3. Filing of Vacancies. In case of permanent vacancy, there shall be no
special election. Instead, the following rules shall be observed:
a. Succession of the Prime Minister and of the Minister of Treasury and
Finance shall be granted to the Deputy Prime Minister and Assistant
Minister of Treasury and Finance respectably;
b. Permanent vacancy of any elected position aside from the Prime
Minister and the Prime Minister of Treasury and Finance shall be
filled in by the next ranking candidate on such position based on
the result of the latest BAASC election which shall include that the
paused relinquished by the Deputy Prime Minister or the Assistant
Minister of Treasury and finance to fill any vacancy;
c. Filling up of any vacancy among the member of the Parliament
shall be done based on the Constitution and By-Laws of their
respected department student administration organization.
Section 4. Ad Hoc Committee. In case of emergencies, the Prime Minister is
empowered to create Ad hoc committee in response to the need.
Section 5. Department Student Organizations. All department student organizations
of the Collage of Business Administration and Accountancy shall be
affiliate organizations of the Business and Accountancy Student Council.
Section 6. Autonomy of Department of Student Organizations. All department
student shall be autonomous the formulation, adoption and
implementation of all respective functions, programs and activities.
However, they shall coordinate closely all their activities and programs to
the council.
Section 7. College Publication. The Council shall maintain a College Publication
which shall primarily serve the interest of the students of the college. The
Council shall also be responsible for the creation of the Editorial staff to
carry out and govern such publication. However, the latter shall be
independent from the control of the Executive Board and the College
administration regarding the promulgation of its policies and the release
and contents of its issues. As such, the Editorial Staff shall be responsible
and liable to whatever questions and inquiries which may occur.
Section 8. Financing of the College Publication. The student shall solely finance the
College Publication. As such, the council shall collect a reasonable
additional fee to subsidize the expenses.
Section 9. Other Rights and Duties. All rights and duties of the students not
mentioned in this Constitution and By-Laws shall be recognized and
respected by the council provided that such rights and duties are
promulgated in accordance with the existing laws of the land.

ARTICLE IV
TRANSITORY PROVISIONS

Section 1. Amendments of Existing Constitution and By-Laws. The existing Constitution


and By-Laws of the respective department student organization of the
college shall be amended to reflect the three representative per year
level to form part of the Parliament referred to in Article VI, Section 2 of this
Constitution and By-Laws and shall be effective in the first election
following their ratification provided that it shall not prejudice the
effectively of this Constitution and By-Laws.

Section 2. Transitory Student Council. A Prime Minister appointed by the Dean of the
College and the incumbent officers of the four department of the student
organizations for the Academic Year 2011-2012 as his subordinates shall
form a part of the Transitory Student Council. The rest of the positions in the
Executive Board shall be filled by the said officers through election in a
special meeting called for such purpose.
Section 2. Transitory Student Council. A Prime Minister appointed by the Dean of the
College and the incumbent officers of the four department of the student
organizations for the Academic Year 2011-2012 as his subordinates shall
form a part of the Transitory Student Council. The rest of the positions in the
Executive Board shall be filled by the said officers through election in a
special meeting called for such purpose.

ARTICLE XV
AMENDMENTS AND REVISIONS

Section 1. Special Committee on Chartered Amendments and Revisions. The


Executive Board may create a special Committee on Chartered
Amendments and Revision whose task shall opposed be to submit
proposed changes on the Constitution and By-Laws.
Section 2. Committee Composition. The Special Committee on Chartered
Amendments and Revisions shall be composed of a Chairman, a Vice-
Chairman, and Five members appointed by the Executive Board.
