1. INTRODUCTION

WAPCOS Ltd., a Govt. of India undertaking, invites Expression of Interest (EOI) from experienced
and Competent Consulting Agencies for the work of Preparation of DPR for external development
for various sites in India who may be Govt. concern, public sector undertaking, private
organization /firm (s), having experience of carrying out similar kinds of services.

2. SUBMISSION OF EOI DOCUMENT

a. For submission of Expression of Interest (EOI), interested Consulting Agencies can

download the Detailed Terms of Reference (ToR), Evaluation Criteria, General & Special
Conditions etc. from our website www.wapcos.co.in w.e.f. 18.11.2016 (1000 Hrs.) to
24.11.2016 (upto 1700 Hrs.)
b. EOIs in sealed cover must be submitted on or before 25.11.2016 upto 1500 Hrs.
c. Unsealed EOI shall be summarily rejected.
d. WAPCOS Ltd. will not be responsible for costs or expenses incurred by bidders in
connection with the delivery and preparation of EOIs.
e. WAPCOS Ltd. also reserves the right to select or reject any EOI or to cancel the entire
process at any time without assigning any reason and no claim/ dispute on whatever account
shall be entertained.

The envelope containing the EOI shall be sealed in a single outer envelope. The envelope
shall be superscripted as Expression of Interest for Preparation of DPR for external
development for various sites in India.

3. PRE-QUALIFICATION CRITERIA

Agency would be shortlisted on the basis of below mentioned criteria(s):

1. Experience of at least 3 external developments in the public realm
2. Experience in various aspects of master planning, preparation of design guidelines,
detailing, indigenous planting, construction design, etc. for at least 2 projects over
100 acres
3. Team Leader with more than 20 years experience and post-graduate in external
developments.

4. ESSENTIAL DOCUMENTS

Bidders are required to submit following documents /certificates:

1. CA attested copy of Income Tax clearance certificate for last three assessment years.
2. Details of similar assignments completed in last 5 years.
3. Evidence/supporting documents of the Consultants possessing the requisite
personnel for similar studies.
4. Details of availability of logistics such as computer hardware and software required
for the studies.
5. Registration, Ownership as well as Constitution and legal status of the Applicant

6. Certified copies of the audited Balance sheets for last three years ending 31.3.2016.
7. Proof of constitution, Memorandum and Articles of Association etc.
8. List of Manpower with Qualification & Experience
9. List of Equipment & Make along with proof of purchase.
10. Litigation History/Arbitration cases pending with details
11. Service Tax Registration Certificate

5. GENERAL TERMS AND CONDITIONS

5.1 Force Majeure

Force majeure is hereby defined as cause which is beyond the control of the awarded party and
WAPCOS as the case may be, which they did not foresee or with a reasonable amount of diligence
could not have foreseen and which substantially affects the performance of contract, such as:

Natural phenomena including but not limited to floods, draughts, earthquakes and epidemics.

Acts of any government, domestic or foreign, including but not limited to war, declared or
undeclared priorities, quarantines, embargoes, provided either party within fifteen (15) days
from the occurrence of such causes notify the other in writing of such causes.

Should the occurrence of Force Majeure last more than 45 days, both parties have the right to
cancel the contract. In such a case, the awarded party will be paid for all the work completed
or which has been carried out or performed to the time.

5.2 Arbitration

In the event of any question, dispute or differences arising out of or in connection with this work, the
same shall be referred for arbitration for which purpose WAPCOS and the awarded party shall
nominate one Arbitrator each. The arbitration shall be conducted in accordance with the provisions of
Indian Arbitration Act, 1940. The cost of reference and arbitration award shall be payable by the
parties to the extent and in a manner as may be determined by the Arbitrators or the Umpire.

Notwithstanding the existence of any dispute or difference and/or reference for the arbitration, you
shall proceed with and continue without hindrance the performance of the work under the contract
with due diligence and expedition not be withheld by WAPCOS on account of such difference or

arbitration proceedings unless such payment is subject matter of the arbitration. The Arbitrators may
from time to time with consent of the parties in-charge for making and publishing the award. The
venue of arbitration shall be the WAPCOS office at Gurgaon, Haryana.

5.3 Postponement, Suspension or Termination of Work

If at any time, the WAPCOS decides to postpone, suspend or terminate the work or part thereof,
notice shall be served by WAPCOS of not less than 15 days, notifying its intention to
suspend/postpone or terminate the Ecological Survey work or any part thereof. In the event of such
suspension, postponement or termination, proportionate fees on account of submission of work output
and other expenses between WAPCOS and the awarded party shall be paid by WAPCOS to the
awarded party.

5.4 Acceptance/Rejection

WAPCOS reserves the right to accept or reject any EOI without assigning any reason.

5.5 Disparity

If any disparity of work is found, the awarded party will be responsible and the expenses will be borne
at his own cost.

5.6 General Instructions

Expression of Interest Document shall be a self contained one and no reference to any
previous submissions will be permitted
If any information in the EOI is missing or not clearly specified or found ambiguous, it will be
assumed that the tenderer is not in a position to supply/share the information and therefore will
be evaluated accordingly
EOI document shall not include any financial quotation and any EOI containing such
information shall be liable to be ignored.
WAPCOS reserves the right to reject any or all EOI documents without assigning any reason
whatsoever.
