The prices are based upon the assumption that any contract will cover the whole of the
work [excluding options] described in this quotation. Deletions may affect the price and/or
delivery of the remaining scope of works.
All prices are in Sterling and are fixed and firm subject to internal approval
The following Terms & Conditions shall apply to any ensuing contract to the
exclusion of any other terms:
To be read in conjunction with the Clyde Process Limiteds Terms & Conditions of Sale
attached hereto. [Also accessible at www.clydeprocess.co.uk]
i. 30% Advance Payment, against submission of one bank guarantee for the same
amount.
ii. 15% on approval of provisional GA, P&ID and FDS or 5 days after Vendor
submits these documents for approval, if the documents are not rejected during
these 5 days.
iii. 15% on issue of Major sub orders (Submission of un-priced POs), which are:
a. Vessel Shell
b. Hopper
c. Lined Bends
A. 30% Advance payment bank guarantee valid from the award of contract until readiness
to deliver Ex Works, Newark UK.
B. 10% Warranty bond of the total PO amount valid from the award of contract until 18
months after readiness to deliver Ex Works, Newark UK.
The equipment/services specified in this proposal will be ready for delivery within 28
working weeks from receipt of an order and full purchase specifications.
Based on
Drawing approvals within 2 weeks of submission
Kick-off to take place on week Two (2) or Three (3) from award of contract
Pipe Route fixed and approved within week Six (6) or Seven (7) from award of
contract
Design approved on week Eight (8) from award of contract
The Purchase Price excludes all value added tax (VAT) and all other taxes, charges or
levies.

2.10 Warranty Period
18 months from the date of delivery, or where the Company undertakes the
commissioning of the equipment, 12 months from completion of commissioning.
a) The system feed details, pipe routing, pipe construction and support details,
engineering drawings have been approved by the Seller in writing.
c) No changes have been made to the approved system, and / or to the materials
being conveyed as described in the Sellers Proposal without the express written
permission of the Seller.
Any fault occurring during the guarantee period must be reported by e-mail or Fax
immediately by the Buyer to the Seller.
The Seller will either replace the faulty component using his own personnel, or
instruct the Buyer or end Customers trained personnel to repair the fault at the
cost of the Seller without affecting the guarantee. Confirmation of the Sellers
proposed course of action should be given within 5 days of notification of any
fault.
If on investigation, the fault is found not to have been caused by failure of the
Sellers equipment, all costs incurred will be paid by the Buyer.
The Sellers liability for defects in the equipment will cease upon expiration of the
Guarantee Period.
The following items are regarded as wear items and are therefore not included in the
stated warranty period.
The Companys total liability to the Customer in respect of all other losses arising under or
in connection with the Contract, whether in contract, tort (including negligence), breach of
statutory duty, or otherwise, shall not exceed the Purchase Price.

2.12 Validity
The validity of this quotation/proposal is subject to (i) compliance of the envisaged export
of goods with any export control laws applicable at the time of shipment and/or (ii) the
issuance of any required export licence, through competent export authorities. The Buyer
is required to comply with applicable export control laws when exporting or transferring
goods of Schenck Process.
