LEAVE AND LICENCE AGREEMENT

THIS AGREEMENT OF LEAVE & LICENCE is made and entered into at NOIDA on this 16 th day of June Two Thousand
Seventeen (16.06.2017) between Mr. Bijay Kumar Sinha S/o Late Shri Girdhar Bihary, residing at G-218, Delta-2,
Greater Noida-201308, hereinafter called the LICENSOR (Which expression unless be repugnant to the Context or
meaning thereof be deemed to include his heirs, executors, administrators and assigns) of the ONE PART and Mr. Anil
Kumar Gautam S/O Late Shri O P Gautam residing at House no. 26, Sector 51, Noida, hereinafter called the
LICENSEE (which expression unless be repugnant to the context or meaning thereof be deemed to include its successors ,
executors, administrators and assigns) of the OTHER PART.
WHEREAS the LICENSOR is the exclusive owner and is seized and possessed of the Flat No-152, BHARAT
PETROLEUM KARAMCHARI SEHKARI AWAS SAMITI LTD., Plot No B-9/5, Sec-62, Noida 201301,
hereinafter referred to as the said flat for the sake of brevity. AND WHEREAS THE LICENSEE has approached the
LICENSOR to give the said flat to the LICENSEE on LEAVE AND LICENCE basis for occupancy by the licensee
AND WHERE AS the LICENSOR has agreed to give the said flat on LEAVE AND LICENCE basis for a period of
eleven months starting from 16.06.2017 on terms and condition herein after appearing:

NOW THIS AGREEMENT WITNESSETH AS UNDER and it is hereby agreed by and between the parties as follows:

1. The party of the first part (The LICENSOR) hereby state and declare that he has allowed the party of the other part
(The LICENSEE) to use the said flat with effect from 16.06.2017 for a period of eleven months expiring on
15.05.2018. The LICENSOR agrees to grant the license to the LICENSEE and the LICENSEE hereby accepts
from the LICENSOR, the licensee to use and occupy the said flat on LEAVE and LICENCE basis exclusively
for the residential purpose of the LICENSEE Mr. Anil Kumar Gautam and only as long as the LICENCEE
remains in his present employment of M/s Shamsons Polymers Pvt. Ltd, C-1, Site IV, Sahibabad and resides in
the said Flat. The LICENCEE would furnish an identity certification along with an attested photograph from
M/S Shamsons Polymers Pvt. Ltd, certifying him as a bonafide employee of M/S Shamsons Polymers Pvt. Ltd,
on the date of signing of this agreement. In case the LICENSEE separates from the employment of M/S
Shamsons Polymers Pvt. Ltd, for whatever reason, or shifts to some other residence, then the License shall be
deemed to be terminated and the LICENSEE shall hand over the physical, vacant and peaceful possession of the
Said Flat to the LICENSOR. However the date of leaving his (The LICENSEE) Employment with M/S Shamsons
Polymers Pvt. Ltd, or vacation of the said FLAT by the LICENSEE shall be deemed to be the date of Notice
by the LICENSEE for prior termination of the License and The LICENSEE shall be liable to pay one months
licensee fee in lieu thereof.
2. The LICENSEE shall deposit Rs. 25,000/- (Rupees Twenty Thousand Only) as INTEREST FREE SECURITY
DEPOSIT. This deposit will be refundable at the time of vacating the premises, after deducting any dues on
account of electricity, water, Piped Natural Gas or any other charges, or towards any damage to the said Flat or
fixtures or fittings or dues of any other nature. The security deposit shall not count towards the rent in any manner
whatsoever and would be retained by the LICENSOR till the said flat premises are vacated by the LICENSEE
and handed over to the LICENSOR to the utmost satisfaction of the LICENSOR.
3. The LICENSEE shall pay Rs 17,000/- Per month (Rs. Seventeen thousand
per month) as compensation for the use of the said flat. The first payment for the period 16.06.2017 to
30.06.2017 of Rs. 8500/- shall be payable in advance at the time of signing this agreement. All subsequent
monthly payment of Rs 17,000/- ( Rs Seventeen Thousand ) are payable latest by 5 th of the month in advance. The
amount is to be paid in licensor account no. 022401001428, held at ICICI bank, having IFSC code no.
ICIC0000224. In addition to above compensation of Rs. 17000/- per month, the licensee shall bear
Society charges /Maintenance Charge ( which is currently Rs.2500/- per month), electricity charges levied by the
society and/or local authority on actual basis from time to time from day of possession to till the date of vacation
of the said Flat. The Society Charge/maintenance Charge for the period 16.06.2017 to 30.06.2017 will be Rs
1250/-.
4. In the event of non- payment of any amount, the LICENSOR has every right to cancel the agreement and ask the
LICENSEE to vacate the said Flat with immediate effect. However, in this situation the date of vacation of the
said Flat by the LICENSEE shall be deemed to be the date of notice by the LICENSEE for prior termination of
the license and the LICENSEE shall be liable to pay one months license fee in lieu thereof.
5. The Licensee shall keep the said Flat in good condition and if any damages or breakages are caused to the said
Flat or the fitting or fixtures therein, the LICENSEE shall make good the loss caused to the LICENSOR on
account of such damages and breakage. The day to day repairs up to Rs. 1500/- such as replacement of fuses and
elements and setting right the leakage in the water taps etc. are to be carried out by the LICENSEE at his own cost.
6. The LICENSEE shall not cause any nuisance and shall refrain from doing any act which might be objectionable to
the LICENSOR or the neighbors or the Society and for this purpose LICENSOR shall have right to enter and
inspect the said Flat premises at any time suitable to the LICENSOR.
7. The LICENSEE shall not keep, permit or allow anyone else to use the said Flat or grant license to use and
occupy or sublet nor shall transfer or assign the benefits of this agreement to any other person (s).
8. The LICENSEE shall not carry out any commercial or illegal business or activities nor shall store any prohibited
articles or commodities which could cause damage to the said Flat premises and shall strictly observe and abide
by the rules and regulations to the society, Municipal Corporation, Gram Panchayat and Police Department and
Noida Authority.
9. The License shall be automatically terminated on completion of 11 (ELEVEN) months and immediately after that
the LICENSEE shall hand over peaceful and vacant possession of the said Flat to the LICENSOR.
10. In the case of any breach or Non-Observance of any of the covenants of this agreement on the part of the
LICENSEE, the right to re-entry into and upon the said Flat and re-occupy the said Flat may be exercised
by the LICENSOR at his option with prejudice to his right to recover all arrears and damages for breach of this
agreement.
11. The LICENSOR and the LICENSEE hereby covenant with each other that if either of the parties to this agreement
decides to terminate the License earlier than the date stipulated herein above, the desiring party of this agreement
shall give 01 (One) month notice in writing in this behalf or 01 (one) months License Fee, in lieu to the other
party of such intention and accordingly the said agreement shall remain terminated on expiry of the notice period
or earlier in case of payment of License fee in lieu of the 01 (one) months notice period.
12. That on completion of THIS AGREEMENT period or earlier termination thereof, as the case may be, as herein
provided, The LICENCSEE shall receive from LICENSOR, the balance amount or complete amount of
SECURITY DEPOSIT (as the case may be) after deduction of monthly COMPENSATION / LICENCE FEE, if
any due as also all the arrears of charges due as per clause No-4 (FOUR) or any other clause of this agreement,
and monetary loss, if any suffered by the LICENSOR, by reason of the operation (By LICENSEE) of THIS
AGREEMENT OF LEAVE LICENCE, besides the loss in terms of money, suffered by the LICENSOR on
account of damage to the said Flat PREMISES and / or fitting fixture therein.
13. That at all times, the OWNERSHIP AND LEGAL POSSESSION AND OCCUPATION of the said FLAT shall be
that of the LICENSOR only, and the LICENSEE shall use and occupy the said flat as Licensee only and shall not
claim any interest of any nature whatsoever in the said Flat and that nothing in THIS AGREEMENT shall be
construed to be a demise at law in respect of the said Flat or to confer the Licensee any right of tenancy / sub-
tenancy / lease, etc. in respect of the said Flat.
14. That the LICENSEE shall on, expiry of the period of THIS AGREEMENT, or on earlier revocation, and / or
vacation of the said Flat premises by the LICENSEE or cancellation of the License, as herein provided, remove
himself together with all his articles/ things/ belongings and hand over occupation of the said Flat to the
LICENSOR, peacefully, and without any let/ hindrance, in good order and condition, normal wear and tear
expected.

15. At the time of Taking over the occupation of the said Flat premises the LICENSEE, shall sign a list of inventory
of all sanitary/ electric/ hardware and any other fittings/ fixtures provided by the LINCENSOR in the said FLAT
PREMISES. The same shall be restored and handed over to the LICENSOR at the time of handing back the
occupation of the said Flat premises to the LICENSOR in good condition and working order barring normal
wear and tear.

16. That the LICENSOR and/or his respective authorized agent/s shall have the right to visit/enter the said Flat
premises for bona fide inspection purposes, at all reasonable times. The LICENSEE would also permit the
LICENSOR and the SOCIETY and their agents, surveyors and workmen with all necessary appliances to enter
upon the said Flat premises at all reasonable time for reviewing the condition of the said Flat premises or for
doing work as may be required if necessary for any repairs or improvements of the said Flat premises, the water
lines and drainage etc.

17. No alteration of any kind to the said Flat or any part thereto shall be carried out by the LICESEE without
written consent of the LICENSOR.

18. That the LICENSEE doth herby agree/undertake that he, his family members, visitors, shall:-
a. Take all reasonable care of, all and singular, the PORTION and the said Flat PREMISES, and shall
indemnify the LICENSOR from and against any damage/ loss (other than by ordinary wear and tear) by
reason of normal use/ occupation thereof, and he shall not do any other thing which may cause harm/
damage to the PORTION of the PREMISES, and/or to the fixtures/ fittings in the PORTION and the
said Flat PREMISES, and shall take proper care of the same as he would take in case of his own
property and belongings, and shall always keep the PORTION AND THE said Flat PREMISES in a
clean/ habitable decent/ sanitary condition, free from waste/ rubbish.
b. Not do/ cause/ suffer to be done, any act/ deed, or thing in or about the PORTION or the said Flat
PREMISES which is illegal/ improper/ indecent/ immoral or which may expose the LICENSOR to any
damage/ loss/ harm, due to any legal/ Government/ Societys action, or any action by the person/s so
affected, and shall not disturb/ injure/ damage/ remove/ shift/ displace/ misplace, or cause to be displaced/
disturbed/ injured/ removed/ shifted/ misplaced, any of the fixtures/ fittings provided in the said Flat.
c. Observe all the rules/regulations, now in force, or as my be imposed hereafter by the concerned
SOCIETY/ association/ government/ Municipal authorities/ NOIDA Authority, in respect of his use/
occupation of the said Flat, from time to time.

19. That the LICENSEE hereby agrees to indemnify the LICENSOR and their representative, from all claims/
demands/ damages/ actions/ costs/ charges, to which they may have to be held liable, by reason of any activity/
negligence/ commission/ non-performance/ non-observance, of any terms/ conditions of THIS LICENCE, or
otherwise, by the LICENSEE or anyone acting under him.
20. The LICENSEE shall not hold the LICENSOR responsible for/ or liable for any loss or damage suffered by the
LICENSEE on account of any theft, fire or any destruction caused to or in the said Flat premises or to any
property brought in by the LICENSEE in the said Flat premises or any act or omission on the part the
occupation of the other premises in the said Building or to their servants and/ or agents or visitors.
21. The above mentioned License Fee is exclusive of water, electricity and Piped Natural Gas charges. Charges for
water, electricity and Piped Natural Gas will be paid by the LICENSEE according to the consumption as per the
meter readings on the basis of bills received from the electricity authority/ Society/ any other authority and will be
payable directly by the LICENSEE. The LICENSEE shall hand over Original Bills/ Receipt/ Proof of payment of
all such charges to the LICENSOR or his authorized representative within 15 days of making such payments. In
case of any connection is cut off by any authority or the society for non-payment of the bills, it will be he
responsibility of the LICENSEE to get it restored from the concerned authorities at his own cost and expenses.
22. The LICENSEE shall handover the vacant and peaceful occupation of the demised said Flat premises to the
LICENSOR on the expiry/ or termination of the License for whatever reason. The LICENSEE hereby agrees to
pay Rs. 1500/-(Rupees One Thousand Five Hundred Only) per day as liquidated damages to the LICENSOR for
occupation of the said Flat premises till such time as the vacant and peaceful occupation is handed over to the
LICENSOR to the utmost satisfaction of the LICENSOR.
23. The LICENSEE shall provide proof of his identity by providing such documents as Passport, Letter from
Employer, Voter ID Card, PAN number etc. to the utmost satisfaction of the LICENSOR. The LICENSOR shall
have the right to get these documents verified by any authority as deemed fit. If the identity documents are found
unsatisfactory or fake, the right to re-entry into and upon the said Flat, and re-occupy the said FLAT , may be
exercised by the LICENSOR at his option without prejudice to his right to recover all arrears and damages for
breach of this agreement.
24. In case of any disputes between the parties, the Courts in Noida, Uttar Pradesh, shall have the jurisdiction to
entertain the same.
25. This agreement shall be registered in court and all court and sundry expenses incurred towards registration shall be
borne by the LICENSEE.

IN WITNESS WHEREOF, THE PARTIES TO HAVE HEREUNTO SET AND SUBSCRIBED THEIR
RESPECTIVE HANDS ON THE DAY AND THE YEAR FIRST HEREIN ABOVE WRITTEN,
