PARISH OF CADDO

HOLD HARMLESS AND INDEMNITY AGREEMENT

THIS AGREEMENT shall be effective on the last signature date set forth
below, by and between Rex Dukes, d/b/a Gulf Coast Patriot Network and the
Parish of Caddo, herein represented by Dr. Woodrow Wilson, Jr., its Administrator
and Chief Executive Officer.

WHEREAS, Rex Dukes desires to use and occupy the Caddo Parish
Courthouse grounds, 501 Texas Street, Shreveport, Louisiana, on the Texas
Street side to hold a Rally to Stand Up for the Heritage and History of the
Confederate Monument on September 30, 2017 and October 1, 2017, from 9:00
a.m. until 5:00 p.m on both days.

In consideration of the use and occupancy of Caddo Parish Courthouse

grounds, described hereinabove, Rex Dukes agrees to defend, indemnify and hold
harmless the Parish of Caddo and all of its officers, agents, servants and
employees from and against any and all claims, demands, suits, losses, damages,
judgments, costs and expenses, whether direct, indirect or consequential and
including but not limited to all fees, expenses and charges of attorneys, and other
professionals, as well as court and mediation costs and expenses, for bodily injury,
including death, personal injury and property damage, arising out of, in connection
with or resulting from the use and occupancy of Caddo Parish Courthouse
grounds, whether caused in whole or in part by any act, error, or omission of Rex
Dukes, his agents, servants and invitees or any other person or organization using
and occupying Caddo Parish Courthouse grounds for the Rally to Stand Up for the
Heritage and History of the Confederate Monument.

In further consideration of this Hold Harmless and Indemnity Agreement,

Rex Dukes agrees to defend, indemnity and hold harmless the Parish of Caddo
and all of its officers, agents, servants and employees from and against any and
all claims, demands, suits, losses, damages, judgments, costs and expenses for
copyright and other intellectual property claims arising out of the event including
but not limited to all fees, expenses and charges of attorneys, and other
professionals, as well as court and mediation costs and expenses.

Rex Dukes further agrees to reimburse the Parish of Caddo for any loss or
damage to equipment or property owned by the Parish. Rex Dukes agrees to
comply with all rules and regulations set forth in the Code of Ordinances of the
Parish of Caddo relative to Facilities and Maintenance.

 Rex Dukes further agrees to coordinate all activities with the Director of
Facilities and Maintenance.
